远洋1.4亿购Taipanco
发新股优先股支付
2017年3月15日
（吉隆坡14日讯）远洋控股（TOCEAN，7218，主板贸服股）建议，通过发新股和优先股方式，以总值1.4亿令吉收购Taipanco私人有限公司全数股权。
远洋控股向马交所报备，将发行1亿200万新股，以及3800万股可赎回可转换优先股进行收购，每股发售价为1令吉。
Taipanco是一家货柜托运业务，主要是在北港和西港提供服务。
该公司与子公司拥有超过200辆货柜车（Prime Mover），以及超过700辆拖车（Trailer）。
完成后收购后，卖方将持有远洋控股55.25%股权，假设全面转换所有优先股，持股率将进一步提高至64.64%，而这将会触及强制献购条例。
不过，卖方无意进行强制献购，所以将向大马证券监督委员会提呈豁免申请。
此外，在远洋控股发出的1亿200万新股中，卖方也建议，配售不超过2300万股给独立第三方投资者。
远洋控股指，该项收购让公司能够重振业务，并改善疲弱的业绩表现。
由于Taipanco的强劲盈利纪录，加上卖方提供盈利保证，相信会对远洋控股带来稳定的收入和现金流。 【e南洋】

2017年10月4日
（吉隆坡3日讯）由于无法履行先决条件，远洋控股（TOCEAN，7218，主板贸服股）停止收购Taipanco私人有限公司全数股权的提议。
远洋控股日前向交易所报备，由于未能履行于3月14日敲定的有条件买卖协议的先决条件，因而决定终止该项交易。
同时，与卖方签订的盈利保证协议也一同终止。
中止3收购建议
这意味着，早前提出的修订Taipanco章程、配售不超过2300万股给独立第三方投资者，以及豁免强制收购申请的建议，也将被中止；该3个建议是根据建议收购股权方案而提出。
无论如何，终止协议不会影响远洋控股的每股净利和每股净资产。

Type | Announcement | Subject | OTHERS | Description | TRANSOCEAN HOLDINGS BERHAD ("THB" or The "Company")HEADS OF AGREEMENT ("HOA") IN RELATION TO THE PROPOSED ACQUISITION OF THE EQUITY INTEREST IN SWIFT HAULAGE SDN BHD ("SWIFT") AND ITS SUBSIDIARIES ("SWIFT GROUP") ("PROPOSED ACQUISITION") | Unless otherwise stated, all definitions and terms used in this announcement shall have the same meanings as defined in THB’s announcements dated 18 December 2018, 15 February 2019 and 15 March 2019 in relation to the HOA.
The Board of Directors of THB wishes to announce that following the expiry of the further extension (i.e. by 16 April 2019), the HOA has lapsed. The Parties have concluded that it would be in their mutual interest to not extend the term of the HOA as both Parties were unable to come to an agreement on the terms and conditions for the Proposed Acquisition.
Upon the expiry of the further extension, the representation and warranties contained in the HOA becomes null and void and no further effect and neither of the Parties shall have further claims against the other under or in respect of the HOA, save for the clause in relation to confidentiality.
This announcement is dated 16 April 2019.
