NON RELATED PARTY TRANSACTIONS | Description | PROPOSED ACQUISITION OF LAND IN MUKIM BELANJA, PERAK BY THE COMBINED BUS SERVICES SDN BHD, A 99.89% OWNED SUBSIDIARY OF PTRANS FOR A TOTAL CASH CONSIDERATION OF RM7,971,719.80 (PROPOSED ACQUISITION) | This announcement should be read in conjunction with the earlier announcement of Perak Transit Berhad (“PTRANS” or “the Company”) released to Bursa Malaysia Securities Berhad on 28 March 2017 [“Earlier Announcement”].
The terms used herein, unless the context otherwise states, shall bear the same meaning as those defined in the Earlier Announcement.
In relation to the Company’s announcement dated 28 March 2017, on behalf of the Board of Directors of the Company, we wish to furnish the following additional information for public release:
1. ESTIMATED TIMEFRAME FOR COMMENCEMENT AND COMPLETION OF THE INTEGRATED PUBLIC TRANSPORTATION TERMINAL IN TRONOH, PERAK (“TERMINAL”) PTRANS Group is expected to commence the construction of the Terminal in first half of 2019 and to complete it in second half of 2020.
2. SOURCE OF FINANCING FOR THE TERMINAL The source of financing for the construction of the Terminal is expected to be from bank borrowings and internally generated funds. The exact mix of bank borrowings and internally generated funds is yet to be determined.
3. APPROVAL REQUIRED FOR THE PROPOSED ACQUISITION The Proposed Acquisition is not subject to the approval of the shareholders of the Company. However, pursuant to the SPA, the Vendor shall obtain approval and endorsement on the title deeds to the Sale Land by the State Authority for the change in the express condition to the Sale Land as follows:-
For the Property held under title deed held under HS(D):229862 PT 18688 Mukim Belanja from ‘Bangunan – Pendidikan & Latihan (Institusi Pengajian Swasta)’ to ‘Perniagaan – Tapak Perniagaan / Terminal Bas’ or wording of similar effect.
For the Property held under title deed HS(D): 229863 PT 18689 Mukim Belanja from ‘Bangunan – Pendidikan & Latihan (Institusi Pengajian Swasta)’ to ‘Perniagaan – Tapak Perniagaan / Stesen Minyak’.
In addition, the Vendor shall obtain the State Authority Consent to transfer the title of the Sale Land in favour of the Purchaser.
Accordingly, the submission of the applications is expected to be made in April 2017.

拟转板交易‧霹雳运通唱好

（吉隆坡14日讯）甫上市6个月的综合巴士站服务业者霹雳运通（PTRANS,0186,创业板贸服组）计划转至主板交易，加上垄断怡保巴士服务及放眼拓展业务至其他区域，成为盈利增长催化剂，前景获分析员看好。
财经周刊《Focus Malaysia》引述霹雳运通董事经理拿督斯里张广威报道称，该公司计划转至主板上市，并有意扩建Amanjaya综合公共交通终站，将之打造成为集结零售及生活化的枢纽。
艾芬黄氏研究认为，霹雳运通转至主板上市，将能吸引更多来自不同阶层的投资者。
霹雳运通符合主板上市的条例，在过去3年，该公司累积营业额达2亿4190万令吉和净利5450万令吉。
“而扩建Amanjaya综合公共交通终站，相信可以增加出租和宣传空间，继而加强该公司的租金及广告收入，并贡献长期价值。”
艾芬黄氏认为，霹雳运通2017年盈利贡献来自于怡保的短途巴士服务转型（SBST），下一波的盈利增长催化剂则是来自拉曼大学（UTAR）及拉曼大学学院（KTAR）附近的金宝巴士终站。
此外，艾芬黄氏指出，马币疲弱和大量游客前往怡保旅游，也为霹雳运通带来利好，这些增长潜能使得该公司更具吸引力。
艾芬黄氏维持霹雳运通“买进”评级和31仙目标价。

The Board of Directors of the Company wishes to clarify the following information mentioned in the said Article:
1. “... able to achieve 20% to 25% profit growth in 2017 and 2018…” The Company wishes to clarify that the Article had misquoted the statement, “20% to 25% profit growth in 2017 and 2018” and it should have been read as the 20% to 25% revenue growth in 2017 and 2018.
The Company also wishes to clarify that the 20% to 25% revenue growth was based on the internal annual targets for Perak Transit and its subsidiaries (the “Group”) to achieve in 2017 and 2018, mainly due to the increase in revenue generated from Stage Bus Service Transformation programme as the Group’s stage bus operations runs operations for all the 19 approved routes since September 2016. Furthermore, the Group’s revenue generated from petrol stations may increase due to the introduction of new fuel ceiling price mechanism, in which fuel prices will be announced on a weekly basis instead of monthly, on 29 March 2017, which the Group have recorded higher average fuel prices.
We further wish to clarify that the Group’s revenue growth target as stated in the above, is only an internal management expectation and should not be construed as sales forecast, and have not been and will not be reviewed by the external auditors.
2. “.. construction cost of Terminal Tronoh and Terminal Bidor will be comparable to the of Terminal AmanJaya and Terminal Kampar... consider the issuance of irredeemable convertible unsecured loan stocks or redeemable convertible preference share or even equity shares”. The Company wishes to clarify that the Article had misquoted the statement, “construction cost of Terminal Tronoh and Terminal Bidor will be comparable to the of Terminal AmanJaya and Terminal Kampar”, and it should have been read as our Group will manage the construction cost prudently as how we manage the construction cost of Terminal AmanJaya and Terminal Kampar.
Any issuance of irredeemable convertible unsecured loan stocks or redeemable convertible preference share or even equity shares are the future fund raising options available for the Company. At this juncture, the Company has yet to decide on the mode of fund raising to finance the construction cost of Terminal Tronoh and Terminal Bidor.

（吉隆坡5日讯）霹雳运通（PTRANS，0186，创业板）建议以10送1的比例，最多派送1亿1429万4800股红股，回馈股东。
此外，股东每持有2股普通股，还会获赠一张免费凭单，最多派送5亿7147万4000张凭单。
霹雳运通今日向交易所报备，上述建议料动用公司股票溢价户头的资金。
假设每张凭单的行使价是23.5仙，股东又全面行使了凭单，该公司将能从中筹得1亿3429万6390令吉，作为营运资本。
霹雳运通透露，送红股主要是为了回馈股东一直以来的支持，也能提升公司股票的流通量。
至于送凭单，则有助于扩大公司的股本，并为公司提供潜在资金，尤其在不涉及利息成本的情况下，为营运资本融资。

最新进展：

行家建议：
这是个正面惊喜，可进一步改善该股的流通量。
同时，免费凭单也可应付成本达1亿2800万令吉的金宝车站融资。
免费凭单规模大，可能稀释每股净利，但是一旦车站在明年末季投入营运，将抵消任何影响。
目前，预计该公司2019年的净利将按年升51%，至4180万令吉，本益比则从目前的11倍，跌至7.7倍。
尽管财测已纳入来自金宝车站的部分贡献，但应该还是偏向保守，因为该车站的面积比怡保阿曼再也综合车站（Terminal AmanJaya）大8倍。

霹雳运通1000万购怡保9层办公楼

（吉隆坡8日讯）霹雳运通（Perak Transit Bhd）将以1000万令吉收购一幅位于怡保的有期土地，连同一栋9层的办公楼。
霹雳运通今日向大马交易所报备，持有99.89%的子公司The Combined Bus Services私人有限公司已与产业发展商MH Amanjaya Properties私人有限公司就上述收购计划签署买卖协议。
该公司指出，收购价较该建筑的1127万令吉市价，折价11.27%，并将以30%内部资金和70%贷款的比例支付。
根据该公司，坐落于SOHO Ipoh Commercial Centre（第二期）的办公楼，最多5层将被用作该集团的企业办公室，其他4层将出租。
“这是一个新落成的SOHO概念项目，周边有商场、酒店、商业中心、旅游景点和学校等设施。”
“因此，董事部认为，鉴于地理位置优越和便利性，该物业具升值潜力。”
