BENALEC HOLDINGS BERHAD ("BENALEC" OR "THE COMPANY")- Response to media articles in relation to seizure of Oceanline SC2301 ("SC2301" or "the Vessel")
We refer to the following media articles reported in May 2017 in relation to seizure of SC2301, a Mongolian registered vessel by the Malaysian Maritime Enforcement Agency (“MMEA”):-
1. New Straits Times (“NST”) article dated 11 May 2017 titled “Illegal sand-mining operations halted of Pulau Upih”; and
2. NST article dated 12 May 2017 titled “Foreign vessel seized in Melaka”.

The Board of Directors wishes to clarify as follows:-

1. SC2301 is 51% owned by Benalec via the Company’s subsidiary Atlantic Ocean Ltd. The Vessel is currently leased to Regiontrade Sdn Bhd (“Charteree”) to carry out sand delivery works via a bare-boat charter agreement (“Charter Agreement”) which took effect on 1st March 2017, more than 2 months before the occurrence of the said incident. Vessel chartering is one of Benalec’s principal activities.

2. Under the Charter Agreement, it is the obligation of the Charteree to comply with all statutory requirements, including but not limited to registration of the Vessel with the relevant authorities for its operations.

3. The Charteree shall also indemnify and keep indemnified Benalec against all penalties, fines and liability of every kind for breach of any law, requirements, regulations, rules or by-laws and against all liabilities, damages, claims and other expense arising out of any delay, neglect, breach or failure caused or contributed by the Charteree or its representatives.

4. After due investigation, this Vessel was subsequently released by MMEA with no penalty or fine levied on Benalec. As such, the matter is deemed resolved as per the official correspondences between MMEA and Benalec.

脱售马六甲地皮
宏洋料赚2470万


2017年11月1日
(吉隆坡31日讯)宏洋控股(BENALEC,5190,主板建筑股)以总值1亿17万2739令吉,脱售位于马六甲佳邦约21万6427平方米地皮。

宏洋控股向交易所报备,旗下三间公司与Titanium Hallmark私人有限公司签署买卖协议,共脱售7块地皮。

这些地皮拥有99年租赁地契,将在2115年4月20日或21日到期,仅用于商业大厦而已。

这项脱售活动让公司能够释放地皮价值,同时改善现金流。

宏洋控股预计,将获得2470万令吉净利,相等于每股净利约3仙;同时,每股净资产将会从77仙,提高至80仙。

从脱售所获得的资金,将用于融资持续进行的填海工程,及应付营运资本需求。【e南洋】

拟进军油气储存.宏洋拓新收入

宏洋控股(BENALEC,5190,主板建筑组)有意进军油气储存业务,将投资约3亿9010万令吉于丹绒比艾油气终站,以创造更多持续性收入。

3.9亿投资油气终站

集团董事经理拿督廖成海在股东大会后对《投资致富》表示,为了增加持续性收入,公司有意购入丹绒比艾部份油气终站股权。

“我们目前和油气终站主要营运者洽商,整个发展项目为4亿7000万美元(约19亿5050万令吉),公司打算购入20%股权。我们也是相关地段的地主。”

他补充,新加坡裕廊岛炼油中心,由于土地稀缺,因此这个储油中心将吸引更多新加坡炼油业者前来,发展潜能非常大。

关于柔佛州填土工程,廖成海表示,工程进展顺利,预计2018年第一季将完成第一片土地销售。

“公司未来持续在柔佛州大展拳脚,边佳兰和丹绒比艾两处填土规模高达5010英亩,足够让公司忙碌10至15年。”

股价遭低估

此外,询及公司每股净资产高达78仙,但目前股价仅企于39仙左右,是否有释放资产价值策略,廖成海说,公司股价遭低估,主要是过去几年市场情绪疲弱,导致售地进展缓慢,获利减少。

“当市场疲弱时候,买家选择旁观,看看地价会否下跌,但地价怎么可能下跌呢?我们持有能力强大,售价不好宁愿不卖,等待市场好转才出售。”

他补充,当初出售马六甲地皮时,每平方尺才28令吉,现在已经飙升至每平方尺55令吉。目前,公司在当地仍握有约150英亩土地,市值约3亿至3亿5000万令吉。

“一旦相关发展计划到达公司持有的地段时,地价会更高。目前说什么都没有用,就让数字来说话。”

至于英达岛(Pulau Indah)填土工程发展,廖成海表示,目前公司正在寻找买家,但可能需要较长时间,因为公司不打算以小区块方式出售,倾向于寻找购买面积较大的买家。

购PVD公司
多元化业务

此外,为了多元化业务,宏洋控股也已经收购了一家垂直排水管(PVD)公司,这将改善公司营运效率及节省成本。

“这家公司主要订单仍来自我们(宏洋控股),我们未来会对外开拓市场,争取更多外界订单。”

今年11月,该公司以1亿零17万令吉价格脱售7块位于马六甲的地皮。廖成海表示,有关交易预计在2018财年结束前完成。

SGB献议不够好
宏洋控股拒售甲州土地


2018年2月8日
(吉隆坡7日讯)宏洋控股(BENALEC,5190,主板建筑股)宣布 ,不接受SGB(SGB,7165,主板消费产品股)子公司提出收购12块马六甲土地的献议,因为不符合公司的最佳利益。

宏扬控股今日向交易所报备,三家独资子公司,分别是Heritage Land私人有限公司(简称HLSB)、Klebang Property私人有限公司(简称KPSB)及Heritage Land Development私人有限公司(简称HLDSB),于上个月26日,分别接获SGB独资子公司Million Rich Development私人有限公司(简称MRDSB)发出收购献议。

出价1.86亿

根据收购献议,MRDSB建议以总值1亿8662万9335.20令吉,收购12块位于马六甲Pekan Klebang Seksyen II的土地,总土地面积约444万3555.60平方尺。

HLSB、KPSB和HLDSB,是上述土地持有人。

一旦接受献议,MRDSB需先支付2%的订金,为373万2586.70令吉。

宏洋控股指出,经过评估后,管理层认为该献议不符合公司的最佳利益,因此决定不接受,并已在本周二(6日)发函答复对方。【e南洋】

宏洋次季净利扬63%

2018年2月20日
(吉隆坡19日讯)宏洋控股(BENALEC,5190,主板建筑股)截至去年12月杪次季,净赚256万7000令吉或每股0.30仙,年增63.3%。

宏洋控股向交易所报备,营业额却按年走低50.49%,达3902万3000令吉。

半年赚343万

累计半年,净利下跌52.4%至342万5000令吉;营业额大跌72.4%,报4925万2000令吉。

当季和累计营业额减少,主要因为土地脱售减少。

当季税前盈利取得334万5000令吉,减少了363万令吉,虽然其他营运收入提升及行政和其他开销走低,但依然受到总盈利下跌和财务成本上涨影响。

尽管营运环境备受挑战,但管理层和董事部依然乐观看待未来几年前景,因整体经济持续和稳定复苏、脱售土地将入账2亿570万令吉等因素支撑。【e南洋】

答:(1)柔佛苏丹是否间接拥有宏洋控股的股份,这里未能确定,特别是该公司年报并没有任何端倪或资料显示这点。

(2)此股前景,探探最新业绩表现,截至2017年12月31日为止第二季,该公司净利为256万7000令吉(每股净利为0.30仙)、前期净利则是157万2000令吉(每股净利为0.20仙)。次季营业额为3902万3000令吉、前期为7882万1000令吉。

土地脱售营收减少挫盈利

首6个月净利下跌至342万5000令吉(每股净利0.40仙)、前期净利为719万5000令吉。首6个月营业额为4925万2000令吉,前期则是1亿7848万令吉。

该公司营业额下跌,主要是首6个月确认的土地脱售营收减少所致;这也使到盈利下跌。

业务前景正面

该公司在马六甲填土地库的需求持续稳健,特别是周围未来发展推动,实为公司对未来乐观的个中原因。

该公司在雪州英达岛、巴生港口的数段面对河流及占地90英亩的大块填土获得市场兴趣及需求,主要是它们座落在策略地点,如靠近英达岛高速大道及西港等,公司管理层有信心,部份填土料在中短期内可以套现。

2015年12月开始推行的丹绒比艾海事工业园计划,吸引市场殷切兴趣,首100英亩地段目前正进行着土地巩固工程。管理层与数个有兴趣者,包括大型国际企业进行洽商,以在丹绒比艾海事工业园建立及营运储油终站事宜。

将受惠油气业复苏

至于该公司在直落拉慕尼亚的边佳兰海事工业园填土及发展计划(共1672英亩)正在进行中,拥有良好潜能,特别是它靠近国油的石油提炼及石化综合中心计划(RAPID),后者料在2019年首季启用,使边佳兰海事工业园将从中取得下游支援服务领域的正面溢出效应。

该公司认为,若是油气业复苏,预料公司在柔州的上述两大工业园将从石油下游业活动中受惠。

至于最新业务活动,该公司管理层于2017年杪表示,公司有意进军油气储存业务,在丹绒比艾油气终站投资约3亿9010万令吉,以创造更多持续性收入。

今年2月7日,该公司拒绝SGB公司(SGB,7165,主板消费品组)向它收购马六甲12块地段的计划,主要是不符合公司利益。整个收购涉及1亿8662万令吉。
