陈雅才购打南雄风19.9%

(吉隆坡21日讯)打南雄风(TALAMT,2259,主板产业股)创办人丹斯里陈雅才,出价9240万令吉,从优乐家集团(KEURO,3565,主板建筑股)手中收购19.9%股权。

根据双方文告,陈雅才与优乐家集团签署了解备忘录,献议以每股11仙的价格,收购打南雄风的8亿4000万股。

陈雅才近期不断从场外增持股权,目前持股约8.68%。【南洋网财经】

This MOU shall be valid for 4 weeks from the date of the MOU or the execution of a sale and purchase agreement of the Sale Shares, whichever is earlier.

打南雄风售地赚57万

(吉隆坡27日讯)打南雄风(TALAMT,2259,主板产业股)以2883万令吉,脱售乌鲁雪兰莪土地予Mutual Double公司。

该公司向马交所报备,相关土地面积达58.68英亩,为永久地契土地,可用作房屋发展用途。

打南雄风是在1994年以797万令吉购下这块土地,截至今年1月底,该土地估价为2826万令吉。

该公司以2883万1059令吉脱售相关土地,赚57万令吉。

售地所得将用作削减公司贷款以及用作营运资本,售地交易将在18个月内完成。【南洋网财经】

打南雄风转盈761万

(吉隆坡19日讯)打南雄风(TALAMT,2259,主板产业股)截至7月31日次季业绩,从去年同期648万4000令吉净亏,转为761万6000令吉净利。

该公司表示,这归功于收入走高、财务成本以及产业减值降低。

由于脱售土地带来贡献,次季营业额也从1947万7000令吉,上扬355.5%,报8873万4000令吉。

另一方面,受行政和其他费用走高拖累表现,首半年亏损从738万4000令吉,扩大至1178万3000令吉。

不过,营业额仍按年走高313.6%,报1亿7065万令吉,去年同期为4125万9000令吉。

由于借贷条例收紧,以及建筑成本扬升,预见本财年将充满挑战。【南洋网财经】

打南雄风子公司赎回债券

(吉隆坡24日讯)大马评级公司(MARC)表示,打南雄风(TALAMT,2259,主板产业股)子公司顺利赎回债券,降低母公司旗下债券的风险。

大马评级公司发出文告,指打南雄风子公司Ample Zone解决Al-Ijarah债券后,也减少Bithaman Ajil债务证劵可能面对的风险。

Ample Zone的债券在2012年1月届满,却无法如期支付债券持有人,面对违约风险。

评级公司指出,打南雄风未来可否提升Bithaman Ajil债务证劵的“B-ID”评级和“稳定”展望,最终得看集团可否降低负债及业务转盈。

截至7月杪,集团债务和贸易相关欠款,分别达2亿5350万令吉和8亿9570万令吉。【南洋网财经】

债务重组带来成效 新达南财务渐稳定

二零一四年十月三日 晚上七时四十五分
(吉隆坡3日讯)经过种种债务重组工作包括资产撤资计划、债务转换成金融工具及通过撤销与债权人和解债务,新达南有限公司(TALAMT,2259,产业组)已经踏入恢复财务稳定的路径。

在过去10年里,通过出售6000英亩的发展土地及投资产业,该公司已经赚取接近20亿令吉,这协助它大肆削减其巨额债务,并指导产业集团提前享有乐观时光。

该公司执行董事蔡金兰表示,新达南的困境是由2个经济环境所带出,即在2005年政府遣返外国建筑工人,以及2008年山坡发展停牌事件。

他解释:“经历了这些不被预测的挑战,我们每周销售从2500万令吉,迅速暴跌至500万令吉。这种情况大大影响了现金流动、银行利息服务和承包商付款。从而导致一批工程停滞,虽有1万3000间房屋出售,不过在2005年仍未建成。”

该公司执行董事兼企业事务姚春顺(译音)指出,债务重组的努力得到了回报,尽管仍有不利因素和房地产市场疲软,不过释放新达南地库及资产价值的努力,已经支撑着新达南在未来几年的复原力和财务基础。

截至2014年7月31日止第2季,新达南已经大幅减少债务至12亿令吉。新达南的贷款及债券股票从2013财政年的4亿3553万令吉,跌至2014年7月31日的2亿5447万令吉。目前的流动资产净值1亿9400万令吉,较2013财政年的流动负债净值2亿2011万令吉。

在同个季度,新达南创下税前利润1049万令吉,较2013年第2季的税前损失600万令吉。该集团的收入从之前的1948万令吉,涨至8870万令吉。

截至2014年1月31日止财政年,该公司的税后收益达798万令吉,较之前的损失2000万令吉,这是个显著周转。该集团的收入从之前的2亿1264万令吉,增加1.92%至2亿1672万令吉。

姚氏称,另一项资产销售的完成,将会进一步减少新达南总债务水平近3亿令吉,以及在不久的将来,债务也会逐步减少,少于5000万令吉。

“有了强劲的金融基础,新达南能够承担更多附加价值和优质生活方式的项目。在未来,新达南正在几项项目中开展制造和销售理念。”

他补充:“我们正在探索精简新达南结构和操作的方式,以提高其建设效率,以及提供产业项目的质量。”

在未来逾10年期间,新达南持有总发展价值达50亿令吉的发展计划。即将在明年推展的4项发展计划包括在Selayang、Ukay Perdana、Putra Perdana及Puncak Jalil,总发展价值介于20亿令吉至30亿令吉。此外,它也有3项进行中合资计划,包括在Serenia Garden、Puncak Jalil花园和Saujana Putra,总发展价值介于4亿令吉至5亿令吉。【光华日报财经】

陳雅才9900萬購新達南21.34%

(吉隆坡17日訊)丹斯里陳雅才正式與優樂家集團(KEURO,3565,主板建筑組)簽署有條件買股協議,將以每股11仙或總數9千900萬令吉代價,向後者收購新達南(TALAMT,2259,主板產業組)的21.34%股權。

根據文告,陳雅才是在今年8月與優樂家簽署意向書,同意以每股11仙價格向優樂家購買新達南股票;目前持有新達南8.68%股權的陳雅才,持股量預計在完成上述交易後增加至30.02%。

The Board of Directors of TTB wishes to announce that on 10 December 2014, the equity interest of Larut Overseas Ventures Sdn Bhd (Company No. 254439-X) (“LOV”), a wholly-owned subsidiary of the Company in its 50%-associate company, Larut Leisure Enterprise (Hong Kong) Limited (“LLE”), a company incorporated in Hong Kong, has been diluted to 1% (“Dilution”) following the subscription by IJM Properties Sdn Bhd (Company No. 100180-M) (“IJMP”), the other remaining 50% shareholder of LLE for an additional  148,470,000 ordinary shares of HK$1 each in LLE at a subscription price of HK$1 per share, representing 98% of the enlarged issued and paid-up share capital of LLE (“Subscription”). The new ordinary shares issued shall rank pari passu in all respects with the existing ordinary shares of LLE.

With the completion of the Subscription on 10 December 2014, IJMP’s equity interest in LLE will be increased to 99%.

打南雄风第三季转盈

(吉隆坡12日讯)脱售发展地段推高营业额,打南雄风(TALAMT,2259,主板产业股)第三季转亏为盈,净赚356万3000令吉,相当于每股净利0.09仙。

该公司去年第三季净亏1307万2000令吉,相当于每股亏损0.32仙。

打难雄风第三季营业额报4997万1000令吉,相较去年同季的1931万7000令吉,按年增158.7%。

累积三个季度,该公司亏损收窄至822万令吉,相较去年同期净亏2045万6000令吉。

打南雄风首9个月营业额报2亿2062万5000令吉,相较去年同期的6057万6000令吉,按年飙涨264%。

该公司财报文件指出,房地产发展与投资业务,因脱售发展土地,使得公司营业额大幅增加。

不过,该公司的酒店与休闲业务因营业额下滑,继续蒙受亏损。【南洋网财经】

Further to the Company's announcement on 13 June 2014 in relation to the master agreement and 66 individual sale and purchase agreement ("Agreement") entered into by Venue Venture Sdn Bhd (Company No. 598312-V), a wholly-owned subsidiary of the Company and CHN Commodity Trade Centre Sdn Bhd (Company No. 926490-V) (formerly known as Midas Landmark Sdn Bhd), the Board of Directors of TTB wishes to announce that all the conditions precedent have been fulfilled and the Proposed Disposal is completed today in accordance with the terms and conditions of the Agreement.

The Board of Directors of TTB wishes to announce that Maxisegar Sdn Bhd ("MSB"), a wholly-owned subsidiary of TTB had on 30 January 2015 entered into a Sale of Shares Agreement  with Noblepace (M) Sdn Bhd (Company No. 264712-T) (“NPSB”) for the disposal of one hundred and fifty thousand (150,000) Ordinary Shares of RM1.00 each held by MSB and representing 60% equity interest in Noble Rights Sdn Bhd (Company No. 284586-T) (“NRSB”), to NPSB for a total cash consideration of Ringgit Malaysia One (RM1.00) only ("Disposal").

NRSB will cease to be a subsidiary of TTB upon completion of the Disposal on 30 January 2015.

None of the Directors and/or the major shareholders of the Company and/or persons connected with them have any interest, direct or indirect in the Disposal and no approval of shareholders is required.

打南雄风卖地料赚4848万

(吉隆坡20日讯)打南雄风(TALAMT,2259,主板产业股)献议,以1亿686万令吉脱售2块地皮予达全球(TAGB,5158,主板产业股)。

根据文告,打南雄风独资子公司Europlus机构私人有限公司,今日与达全球独资子公司Metro Ingenious私人有限公司签署买卖合约,脱售2块地皮予后者。

上述土地位于雪兰莪的双文丹(Bandar Serendah),总面积约为76万8207平方尺。

打南雄风指出,公司透过售地取得的资金,可增加公司流动现金,并用作偿还贷款。

一旦交易完成,打南雄风相信可净赚4848万令吉或每股盈利1.17仙。

在签署合约之后,这项交易预料在7天内完成,而双方也可将期限延长1个月。【南洋网财经】

The Board of Directors of TTB wishes to announce that its wholly-owned subsidiary, Europlus Corporation Sdn Bhd (Company No. 212846-A) ("ECSB") has on 20 March 2015 entered into a sale and purchase agreement with Metro Ingenious Sdn Bhd (Company No. 1033627-X) (“MISB”), a wholly-owned subsidiary of TA Global Berhad (Company No.: 828855-P) for the disposal of two (2) parcels of freehold vacant lands held under Geran No. 56575, Lot 16531 (“Property 1”) and Geran No. 56577, Lot 16532 (“Property 2”) both in Seksyen 20, Bandar Serendah, Daerah Ulu Selangor, Negeri Selangor Darul Ehsan measuring approximately 277,969 square metres and 490,238 square metres respectively (total: 768,207 square metres), by ECSB to MISB for a total disposal consideration of RM106,860,000 only.
