菲马520万买Java 种植

（吉隆坡7日讯）菲马集团（FIMACOR，3107，主板产业股）以519万7118.37令吉，全面收购佳华（JAVA，2747，主板工业产品股）旗下的油棕种植子公司——Java 种植。

菲马集团昨天向马交所报备，独资子公司FCB种植控股，将收购Java 种植100万股或所有股权。

根据文告，截至2016财年，Java 种植蒙受2439令吉税后亏损，净资产达107万3491令吉。

该集团指出，往年的盈利增长动力，主要来自独资子公司国家印刷有限公司（Percetakan Nasional Malaysia Berhad）。

最新的收购活动，符合集团拓展种植业务的雄心。

JAVA种植吉兰丹拥有1331公顷的种植园丘。

根据该公司资料，JAVA种植截至2016年12月31日税后净亏2439令吉，拥有107万3491令吉资产。

分析

MIDF研究对此交易持正面看法，预料菲马机构的总种植地库将从目前的7481公顷增加18%，至8812公顷。

此交易可带来相辅相成效益，因该地段接近菲马机构现有的种植园丘。

据该行了解，有关土地将于2069年到期，距今尚有52年。

尽管JAVA种植蒙受2439令吉的小额亏损及树龄为10年，该行相信管理层将改善该园丘的鲜果串收成率。

该行看好菲马机构将现金投资于种植部门的策略，因种植部门盈利具韧性及棕油价格长期乐观。预期该新购的园丘只在2020财年才带来盈利冲击，因此保持2018和2019年财测不变。至于对资产负债表的冲击轻微，因该公司处于净现金地位。

上调评级

（吉隆坡8日讯）菲马集团（FIMACOR，3107，主板工业产品股）印尼土地耕种权案有新进展，雅加达国家行政高等法庭（PTTUN）判定子公司Nunukan Jaya Lestari私人有限公司（PTNJL）上诉得直。

该公司向交易所报备，PTTUN判定，针对国家行政法院的上诉部分得直；同时，宣布印尼农业和农地规划部，撤销PTNJL耕种权的指令无效，除了与森林或第三方利益有关的5138公顷。

针对最新进展，MIDF研究分析员说，受指令影响的资产已减值，导致上财年减值亏损4470万令吉。

资产减值或重新入账

因此，视印尼法庭最终判决，未来可能有机会重新入账。

在这期间，分析员维持今明财年核心净利预测，“买入”评级和2.60令吉目标价。

菲马集团今日向交易所报备，上财年同期为净赚1514万7000令吉，或每股6.28仙。

该季营业额也按年跌34.42%，达6240万3000令吉。

生产安全和机密文件的营业额下跌15.1%，达3336万7000令吉，主要因为机密文件的数量减少。营业额减少及销售组合不利，税前盈利大挫54.6%至440万令吉。

油棕生产和加工业务，营业额也微跌1.2%，至2800万令吉，归咎于原棕油售价走低。

累计9个月，净利收缩34.56%，至3083万9000令吉；营业额下降27.82%，报2亿1030万5000令吉。

展望未来，随着部分旅游文件供应合同到期，该公司将面临挑战。

The Board of Fima Corporation Berhad (“FimaCorp”) wishes to announce that Percetakan Keselamatan Nasional Sdn Bhd (“the Plaintiff”), a wholly owned subsidiary of FimaCorp has, on 30 July 2018, commenced a High Court action against Datasonic Technologies Sdn Bhd (“the Defendant”). The claim is for a sum of RM24,975,000.00 (excluding interest and cost) (“Outstanding Amount”), being the amount due and owing by the Defendant to the Plaintiff for 1.5 million Malaysian passport booklets which were supplied by the Plaintiff to the Defendant. As at 30 July 2018, the Defendant has refused, failed and/or neglected to pay the Outstanding Amount. The Board of the Company is of the opinion that it is necessary for the Plaintiff to pursue the civil suit to best protect its interest. The civil suit is not expected to have any material impact on the financial and operational position of the Company. Following the Mahkamah Agung's decision dated 21 August 2018, the Company wishes to announce that the quantum of the writeback of the impairment relating to the property, plant and equipment of PTNJL is RM23,631,000 and will be reflected in our Second Quarter FYE 2019.
