Sunway Ventures was incorporated on 8 January 1998 and its authorised and paid-up share capital are RM100,000/- and RM2/- respectively. Sunway Ventures is presently dormant and its intended principal activity is investment holding.
Upon completion of the Reorganisation Exercise, Sunway Ventures has become a direct subsidiary of SunH.
The Reorganisation Exercise is not expected to have any effect on the issued and paid-up capital of Sunway or Sunway’s substantial shareholders’ shareholdings or any material effect on the earnings, net assets or gearing of Sunway on a consolidated basis.
None of the directors or substantial shareholders of Sunway or persons connected with them has any interest, whether direct or indirect in the Reorganisation Exercise.

双威斥资8.75亿扩充马越柬酒店

(吉隆坡31日讯)双威(SUNWAY,5211,主板產业股)旗下双威酒店及度假村公司斥资8亿7500万令吉,展开为期3年的大马、柬埔寨和越南酒店翻新及扩充计划,预计在2018年次季竣工。
在上述酒店再发展及扩展计划中,该公司將投入5亿3000万令吉建设双威金字塔酒店西楼和双威永乐城酒店,发展成本分別为3亿8000万令吉和1亿5000万令吉。双威永乐城酒店预计在2017年第3季开幕。
其余3亿4500万令吉將用以翻新6家酒店,分別是双威金字塔酒店东楼、双威度假酒店、双威会展中心、班加南温泉別墅、柬埔寨金边双威酒店和越南河內双威酒店。
双威早前通过內部融资,进行双威金字塔酒店西楼和双威永乐城酒店的建设工程;双威房地產投资信托(SUNREIT,5176,主板房產信托股)则將向银行贷款,执行金字塔酒店东楼和双威度假酒店等的翻新项目。
双威產业发展部董事经理谢燕蒂在媒体匯报会上表示,一旦这项翻新及扩充计划完成后,该公司旗下酒店资產將增至11家,相等于3500间房间,当中有80%或3200间房间將位于大马。
迎中东客高峰期
「儘管全球经济放缓,但我们依旧认为,这是进行扩展活动的良好时机。另外,这也是双威酒店及度假村业务歷年来最大型的扩展计划。」
同场出席的双威酒店及度假村公司首席执行员张海煒进一步解释,由于该酒店有近30%的客源为中东旅客,市场预计,2018或2019年初將是旅游高峰期,所以启动翻新工程是適时的决定。
「届时將有合共4个月的出游高峰期,我们有信心翻新后的酒店可以从中受惠。」
至于双威金字塔酒店东楼在装修期间暂停营运,会否影响旗下酒店入住率,张海煒表示,隨著双威金字塔酒店西楼在2月19日开幕,相信可以抵消东楼暂时休业所带来的影响。
金字塔酒店东楼將于4月1日暂停营运,直至2017年首季重开,其翻新成本达1亿2500万令吉。
擬定柔州发展蓝图
另一方面,双威酒店及度假村公司將继续著重发展国內市场。张海煒表示,该公司正在擬定柔佛依斯干达发展计划蓝图,打算在2018年或2019年于当地开办首家酒店。
谢燕蒂补充道,依斯干达发展项目將涵括酒店、主题公园和住宅区等,佔地1800英亩,是一项长期发展计划。目前当地只有房屋和办公楼。

双威(SUNWAY,5211,主板产业股)持股54.4%的子公司———双威建筑(SUNCON,5263,主板建筑股),获颁捷运(MRT)双溪毛糯-沙登布城(SSP)路线的高架桥V201工程配套合约,总值12亿1000万令吉。
捷运机构(MRT Corp)指,根据合约,双威建筑将负责兴建和完成柏锡亚兰达岗路(Persiaran Dagang)至双溪毛糯长达4.9公里SSP捷运路线高架桥导轨工程。
行家建议
根据双威的数据,双威建筑目前手中的工程订单总值达48亿令吉。
至于今年至今取得的新合约,则占了13.8亿令吉。
我们估计双威建筑今年的新合约,料达18亿令吉,该公司去年取得的合约为26亿令吉。
据悉,双威建筑目前正在竞标捷运(双溪毛糯-加影)路线V4配套的工程,总值为11.7亿令吉。
获得最新的合约,对双威建筑的展望有利,此外,该公司也将会竞标其他道路基建工程,包括吉隆坡-巴生快捷巴士系统(BRT)、轻快铁,以及砂州的泛婆罗洲大道工程。

We wish to announce that Sunway City Sdn Bhd (“SunCity”), a wholly-owned subsidiary of Sunway, has on 16 May 2016, acquired the entire equity interest comprising 100 ordinary shares of RM1.00 each in Sun-Block (Batang Kali) Sdn Bhd (“SunBlock”) from Sunway Construction Sdn Bhd (“SCSB”), a subsidiary of Sunway Construction Group Berhad (“SunCon”), which in turn is a subsidiary of Sunway, for a total consideration of RM100/- (“Acquisition”).
2. INFORMATION ON SUNBLOCK AND SCSB 2.1 SunBlock SunBlock was incorporated on 15 January 1998 and its authorised and paid-up share capital are RM100,000/- and RM100/- respectively. SunBlock is presently dormant. Upon completion of the Acquisition, SunBlock has become a direct subsidiary of SunCity. 2.2 SCSB SCSB was incorporated on 26 April 1976 and its authorised and paid-up share capital are RM1,000,000,000.00 and RM193,954,000 respectively. The principal activities of SCSB are turnkey, construction related design and build, civil engineering and building works.
3. BASIS OF CONSIDERATION The consideration of RM100/- was arrived at on a willing buyer willing seller basis after taking into consideration the net book value of SunBlock based on its audited financial statements for the financial year ended 31 December 2015.
4. SOURCE OF FUNDS The Acquisition is funded through internally generated funds.
5. LIABILITIES TO BE ASSUMED There are no liabilities (including contingent liabilities and guarantees) to be assumed by Sunway arising from the Acquisition.
6. APPROVAL REQUIRED The Acquisition does not require the approval of shareholders of Sunway.
7. EFFECT OF THE ACQUISITION The Acquisition is not expected to have any material effect on the earnings per share, net assets per share and gearing of Sunway, and it has no effect on Sunway’s share capital and substantial shareholders’ shareholding.
8. DIRECTORS AND/OR MAJOR SHAREHOLDERS’ INTERESTS Tan Sri Dato’ Seri Dr Jeffrey Cheah Fook Ling and Sarena Cheah Yean Tih are directors and major shareholders of Sunway. They have deemed interest in SCSB by virtue of being major shareholders of SunCon. Sarena Cheah Yean Tih is also a Director of SunCity. Accordingly, she has abstained from all board deliberations of SunCity in respect of the Acquisition. Evan Cheah Yean Shin is a director and major shareholder of SunCon as well as director of several subsidiaries and major shareholder of Sunway. Puan Sri Datin Seri (Dr) Susan Cheah Seok Cheng, Sungei Way Corporation Sdn Bhd and Active Equity Sdn Bhd are major shareholders of both Sunway and SunCon. Dato’ Chew Chee Kin is a Director of both Sunway and SunCon. Save as disclosed above, none of the directors and/or major shareholders of Sunway or persons connected with them has any interest, whether direct or indirect, in the Acqusition.

双威集团首季净利挫30% 无脱售产业资本收益入账

(吉隆坡27日讯)双威集团(Sunway Bhd)2016财政年首季净利按年走低30.3%至1亿210万令吉,或每股5.71仙,相比同期的1亿4654万令吉,或每股8.45仙。
2016财年首季(截至今年3月杪)营业额则从同期的10亿6000万令吉,微增0.8%至10亿7000万令吉。
双威集团将首季净利走低的原因,归咎于上财年同期脱售两项投资产业获得一笔2290万令吉的资本收益,这两项产业为乔治市双威酒店(Sunway Hotel Georgetown)和双威大厦(Wisma Sunway)。
在营运表现方面,即便双威集团其他业务的盈利走低,但产业发展及投资业务的业绩表现却走好。
产业发展业务的营业额按年劲扬近30%至2亿3410万令吉,税前盈利也攀升21.4%至6910万令吉,受益于新加坡Avant Parc项目的销售。
与此同时,随着租金收入较高和产业出租率走高,双威集团的产业投资业务营业额因而走升21.5%至1亿6920万令吉;惟税前盈利则因首季没有上述资本收益,而下滑22.1%至3350万令吉。
基于市况艰巨,贸易与制造业务的营业额微增0.6%,但税前盈利却猛挫58.3%至530万令吉。
此外,在一些主要基础建设项目完工后,聚合物和预混料的销量与售价均下滑,因而促使采石业务营业额萎缩28.1%至3870万令吉,税前盈利跌挫20.8%至640万令吉。
双威集团其他业务的营业额和税前盈利,各别扬升2.9%和15.8%,主要是资金管理的贡献走高所致。
展望未来,鉴于经济前景不明朗,双威集团表示,其产业业务料将持续不稳定,直到消费者情绪和商业信心开始复苏。
然而,政府承诺将在第11大马计划(11th Malaysia Plan)下继续推出高效建筑工程,相信这将有利于双威集团的建筑、采石和建材业务。
“虽然双威集团已作好准备应对未来的挑战,惟该集团仍继续采取审慎的经营策略。同时,集团也将专注于提高协同效应,以提高韧力和更具竞争力。”
双威集团预计,次季或取得不俗的业绩表现。

要求归还未发展土地
霹政府取消怡保双威城计划
2016年6月13日
(吉隆坡13日讯)双威(SUNWAY,5211,主板产业股)宣布,子公司双威城(怡保)私人有限公司在上周五(10日)接获霹雳州秘书的通知,州政府取消双方在1997年签署的城镇发展协议。同时,霹雳州政府还要求双威城(怡保)退还未发展的地皮。
对此,双威城(怡保)将会对该项通知提出异议,并将该事项提交仲裁。
针对霹雳州政府取消发展协议是否会影响怡保双威城的发展,双威拒绝做出回应,仅表示须等待仲裁结果,而怡保双威城的业务如常营运。
根据文告,双威表示,接获取消发展协议的通知,预计不会对集团截至今年12月31日财年和未来的每股净利和净资产带来任何实质影响。
双威城(怡保)目前正在怡保发展怡保双威城(Sunway City Ipoh township)。
在1996年推出的怡保双威城,是当地的第一项城镇计划,也是双威创办人丹斯里谢富年将“双威城”复制到怡保的目标。
该项城镇计划包括在2018年前达到接近3000个住宅和商业单位,并提供多元化的产业单位,从零售、办公司、娱乐、酒店到住宅产业。
计划3年发展5亿产业
怡保双威城还包括双威城水上迷失乐园(Lost World of Tambun)、双威迷失乐园酒店(Sunway Lost World Hotel)和班加南温泉度假村(The Banjaran Hot springs Retreat)。
双威城怡保区高级经理黄万辉在去年表示,怡保双威城计划在3年内展开发展总值超过5亿令吉的综合产业发展计划。

霹州政府收回地皮 双威料影响不大

(吉隆坡14日讯)霹雳州政府结束双威(SUNWAY,5211,主板產业股)的怡保城镇项目发展协议,並收回项目当中未发展的地皮,虽然如此,分析员认为这对该公司的影响不大。
双威宣布,旗下持有65%股权的双威城(怡保)私人有限公司(SCI),昨日接获霹雳州政府秘书处通知,双方在1997年9月签署的发展协议已经失效。因此,霹雳州政府秘书处要求SCI归还未发展地皮。
SCI不认同这项通知,並打算交仲裁庭处理。同时,该公司也指出,这事件並不会对公司2016財政年及未来的盈利和净资產带来影响。
SCI是双威及霹雳州基金会(Yayasan Perak)及霹雳州发展机构联营的公司,两家州政府关联机构共持有SCI的35%股权。
大马研究分析员表示,双威怡保城镇项目中约65%已经发展,发展价值(GDV)约为10亿令吉,而剩余的发展项目原本计划在2025年完成。此发展地皮面积为1346英亩,仅约700英亩是可发展地段。
根据双威最新的地库资料显示,还未发展地皮为约286英亩,而发展总值为10亿5000万令吉,这分別佔公司未发展地皮的13%,及未完成发展价值的2%。
维持「买进」评级
另外,在一年前,SCI宣布推出发展价值为5亿令吉的项目,將在未来3年进行。该项目是The Banjaran產业的延伸项目,包含一栋名牌购物中心、服务式公寓和高档住宅產业。
双威今年也计划推出发展总值为1亿令吉的Lost Wolrd服务式公寓。整体而言,虽然霹雳州政府收回地皮,但对公司影响並不明显。
基于公司投资產业及建筑优势,以及產业发展长期前景,分析员维持该股「买进」投资评级,及3.54令吉目標价。

双威有信心维持2016财年收入

(吉隆坡16日讯)尽管面对挑战,双威(Sunway Bhd)预计截至12月杪2016财政年的收入可维持。
执行主席丹斯里谢富年指出:“这一年预计将是非常具挑战,虽然双威无可幸免于宏观经济疲弱,但我认为2016财年的收入和表现得以持续。”
他今日在股东常年大会后向记者说,该集团的稳定收入来源来自产业投资资产的经常租金收入,以及子公司双威产托的股息收入。
双威业务多元化,横跨多个行业,包括产业、建筑、酒店、休闲、贸易与制造、采石、建材和医疗保健。
多元化有望减轻任何不利的经济影响。
截至3月31日的2016财年首季,双威的营业额从同期的10亿6000万令吉,微增至10亿7000万令吉。其中,80.7%的收入来自产业发展、产业投资和建筑。
据谢富年说,这3大业务将继续成为盈利的主要驱动力。

双威子公司经销凯斯品牌产品

(吉隆坡18日讯)双威(SUNWAY,5211,主板产业股)子公司双威企业(1988)私人有限公司,将通过凯斯建筑设备(Case Construction Equipment)品牌的经销业务,成为大马和区域的全方位重型设备经销商。
根据文告,凯斯纽荷兰工业(CNH Industrial N.V.)委任双威企业,作为该公司在大马的所有产品系列分销商。
双威企业将在我国,经销凯斯建筑设备品牌的39种产品,当中包括液压履带式挖土机、机械平路机和推土机等。
双威集团总裁周志坚指出,双威企业可通过这些凯斯品牌的产品,成为全方位重型设备经销商。【e南洋】 |

双威实业信托以1720万 向双威集团购地

(吉隆坡27日讯)双威实业信托(SUNREIT,5176,实业投资信托)宣布,已经与双威集团有限公司(SUNWAY,5211,产业组)旗下子公司Commercial Parade有限公司签署了一份买卖协议,以1720万令吉向后者购置坐落于槟州威中县的一幅租赁土地。
该产托基金向马交所报备时表示,上述购地建议将通过现有的债务融资全额资助。
它指出:“上述土地的位置邻近旗下的双威嘉年华广场,因此将有助于促进我们的计划,即是通过扩建现有的广场,进一步增加该广场的净可出租面积。
该扩建计划涵盖了一座9层楼高的购物广场,其零售区上方建有6层楼的停车场,再加上一个仅有1层的地下停车场。
双威实业信托表示:“上述扩建计划将强化其未来的盈利,让我们的管理者能够以更大的零售空间来应对来自国际及区域零售商的需求。”
该扩建计划也将允许上述产托基金促进其租户的综合性,同时也有助于削减经济周期对整体租金收入的打击,并且能够持续迎合购物者极致的生活方式。此外,上述计划也让该信托公司继续领先其对手,并且能够继续针对顾客群的偏好以及持续演变的市场趋势维持相应的地位。
它也补充,就长远来看,倘若根据其良好的记录,该购地建议预料将为基金持有者带来利益。
与此同时,双威集团在另一份报告中表示,脱售土地的交易不仅将让Commercial Parade释放上述土地的价值,同时也助于双威嘉年华广场的扩建计划。
该集团也指出,Commercial Parade计划将脱售土地所获得的收益用于赎回总值930万令吉的非累积可赎回优先股,而余额将通过派息回馈股东们。【光华日报财经】
