ESOS的价格是：
1）平均市价的10% Discount。
如果平均市价的10% Discount跌低过PAR value (Topglove的是RM 0.50)，那么ESOS的价格则是

ESOS价格不一定是discount。也可以是premium，（高于市价）

我觉得，那份报告的意思是：discount的话，不会超过10%。premium 则没限制。

限制discount不超过10%，主要是避免现有股东不爽或觉得被亏待。
毕竟ESOS计划是需要股东大会批准的。

若是premium的话，现有股东当然不会不爽。但如果Topglov股价在 ESOS expire之前没超越 ESOS 执行价，那些ESOS就如废纸，这就到员工不爽了。Topglov也筹不到钱。

近期的成交量会有比较少的趋向，林老板似乎有一点不想拉高股价的迹象，好让 ESOS 的认购价没有那么高，也许投资者也不想在这个价位卖出的原因，造成现在的低成交量，现在的价位会不会是 Topglov 很强的支持点？

不一定。。。ESOS价格越高，股东越高兴。

很多公司都是故意以premium发ESOS。不过期限一般较长（eg. 五年）。这有两个好处：
1。ESOS价高，公司可得到比较多钱作为营运资金。
2。作为“红萝卜”，激励员工为公司（长远）利益打拼。大家一起把公司搞好，让公司赚大钱，股价上升超过ESOS价，员工们就能从ESOS得利。

当然，也有些无良老板纯粹只想利用ESOS来吸引或留住员工，但心里却不想让员工成为公司的股东、冲淡他的股权。所以就发一个premium ESOS。看起来是给了员工一项福利，其实是画出来的大饼：看得到、吃不到。

premium 发 ESOS 应该不需要给钱先的，只需给手续费 RM 10 。。。比如说 expire
date 是五年，员工可以用指定的价钱在五年内购买股票。

完全没错。premium ESOS对员工的好处就是：
1。公司股价大升，超过执行价，员工能以低于市价购买股票，再卖出，赚一笔。
2。公司股票下跌，持有ESOS者并不会亏钱。（RM10不算亏吧）

几乎0风险（以下情况例外）。所以说是给员工的福利/奖励。

员工是公司最大的资产, 很多公司都有以 ESOS 的方式来取代花红, 这对公司来讲是很正面的, 让员工参与公司的成长,也是对员工的一种奖励制度.

3. RATIONALE FOR THE PROPOSED NEW ESOS

            The purpose of the Proposed New ESOS is:

(i) to provide an incentive to the Eligible Persons to participate more actively in the operations and future growth of the Group and encourage them to contribute to the future growth of the Group;

(ii) to reward and retain the Eligible Persons who have contributed to the growth of the Group and whose services are vital to the continued growth of the Group, thus ensuring the loss of key personnel is minimised;

(iii) to give Eligible Persons a greater sense of ownership and belonging so that they are motivated to be more productive;

(iv) to increase the level of commitment, dedication and loyalty amongst the Eligible Persons; and

(v) to continue to attract prospective skilled and experienced employees to the Group as and when required.

            The Proposed New ESOS is also extended to the non-executive Directors of the Top Glove Group (excluding dormant subsidiaries) in recognition of their contribution to the success of the Group and to enable them to participate in the future growth of the Group. Further, such extension will enable the Group to attract and retain capable individuals to act as non-executive Directors of the Group who will be responsible for providing the overall strategic decisions of the Group.

手套業的競爭越來越大了，
這應該是好事，
強者越強，這已經自然的幫我們淘汰一些公司了，
我們只要在存活下來，
而且淨利穩定成長的公司做出選擇就可以了，
在成本方面控制的最好的應該可以笑到最後，
頂級在過去一年裏做得不錯，
我現在在等supermax還有kossan的年報，
看看他們做得如何，
說實在的，我覺得頂級似乎太早進場扶持股價了，
應該再看看市場的動向，
他們這樣扶持股價，
感覺會讓有心人來回賺取不少价差，
但是對公司卻沒有多大好處，
大家怎麽看？

希望Top Glove尽快买下rubber plantation,如此latex价钱的波动对Top Glove就不会有太大影响，也不怕投机者抄作rubber或latex的价钱了。

提Top Glove算算PE。。。
Top Glove的FY2007净利是RM102.9 million，票数是300 million股，所以EPS是RM0.343。现在Top Glove的市价是RM5.65，所以PE是16，实在是蛮低廉的估值。。。
