Zenith 建筑主席之子任董事 ETI 科技成倒置收购目标？

（吉隆坡19日讯）ETI科技（ETITech，0118，主板科技股）上周委任的新执行董事查鲁伊克万，是Zenith建筑执行主席之子，市场猜测，这是后者为倒置收购（RTO）ETI科技而“开路”。

Zenith建筑是负责槟城大型海底隧道工程的财团之一，日前曾向券商透露，有意收购一家上市公司，而ETI科技在考虑清单中。

Mercury证券今日指出，Zenith建筑较倾向与收购目标的大股东合作，而非强势进入对抗。

同时，马银行投行方面也猜测，查鲁伊克万进入董事局，可能是为主导倒置收购，注入资金来帮助已亏损2年的ETI科技重振雄风。

配售股买家成谜

“Zenith建筑的目标，应是ETI科技的上市地位，增加未来筹资的途径。”

ETI科技刚获批私下配售7060万令吉新股，目前未知买家身份，若为Zenith建筑相关人士，更加深倒置收购的可能。

查鲁伊克万上周五与拿督莫哈末阿敏获委加入ETI科技董事部，两人皆是Zenith建筑的董事。

Zenith建筑执行主席为拿督再鲁阿末，通过Zenith BUCG与中国铁建股分有限公司、北京城建集团、Sri Tinggi私人有限公司和Juteras私人有限公司，负责槟城“两岸三通”计划的海底隧道工程。

分析员：风险高

消息称，槟城业务也可称为Zenith建筑“皇冠上的宝石”，因此同样位于槟城、且价格合理的ETI科技，成为倒置收购的最佳目标之一。

ETI科技近日交投热络，今日闭市报15仙，扬1.5仙或11.11%。

但马银行也劝诫，ETI科技能否“起死回生”，很大程度依赖Zenith建筑的倒置收购是否成真，因此仅适合风险承担能力较高的投资者。【南洋网财经】

ETI科技获7000万人民组屋合约

根据文告，大马ETI科技私人有限公司將负责在吉打亚罗市打建设500个单位公寓，而该项计划属人民房屋计划之一。

The Board of Directors of ETITECH is pleased to announce that ETI Tech (M) Sdn Bhd, a wholly-owned subsidiary of ETITECH had received a Letter of Award for a contract worth RM70.0 million from Tulangis Maju Sdn Bhd to carry out the Project Management Works in relation to the design, construction and completion of 500 units of apartments in Kampung Kilat, Alor Setar, Kedah Darul Aman under the People’s Housing Programme (Program Perumahan Rakyat) (“Contract”). The Contract is expected to commence upon handing over the site possession which is anticipated in May 2014 with a construction period of 36 months. This Contract is expected to contribute positively to the earnings of ETITECH Group for the financial year ending 31 July 2015 onwards. The Contract is subject to normal risk encountered by other companies undertaking a similar endeavors and with the past experience and expertise of the existing Board in project management, this risk could be mitigated at this juncture. Nevertheless, the Group has taken necessary steps to protect itself and to mitigate the risks as and when it occurs. ETI科技进军建筑业

（吉隆坡22日讯）ETI科技（ETITECH，0118，主板科技股）宣布，把公司业务多样化至建筑业，並委任札鲁依关为执行董事，负责这项新业务。该公司在昨日贏得吉打州建设500单位的人民房產计划，为这项新业务的第一炮。       

札鲁依关是Zenith財团主席拿督扎鲁阿末祖基菲利的儿子，他不讳言，这项职务是由父亲安排，不过，对於Zenith是否已经买入ETI科技股权，並计划进行倒置收购的传言，则均表示不知情。

札鲁依关在今日的记者会上主要向媒体说明在吉打的合约，他指出，这是ETI科技的第一项建筑工程合约，他会以ZENITH专於建筑发展的知识和经验，协助ETI科技在建筑业打下更扎实的第一步。

至於接下来的发展，札鲁依关仅表示，暂未有任何新建筑合约，公司尚在探討和研究当中，但会寻求建筑物和道路建设工程活动。

针对市场传言，Zenith財团有意倒置收购ETI科技的消息，札鲁依关表示，对此项课题完全不知情。虽然如此，他却不否认ZENITH已对ETI科技有一定的兴趣，再加上，后者目前仍面临亏损。

因此，也需要新的资金，以执行上述房產建筑工程，所以不排除会引入更多的合作伙伴来参与，Zenith財团也就会是其中之一。

至於公司原有的太阳能电池製造业务，ETI科技另一名执行董事拿督郑立贤则表示，公司不会放弃这项业务。

他指出，旗下的太阳能电池製造业务一直受到研发成本过高的问题所拖累，而陷入亏损。

不过，他预计，今年开始，隨著公司將研发成果，进行商业用途，有关业务的表现將改善。【东方网财经】

（吉隆坡25日訊）負責建設檳城海底隧道工程的財團之一Zenith BUCG私人有限公司屬下Zenith Construction私人有限公司正探討與ETI科投（ETITECH，0118，創業板科技股）聯營的可能性。

ETI科投的大股東正是亞洲航空（AIRASIA，5099，主要板貿易）執行主席拿督卡馬魯丁。

Zenith Construction董事拿督札魯告訴財經週刊《The Edge》說，雖還沒決定聯營形式，但市場傳言的倒置收購很大可能不會發生。

據報導，任何合作都能成為正虧損處于PN1行列的ETI科投的救星。

The Board of Directors of ETITECH (“Board”) is pleased to announce that the Company had on 31 May 2014 entered into a Memorandum Of Understanding (“MOU”) with CASTEL ENGINEERING LTD (“CASTEL”). CASTEL was founded in 1997, is a member of China Aerospace Science and Technology Corporation, which has seven Research & Development Centres, six public listed companies and over 100 enterprises and institutes, with more than 135,000 employees in China and Hong Kong. CASTEL is principally involved in renewable energy, smart city infrastructures, mobility & transportation tracking and industrial & systems engineering. Its products include wind turbines, photovoltaic, LED, SOLAR, energy efficiency, satellite communications, intelligent transportation systems, government and enterprise application solutions. ETITECH and CASTEL are hereinafter collectively referred to as the “Parties”. The MOU sets out the understanding and intention of the Parties to form a collaboration company in Malaysia to provide top-class renewable and smart city solutions to governmental and commercial organisations. The salient terms of the MOU are as follows:- (i)        The Parties agree that the shareholding structure to be apportioned equally. (ii)        The intended business shall be made transparent in terms of pricing, quotations, processes and schedules between the Parties. (iii)        There are no liabilities, contingent liabilities or guarantees to be assumed by all Parties arising from the collaboration. The MOU shall continue and remain in full force until the occurrence of either one of the following events: (i)        the Parties execute a definitive agreement; or (ii)        the Parties mutually agree in writing to rescind the MOU.
