Description	SUNMOW HOLDING BERHAD ("SUNMOW" OR THE "COMPANY")(I) RIGHTS ISSUE OF RPS WITH WARRANTS;(II) PLACEMENT OF RPS; AND(III) CONSTITUTION AMENDMENTS(COLLECTIVELY REFERRED TO AS THE "PROPOSALS")
We refer to the announcements dated 12 April 2024, 15 May 2024, 29 May 2024 and 21 August 2024 (“Announcements”), the circular dated 6 June 2024 in relation to the Proposals (“Circular”) and the Information Memorandum dated 5 September 2024 in relation to the Rights Issue of RPS with Warrants (“Information Memorandum”). Unless otherwise defined, the definitions set out in the Information Memorandum shall apply herein. On behalf of the Board, SCA wishes to announce that as at the close of acceptance and payment for the Rights Issue of RPS with Warrants on Thursday, 19 September 2024 at 5.00 p.m. (“Closing Date”), the Company had received valid acceptances for a total of 14,415,733 Rights RPS, representing a subscription rate of 92.432% of the Rights RPS available for subscription under the Rights Issue of RPS with Warrants. The details of valid acceptances received as at the Closing Date are as follows:- No. of Rights RPS % Total valid acceptances as at the Closing Date 14,415,733 92.432 Total Rights RPS available for subscription 15,595,962 100.000 Under-subscription 1,180,229 7.568 The successful applicants for the Rights RPS will be issued with free Warrants on the basis of 1 Warrant for every 1 Rights RPS subscribed for. As the Rights Issue of RPS with Warrants is non-renounceable, any Rights RPS with Warrants which were not taken up or validly taken up were not made available for excess applications by other Entitled Shareholders. The Entitled Shareholders who decided to accept only part of their Rights RPS entitlements are only entitled to the Warrants in proportion of their acceptance and subscription of their Rights RPS entitlements. The Rights RPS with Warrants are expected to be listed and quoted on the LEAP Market of Bursa Securities on 3 October 2024. This announcement is dated 26 September 2024.
