金虎联手发展吉隆坡地段

(吉隆坡2日讯)金虎集团(TIGER,7079,主板工业产品股)宣布,独资子公司Tiger Synergy Timber与Kemajuan Rowther私人有限公司联手发展位于吉隆坡的9片地皮,为住宅、商业单位或其他发展项目。

根据文告,整项发展计划成本预计达2851万4901令吉,金虎集团将通过内部融资和银行贷款进行融资。

金虎集团表示,通过联营发展,将能够参与该项计划,且从中受惠,并预计对未来净利和现金流带来贡献。【e南洋】

金虎集团子公司获400万融资

2017年1月6日
(吉隆坡5日讯)金虎集团(TIGER,7079,主板工业产品股)宣布,独资子公司Tiger Synergy Land私人有限公司接获400万令吉的银行融资。

金虎集团日前向马交所报备,子公司已接受由大马银行(AMBANK,1015,主板金融股)发出的400万令吉产业贷款,为期7年。

该公司指出,融资目的主要是为一块空地再融资,以用于开发永久地契住宅。

银行融资将不会对公司的缴足和发行股本,或股东所持股权,以及截至2017财年6月杪的净资产和每股净利有任何的影响。

根据2016年6月杪止财年的经审计业绩,若该银行融资的贷款下放,公司的负债比率将达0.07倍。【e南洋】

1.  INTRODUCTION

Pursuant to Part C, Paragraph 9.04 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of TIGER wishes to announce that its wholly-owned sub-subsidiary, Tiger Synergy Land Sdn. Bhd. ("TSLSB") had accepted the Banking Facility of Ringgit Malaysia: Four Million only (RM4,000,000.00) granted by Ambank (M) Berhad (“Banking Facility”).

2. DETAILS AND SALENT TERMS OF THE BANKING FACILITY

   (i)   Type of Loan : Property Loan (PRO)

   (ii)  Purpose of Loan : To refinance a plot of vacant land

   (iii) Tenure of Loan : Seven (7) years

   (iv)  Security : The Banking Facility is to be secured by First Party First Fixed charge over a plot of vacant land (vacant development land potential for residential use, freehold) held under Individual Title Geran Mukim No. Hakmilik 267, Lot No. 562, Mukim of Petaling, District of Petaling and State of Selangor.

   (v)   Joint and Several Guarantees by Dato’ Tan Wei Lian and Datin Sek Chian Nee.

   (vi)  Corporate Guarantee by Tiger Synergy Berhad.

3. FINANCIAL EFFECTS OF THE BORROWING OF FUNDS

3.1       Share Capital and Substantial Shareholdings

The Banking Facility will not have any effect on the issued and paid-up capital of the Company or the shareholdings of the Company’s substantial shareholders.

3.2       Net Assets and Earnings per share

The Banking Facility will not have any material effect on the net assets and earnings per share of the Company for the financial year ending 30 June 2017.

3.3       Gearing

Assuming the Banking Facility is fully drawdown, the gearing ratio is 0.07 based on the audited consolidated results of the Group as at 30 June 2016.

4. INTEREST OF DIRECTORS, SUBSTANTIAL SHAREHOLDERS AND PERSONS CONNECTED TO SUCH DIRECTORS AND/OR SUBSTANTIAL SHAREHOLDERS

None of the Directors, substantial shareholders of the Company or its subsidiaries and/or persons connected with them have any direct or indirect interest in the Banking Facility.

5. APPROVAL FOR THE BORROWING OF FUNDS

The Banking Facility is not subject to the shareholders’ approval in a general meeting of the Company.

6. STATEMENT BY DIRECTORS

Having considered the rationale, the Board of Directors of the Company is of the opinion that the acceptance of the Banking Facility is in the best interest of the Company.

7. DOCUMENTS FOR INSPECTION

A copy of the Letter of Offer of the Banking Facility is available for inspection at the Registered office of the Company at No. 482, Ground Floor, Jalan Zamrud 6, Taman Ko-op, 70200 Seremban, Negeri Sembilan Darul Khusus during the normal business hours for a period of one (1) month from the date of this announcement.

金虎2地皮440万售陈维年

(吉隆坡11日讯)金虎集团(TIGER,7079,主板工业产品股)以总值440万令吉,脱售两片位于吉隆坡,总面积约487平方米的地皮给执行主席拿督陈维年。

金虎集团向马交所报备,独资子公司MHB产业发展私人有限公司,与陈维年签署买卖协议,分别以220万令吉脱售两片地皮。

陈维年是金虎集团的执行主席兼大股东,截至本周一(1月9日)持股率达19.19%,同时,也是MHB产业发展的董事。因此,这是有利益关系的脱售活动。

赚60.5万

该集团预计,将从该项脱售计划套现,并获得约60万5000令吉的净利。【e南洋】

金虎取消附加股送凭单

2017年3月3日
(吉隆坡2日讯)金虎集团(TIGER,7079,主板工业产品股)宣布,取消包括发行附加股及赠送免费凭单等系列企业活动建议。

金虎集团向马交所报备,已呈函撤回之前发行可赎回可转换优先股(ICPS),及赠送免费凭单的建议。

该公司解释,由于政府推行“2016年公司法”,因此,公司目前正在探讨其他的可行筹资建议。

此外,原定与ICPS一同进行的股票回购计划,目前也撤销。公司将评估是否要在较后阶段执行股票回购。

去年,公司建议以1配3比例,发行高达61亿3571万304股ICPS,筹资高达4172万令吉,用作资本开销及营运资本。

系列企业活动建议还包括去年1月6日,宣布回购股票及扩大注册资本。 【e南洋】

On behalf of the Board, KAF IB wishes to announce that Bursa Securities had, vide its letter dated 1 March 2017 to KAF IB, noted of KAF IB’s request for the withdrawal of the listing application submitted to Bursa Securities dated 17 June 2016 in respect of the Proposed ICPS Rights Issue with Warrants in view that it is the Company’s decision to abort the Proposed ICPS Rights Issue with Warrants.

The Company has decided to abort the Proposed ICPS Rights Issue with Warrants as the Company is currently exploring the feasibility of other fund-raising proposals arising from the implementation of the Companies Act, 2016.  Following the abortion of the Proposed ICPS Rights Issue with Warrants, the Proposed Increase in Authorised Share Capital and Proposed M&A Amendment shall be consequently aborted.  The Proposed Shares Buy-Back which was to be implemented concurrently with the Proposed ICPS Rights Issue with Warrants shall also be aborted at this juncture.  The Company will deliberate as to whether to implement the Proposed Shares Buy-Back at a later stage.

The abortion of the Proposals is not expected to have any effect on the earnings per share and net assets per share of the Group.

联营先租后买公寓
金虎进军可负担屋


2017年6月29日
(吉隆坡29日讯)金虎集团(TIGER,7079,主板工业产品股)宣布,与Prosma有限公司合作发展价值达1亿令吉的可负担公寓,并以“先租后买”的方式推出市场。

独资子公司Tiger Synergy Timber私人有限公司,今日与Prosma签署协议备忘录,发展Telaris鹅麦可负担公寓。

董事经理陈丽贞解释,金虎集团计划在9或10月,与Prosma进一步签署买卖协议,将该整栋公寓脱售给后者。

该公寓共有180单位和8间店面,预计3至4年竣工,估计在合约期间可带来约3000万令吉净利。

执行主席拿督陈维年对先租后买的模式感兴趣:“若这个项目成功,未来我们可能独力发展,及发行为期30年的债券来融资。”

基于奢华产业领域情绪疲弱,加上申请贷款程序严谨,金虎集团短期内会专注发展高品质的可负担房屋。

陈丽贞说:“过去两年我们没推介项目,因为市场不佳,而我们的产品也偏向高端。现在我们开始改变发展概念。”

重新规划40%项目

目前,金虎集团将40%发展项目,重新规划为可负担房屋,价位介于40至50万令吉。

陈维年相信,该公司的方向正确,前景与未来盈利表现良好,鹅麦项目可能是该公司转亏为盈的起点。

“由于我们的财年是截至6月,因此,这些可负担房屋项目会在2018财年开始贡献。”

截至今年3月杪,金虎集团累计9个月营业额为523万令吉。其中产业发展业务零贡献,全靠建筑业务支撑,带来509万令吉营业额或占整体的97%,其余则来自制造与贸易业务。

未来发展总值20亿

该公司首9个月则净亏855万5000令吉。

另外,金虎集团计划在未来5至8年,内推介9个项目,发展总值达20亿令吉。

(吉隆坡1日讯)金虎集团(TIGER,7079,主板工业产品股)料将脱售莎阿南公寓项目中的其中一座,给一个马来西亚人民房屋(PR1MA)机构。

消息人士向《南洋商报》透露:“该集团放眼在本月与一马人民房屋机构买卖协议,脱售莎阿南Alam Impian第二期的公寓给后者,发展总值约3亿令吉。”

莎阿南Alam Impian是金虎集团的旗舰项目,面积达90英亩。首期项目内发展内容为Telaris半独立式,共有132单位,发展总值达2亿6000万令吉。

逾700单位

他称,最初是金虎集团向一马人民房屋机构献议该交易,因为当地缺乏可负担房屋。

据悉,该公寓的土地面积为9英亩,共有700余单位,单位售价应该是40万令吉。

一般上,该公司的赚幅为40%至50%,但由于可负担房屋赚幅较低,约30%,因此估计金虎集团从中可赚取9000万令吉。

若顺利签约,将会是该公司进军可负担房屋领域的第二波。

金虎集团6月杪与Prosma有限公司签署协议备忘录,将Telaris鹅麦可负担公寓脱售给后者,首次踏足可负担房屋领域。【e南洋】

金虎联营巴生房产项目

(吉隆坡3日讯)金虎集团(TIGER,7079,主板工业产品股)宣布,与LJ发展私人有限公司和Credence产业管理私人有限公司签约,分别在巴生合作发展住宅和商业发展项目。

金虎集团今日向交易所报备,通过独资子公司Pembinaan Terasia私人有限公司(PTSB),与LJ发展和Credence产业管理,分别签下了解备忘录和联营协议。

LJ发展和Credence产业管理分别提供发展地皮,而金虎集团和PTSB会承担所有发展成本和开销。

完成后,LJ发展和Credence产业管理,均可获得占发展总值30%的产业单位,该2项项目的最低发展总值,都是8000万令吉。

2015年4月29日,金虎集团就已通过独资子公司金虎发展私人有限公司,与Credence产业管理签署联营协议,在同样地点计划发展住宅和商业发展项目。

后来,双方同意撤销协议,Credence产业管理则退还300万令吉。【e南洋】

The Board of Directors of Tiger Synergy Berhad (“TIGER” or “the Company’) wishes to announce that Pembinaan Terasia Sdn. Bhd. (“PTSB”), a wholly-owned subsidiary of the Company had on 30th June 2017 entered into a Joint Venture Agreement (“JVA”) with Credence Property Management Sdn. Bhd. (“CPMSB”) for the purpose of undertaking a residential and/or commercial development project (“the Project”) in respect of the development of all that freehold land held under GM 5486 Lot No. 1866 Tempat Sungei Kandis in the Mukim of Klang, State of Selangor (“the Development Land”) strictly on the basis that CPMSB shall contribute the Development Land and PTSB shall contribute and bear the entire cost and expense of developing the Development Land in accordance with the relevant approvals and the layout and building plans and applying and obtaining the relevant approvals and licences from the Relevant Authorities in connection with the Project.
