迪耐与马银行合作　提供线上贸易融资服务

（吉隆坡22日讯）迪耐（DNex，4456，主板科技股）与马银行签署合作协议，提供线上贸易融资服务。       

在这项协议之下，马银行將使用迪耐的线上贸易融资，为出口商提供更具竞爭力匯价的信贷。这项服务预期將在年底之前推出，为出口商提供出口融资服务，尤其是中小企业。

这项线上融资服务將为中小型出口商提供简易及快捷的贸易融资。

DNEX营业额增加

（吉隆坡31日讯）DNEX有限公司（DNEX，4456，科技组）公布，在截至2014年6月30日止第2季度，所取得的税前利润按年从489万令吉上升至651万令吉。

该集团致函大马交易所说，但是营业额由前期的2490万令吉下降至2059万令吉。

前身是时光工程的DNEX表示，营业额较低主要是系统集成业务减少，以及被贸易简化业务增长所匹配。

展望未来，该集团将会继续寻求在贸易简化方面，提供终端到终端的电子商业服务。

它补充：“为了补充我们在企业对政府服务的强大市场份额，因此我们也正在加强企业对企业的业务。”【光华日报财经】

未完成精密审核 迪耐收购案展延

（吉隆坡18日讯）迪耐（DNEX，4456，主板科技股）收购油气公司OGPC集团案，目前正进行精密审核，将在3个月后向有关当局提呈申请。

迪耐向马交所报备，原订将在本月提呈收购案申请，但因精密审核程序未结束，因此申请展延至三个月后。

该公司在6月18日时宣布，计划通过现金和发股方式，以2亿300万令吉，向阿兹曼卡林、阿都玛纳夫以及邱国胜（译音），购下OGPC公司（100%）以及OGPC油气公司（52%）股权。

根据文告，迪耐将发行4亿6511万6809股，每股21仙，每持有5股可认购3股，同时，也将以2配1比例，发行5000万特别股（每股22仙）与2500万张凭单。

2配1发新股迪耐将发行附加股与凭单，以及内部资金方式，筹资1亿令吉现金。

另外，也将通过2配1比例，发行3亿9615万3846股新股（每股26仙），以及1亿9807万6923张凭单予卖方，支付其余1亿300万令吉。【南洋网财经】

迪耐：股价异动非关企业消息

(吉隆坡31日讯)迪耐（DNEX，4456，主板科技股）过去两天成交量大涨，股价也隨之走高，引起交易所的关注，该公司管理层今日出席活动时表示，他们並没有任何可能导致股价大热走高的企业消息，並已经对交易所作出交代。

迪耐周四（30日）午盘成交量突然飆高，股价则大起30%，今日早盘继续盘踞热门榜首，並接获交易所发出的不寻常市场活动（UMA）询问。该公司隨后在今天下午3点36分暂停交易，以作出答复，並將在下週一恢復交易。

针对股价近期的异常走势，迪耐执行董事黄锦贤在出席今天的myTrade2Cash的推介礼记者会上回应说，对于近期价量剧增的原因不知情。

该公司没有任何相关计划及策略，也没有针对部份潜在投资项目展开的初步商討等活动。至於今日推介的產品，他补充说，这项计划早在7月已经宣布，或许市场不清楚此计划，才会导致公司的股价大涨。

迪耐週五稍微走高，停牌前收在38仙，上涨2.7%，或1仙。成交量达1亿3451万股，虽然在3点半之后已经暂停，但是仍稳坐热门榜的第二位。

而后来居上，排在热门榜第一位的，则是迪耐的母公司世纪软件（CENSOF，5195，主板科技股）。

世纪软件今日午盘发功，登上热门股榜首的位置。其股价在今天闭市报61.5仙,上扬10.81%或6仙，交易量达到1亿4619万股。

myTrade2Cash的贸易融资服务是由马银行和迪耐协手合作。这是大马及东南亚，第一项类似的贸易融资服务。

今日出席myTrade2Cash融资服务的推介礼的嘉宾，是国际贸易工业部长拿督斯里慕斯达法，其他出席者包括马银行全球银行集团主管阿米鲁及Dnex执行副主席拿督山苏胡欣。

中小型企业在2013年为马来西亚贡献了33%的国內生產总值。政府也相当看重这领域，致力在2020年把中小型企业占国內生產总值的贡献提高至41%。

马银行希望通过这个平台，在未来3年向马来西亚的中小型企业出口商发出大约50亿令吉的贸易融资。通过这项服务，中小型企业出口商无需抵押品，就可以获得贸易融资。此外，这是一个在线服务，中小型企业出口商可以在得到订单后隨时隨地申请。

黄锦贤表示，目前已经有60人申请此贸易融资。他希望未来每个月会有100人申请使用此融资服务，以在1年內达到超过1000个中小型企业申请使用此融资服务的目標。【东方网财经】

迪耐进军能源电力业

（吉隆坡12日讯）迪耐（DNEX，4456，主板科技股）以153万令吉，收购Forward能源私人有限公司51%股权，借此多元化业务至能源及电力相关领域。

根据文告，迪耐已与Forward能源其中一位董事，拿督阿兹敏达成协议，以每股1.53令吉收购后者手上的153万股。

内部融资支付

公司将通过内部融资支付该收购价，并预计可在明年首季完成上述收购。

完成交易后，其余49%的Forward能源股权，将由阿兹敏（10%）、拿汀扎琳娜（32%）和叶锦民（译音）（7%）持有。

Forward能源成立于2003年，手上持有涉及发电厂、工程及能源相关业务公司的股权，尤其是国内及国际的独立发电厂。

（吉隆坡24日讯）贸易简化业务增长，迪耐（DNEX，4456，主板科技股）截至2014年12月第四季转亏为盈，净赚426万6000令吉。

该公司去年同期亏损838万3000令吉，主要是受减值980万令吉的厂房和设备影响。

第四季营业额按年上涨28.9%，至2594万6000令吉。

全年，该公司因成本管理奏效，净赚1221万5000令吉；营业额因消费税物流平台业务带动，按年微涨1.2%至8680万2000令吉。

该公司计划把电子商务的贸易简化业务，扩张至企业对企业（B2B）的市场。

调整发股量

根据文告，公司将支付8300万令吉的现金，而剩余的8700万令吉数额，则通过发行3亿6250万股新股和送1亿8125万凭单支付。

公司表示，每股发售价为24仙，每持有2股新股，可获1凭单。

此外，迪耐也调整特别股票发行活动的数量。

经调整后，公司将发行1亿3000万股，送6500万凭单，发售价格为22仙，每持2股可获1凭单。

小股东大权利：迪耐筹资进军油气业

我们上回说了两只油气股筹资的过程，今期再谈另一家：迪耐（DNEX）。

这家公司，前身有个漂亮的名字，叫做时光工程（TIME ENGINEERING，简写为TIME）。如今换了大股东（有个颇为霸气的名字，世纪软件，CENSOF），名字也改为DNEX，看来像是某家交易所的简称一样。

公司在去年6月18日，宣布以2.03亿令吉收购油气公司OGPC集团，其中1.03亿令吉现金，以及剩余的1亿令吉约4亿股票和2亿凭单补足，股票每股价值26仙。
购价减少附加股不变

2014年尾一阵油价重挫，这项交易注定要改写。

在今年3月6日，迪耐发出文告，把收购价下修至1.7亿令吉，其中现金付款是8300万令吉，而其余则发出3.625亿股票和1.812亿凭单补足，每股价值24仙。

不过，与这同步的附加股建议则没有修改，仍然是5配3附加股送3凭单，每附加股售价21仙，发行总共4.65亿新股，募资9768万令吉。

略为不同的是，之前附加股筹获的资金，不够支付1亿令吉的现金，但是现在对8300万现金则绰绰有余。因此，剩余的资金加上特别配售，将用来作为营运资本。

募集资金有增无减

不管前述三项收购是如何估值，怎样受到油价滑落的影响而必须重新计算各种财务比，可以肯定的一点是，公司已经决定向股东募集的资金，只有增加，没有减少。在市道不景的情况之下，这是不是合理的呢？

许多附加股或者筹资建议，在向股东呈献细节前，其实董事部连同大股东，已经和金融顾问讨论好要筹的目标，因此，就算是计划有所更改，但总额一般上变动不大。

所以，常常有最低募集资本的表现手法出现；如果有多（即其余股东的权益悉数被任购），那么充其量把多余的资金编入营运资本，钱，有谁嫌多的？

这三家公司的面值很低，介于10仙至20仙之间。

仙股吸引散户关注

虽然如此，它们的收购资产却不便宜，因此，发行的股票算是数量庞大，动辄上亿。

目前三家皆为仙股，引来不少散户的投资/投机兴趣，抱着有朝一日如果股市大热，这些仙股价钱大起，可以得到不菲的回酬。

1600万购BH设备 迪耐跨足油气服务

（吉隆坡1日讯）迪耐（DNEX，4456，主板科技股）宣布，以421万7326美元（约1600万令吉）向大马Baker Hughes私人有限公司（简称BH），收购油气设备。

根据文告，迪耐持股80%的子公司迪耐油田服务私人有限公司，与BH签署买卖合约和设备租用合约。

迪耐向大马Baker Hughes私人有限公司（简称BH）收购钻井工具和相关的油气设备，并以每个月8万7860美元（约32万6532令吉）的价格，回租给BH。

这项设备租用合约为期4年，从今日起生效，另有延长2年的选择权。

公司将内部融资，筹集收购设备资金。

迪耐看好油气领域的服务业务，能够在未来展现更佳的盈利潜力，因此，通过收购这些设备，以取得长期的盈利收入来源。【南洋网财经】

迪耐放眼提高报关业市佔率

（吉隆坡7日讯）迪耐（DNEX，4456，主板科技股）放眼未来6个月內，將报关行业务的市场佔有率，提高至80%。

迪耐报关执行董事拿督黄锦贤表示，目前迪耐在报关行业务的市场佔有率为60%，並有意进一步扩大市场佔有率。

他指出，迪耐隨著今年1月推出myCargo2U电子商务服务，为大马首个货运及贸易管理提供一站式解决方案。

包括，第一、数据储存；第二、提供跟踪和追溯商品的流向活动；第三、提供贸易融资和会计软件给客户。因此，他认为，迪耐有绝对优势，进一步扩大报关的市场份额。

黄锦贤在周二为第49届电子商务联盟（Pan-Asian E-Commerce Alliance，简称PAA）高峰会召开记者会时，向媒体如此表示。其他出席者包括迪耐集团董事经理再纳阿比丁。

跨境贸易交易量下跌

针对消费税开跑7天，黄锦贤坦承，看见跨境贸易交易量確实有减少的现象。

他认为，主要是目前市场对消费税尚不熟悉，还在过渡阶段，因此才会有跨境贸易交易量下跌的跡象。

「另一方面，消费税对物流业带来的影响，包括现金流的问题。」

黄锦贤称，碍于物流业必须先缴付消费税，也因此出现很多物流业者，面临不能负担支付消费税的现象。因此，迪耐將在服务范围伸展至金融机构，以支援物流业者。

此外，再纳阿比丁认为，目前大马物流费用大约佔整个货柜的15%，属於高成本范围。因帮助业者降低物流费用，一直是迪耐努力的方向，而这也將让出口商在国际舞台上更具竞爭力。

黄锦贤认为，物流费用应该控制在10%，才是理想水平，许多先进国的物流费用都控制在10%或以下。邻国新加坡是唯一本区域物流费用，控制在10%水平的国家。

无论如何，黄锦贤对消费税的落实表示乐观其成，主要是消费税將为迪耐带来商业机会。

有鑑於此，迪耐將在不久的將来，做一个市场调查，特別是在后消费税时代，以便掌握客户的需要，以推出更多带来便利的服务系统。
