投资衍生金融工具失利 大马纸盒末季毛利下跌

（吉隆坡24日讯）大马纸盒（马）有限公司（BOXPAK，6297，工业产品组）宣布，在截至2012年12月31日止第4财季所取得的税前利润，按年从575万令吉下跌至482万令吉。

盈利下降的原因，主要是在获得一批贷款以资助其海外扩充计划后，进行交叉货币掉期合约，不过在投资该衍生金融工具中亏损140万令吉。

不过，该集团在去年第4财季录得高达7230亿令吉的营业额，这较前期的7030万令吉上升3%。

它致函马交所表示：“营业额获改善，主要是由于来自国内和越南的现有客户较高需求所致。”

大马纸盒在上述期间，每股录得6.72仙的基本盈利，较前期的8.46仙为少。

此外，在截至2012年12月31日止全年财政年，该集团的营业额按年从2亿4870万令吉增长6％至2亿6430万令吉。

它表示，营业额较高，主要是受到本地和越南的食品和饮料行业客户需求强劲所支持。

至于2012财政年度的税前利润，也由前期的1760万令吉增加470万令吉至2230万令吉。毛利之所以上升，主要是拜大马和越南的业务取得较高营业额，以及经营效率获改善所赐。

由于大马与越南的市场竞争非常激烈，以及全球经济前景不明朗，因此董事局预计，该集团在上述国家保持其市场份额时，将会继续面临挑战。

它说，关键原料成本变动、外币汇率波动、通过有关最低工资法案和新的退休年龄规定，皆对大马纸盒的业绩造成影响。

大馬紙盒越南設新廠

（吉隆坡15日訊）大馬紙盒（BOXPAK,6297,主板工業產品組）擴充越南業務在河內設立新廠房，並預料3年後對淨利有顯著貢獻；另外，大馬業務今年卻可能因電子領域與出口表現放緩而拖累成長表現停滯。

鑒於在越南胡志明市的工廠佔用率已達約95%，為應付日漸增長的需求，該公司董事經理拿督施朝源表示，已經在河內設立新廠，預計今年第三季投入生產。

“我們預計該廠可推動越南業務對公司貢獻提高至75%左右，但或在3年以後才可見對淨利有較顯著的貢獻，即每月料可帶來約3萬至4萬令吉營收。”

他補充，越南業務目前佔公司的營業額與淨利比例達65至70%。

該公司去年淨利成長22%至1千897萬令吉，他表示，成長表現主要歸功於越南業務發展良好且在業內擁有良好信譽，已發展成對公司非常重要的主要業務，而未來該地業務也將持續成長。

“公司在該地成功吸引很多國際大型公司下訂單，其中包括食品、家具、電子等領域的公司，尤其製鞋領域則對公司銷售額貢獻更為顯著。”

此外，他預料今年大馬業務成長停滯，因大馬出口及電子領域表現都有所放緩，許多公司都選擇海外設廠，自然地本地紙盒的需求也就轉淡。

他同時補充，其他方面如業內併購風潮使競爭升溫以及最低薪金制的實施也是預期大馬業務成長或停滯的原因。

當被詢及公司今年成長目標時，他坦言，並不預期有重大突破，因全球經濟展望充滿不確定性，使大馬與越南市佔率擴張期望遇阻，而越南產能更已達滿荷狀態，從而拖累今年成長表現；儘管如此，要保持去年成長表現或不成問題。（星洲日報）

大馬紙盒450萬購AMBM

（吉隆坡28日訊）大馬紙盒（BOXPAK，6297，主板工業產品組）以總值450萬令吉收購AMBM包裝與分銷私人有限公司。

該公司發文告表示，收購目的為加強生產基礎，以將業務擴展至半島南部，並預計AMBM在未來可作出盈利貢獻。

收購計劃所需資金全數由內部融資，預料可在今年第四季完成。

AMBM公司在柔佛主要的業務為紙箱製造與貿易，截至2012年12月31日止，該公司淨利報14萬2千848令吉，淨資產則有48萬3千173令吉。（星洲日報／財經）

（吉隆坡25日訊）管理層地震或重大企業宣佈？馬股3家聯號公司冠旺（CANONE，5105，主要板工業）、建裕珍廠（KIANJOO，3522，主要板工業）和大馬紙盒（BOXPAK，6297，主要板工業），今日中午以“重大宣佈”為由，即時暫停交易，至本週四（28日）下午5點。

上述3家公司今午休市前分別向馬證交所報備，配合公司即將發佈一項重大宣佈，應循上市條例要求從12時09分開始暫停交易，直至本週四下午5點。這項停牌申請已獲當局批准。

勞工成本提高

停牌前，除了大馬紙盒股價無波動維持在2.25令吉，冠旺和建裕珍廠股價走勢南轅北轍，冠旺停牌前最后報價3.46令吉，漲9仙，成交量25萬4300股。

另外，大馬紙盒向馬證交所報備，截至9月30日財年第3季，首9個月淨利按年跌29%至1063萬令吉，營業額增11%至2億1311萬令吉。

施朝源衛冕大馬紙盒董事失敗

（吉隆坡15日訊）大馬紙盒（BOXPAK，6297，主要板工業）董事經理拿督施朝源未獲股東支持“衛冕”職銜失敗，大股東冠旺（CANONE，5105，主要板工業）是否給予支持，將是他能否留守董事局關鍵。

大馬紙盒今日召開常年股東大會，11項議程中，第7項重委施朝源為公司董事的議程不獲股東通過，因此施朝源退出董事局，並卸下董事經理一職。

據《星報》報導，施朝源稱：“我質疑大會的有效性，因整個程序都出錯。”

他未獲股東支持重新當選董事經理一職，目前是否能繼續留任大馬紙盒董事局成焦點；他需獲得到場投票股東至少51%支持以續任董事職。

報導說，施朝源的去留，最終得視冠旺如何決定。冠旺透過建裕珍廠（KIANJOO，3522，主要板工業）持有大馬紙盒近55%決定性股權。

冠旺同時是建裕珍廠單一大股東，目前持有后者近33%持股，公司“話事權”落在建裕珍廠現年67歲董事經理楊仁和手中；他也是冠旺大股東。【中国报财经】

Aspire全購建裕珍廠‧施朝源起訴冠旺及6人

（吉隆坡8日訊）冠旺（CANONE,5105,主板工業產品組）表示，拿督施朝源針對收購建裕珍廠（KIANJOO,3522,主板工業產品組）事件起訴該公司、大股東楊仁和及其他5人，要求裁決該收購為“相關伙伴交易”。

The incorporation of the Subsidiary is not expected to have any material effect on the share capital and substantial shareholders’ shareholdings of Box-Pak. It is not expected to have any material effect on the net assets, earnings and gearing of Box-Pak group of companies for the financial year ending 31 December 2014. (Words and expressions defined in the Company’s announcement dated 31 December 2013 in relation to the Proposed Acquisition have the same meanings when used herein) We refer to our announcements dated 31 December 2013, 6 January 2014, 9 July 2014, 1 August 2014 and 18 August 2014 in respect of the above matter. The Board of Directors of Box-Pak wishes to announce that the Sale and Purchase Agreement entered into on 31 December 2013 between the Company and Blessplus Sdn Bhd (“Vendor”) in respect of the Proposed Acquisition has been terminated today due to non-fulfillment of the Conditions Precedent despite the extension of the Conditions Period (Termination”). The Deposit has been refunded by the Vendor to Box-Pak. Henceforth, neither party shall have any further claims against the other in respect of the Proposed Acquisition. The Termination will not have any material effect on the earnings and net assets per share of Box-Pak for the financial year ending 31 December 2014. This announcement is dated 9 September 2014.
