股权频出现变动 无损Bertam资产素质
二零一五年六月二十四日 晚上七时二十分
(吉隆坡24日讯)市场观察家说:“过去数月,产业发展商Bertam联合有限公司(BERTAM,9814,产业组)的股权结构和董事局已显著地出现一些变化。这些新股东的出现都与另一家上市公司有联系。”
该集团董事经理林玉火于去年10月任职,最近他以每股84仙购入18万5000股,使他的持股增至3380万股或16.3%股权。
根据大马交易所资料显示,林氏在5月18日于公开市场以每股84仙购入上述股票,这较当日收市价69仙高出许多。有趣的是,Bertam联合的每股净资产值在截至3月底仍维持在84仙。
因此,林氏继Wisma Jutamas私人有限公司持股32.9%后,成为该集团的第2大股东。
Wisma Jutamas是由2名拥有相同权力的股东所控制,他们分别是扎提查姆扎哈利和扎里发卡迪斯,而该公司的2名董事分别是李启辉与李启聪(以上人名译音)。
去年7月,Wisma Jutamas向柏年控股有限公司(BREM,8761,建筑组)收购上述股权。
此外,林氏也是家具公司实值国际有限公司(PWORTH,7123,工业产品组)董事经理兼最大股东,一共持股11.5%。
他也是产业发展商和混凝土产品制造商砂统一工业有限公司最大股东,总共拥有29.3%股权。
之前,Bertam联合有一名持股25.3%名叫邦德资源私人有限公司的股东。不过,它在3月3月脱售1740万股或8%股权。并且在5月18日出售16.9%或3490万股与林氏及其他团体后,已终止成为该集团的主要股东。
邦德资源是颜思兴和邓美容(以上人名译音)的投资工具。
除了林氏外,实值国际执行董事顾震蛮也在5月,被任命为Bertam联合董事。
这意味着Bertam联合的7名董事中,有2名与实值国际有联系。
顾氏也是东方酒店(SDK)私人有限公司的公司秘书,后者在5月18日突然购入Bertam联合1700万股或8.2%股权,而成为主要股东,但在5月26日出售990万股后,终止主要股东身份。
据马交所资料显示,东方酒店是苏迪曼乌斯曼和安迪三赛安尼莫哈末里达的投资工具。
上述2人持有东方酒店相同的股权,不过后者是一家冬眠公司。
至于谁累计买入东方酒店和邦德资源所脱售的股票,则不得而知。
另一方面,去年8月,Bertam联合向Damaipuri产业私人有限公司收购一幅面积达2.7英亩位于哥打京那巴鲁总值4150万令吉的土地。而Damaipuri产业是由林氏和洪利荣(译音)所控制。
目前该幅地段已抵押给沙巴发展银行有限公司,若要全面赎回则须付出3780万令吉。Bertam联合已获准在该土地进行建议中兴建18层共220个单位的住宅公寓项目。
有趣的是,在马交所的公布中说:“无论是买方还是卖方都没有公开上述土地的净账面值”。
去年10月,Bertam联盟以4300万令吉向纳迪哈西尔(马)私人有限公司收购一幅面积达33英亩的土地,而卖方的其中一名董事是安迪三赛安尼。
有了上述新土地后,Bertam联合很可能会进行更多的产业发展活动。
在截至2015年12月31日止第1财季,Bertam联合所取得的净利润按年从1510万令吉大跌至310万令吉,因为来自产业发展与建筑活动贡献减少所致。
该集团拥有健全的资产负债表,在截至2015年3月31日止,净流动资产高达1亿5198万令吉,主要是产业发展存货达1亿90万令吉、贸易和其他应收款项6510万令吉,以及现金接近300万令吉;相对应付账款仅2380万令吉,以及短期债务560万令吉。
至于总净借贷达5517万令吉,仅占股东基金1亿7438万令吉的31.6%。

柏丹1亿2800万售2地皮
2016年7月6日
(吉隆坡5日讯)柏丹(BERTAM,9814,主板产业股)宣布,以1亿2800万令吉脱售2片共占地4万7930平方米(11.8英亩)的地皮,给国浩置地(GUOCO,1503,主板产业股)子公司Tujuan Optima私人有限公司。
据马交所的文告,柏丹预计该售地活动,将取得7984万令吉的净利。
上述2片地皮皆位于蕉赖9英里,面积分别是3万6928平方米以1万1002平方米,属于永久地契。
截至2015年12月31日,该地皮的账面净值为4296万令吉,而在今年3月19日由DTZ Nawawi Tie Lung(DTZ)估值后,价值为1亿2511万令吉。
该公司会预留资金偿还贷款,以便达到零负债水平。截至2015财年,该公司的累积亏损为3851万令吉,而总负债有1亿387万令吉。
