倒置收購嘉年建築 Trinity集團宣佈協議失效

（吉隆坡17日訊）Trinity集團因考量申訴結果，宣布倒置收購嘉年建築（BGYEAR，7023，主要板建築）的前期協議（HOA）失效。

馬證交所報備文件指出，Trinity集團與嘉年建築的倒置收購前期協議于16日（週四）到期，然而當日Trinity集團致函給嘉年建築，決定目前不會繼續執行該前期協議，並宣告協議失效。

報備文件指出，這主要是嘉年建築尚未解決訴訟清盤事宜、針對除牌提出上訴未明朗及為應付債權人申請的禁令未獲批等等問題，Trinity集團決定前期協議失效。

不過，如果在本月31日前，或Trinity集團認為適合的期限內，上述部分問題得以解決，或嘉年建築申請要求發布禁止令，Trinity集團將考慮重新談判倒置收購議案。

早前根據前期協議的條件，雙方得盡力談判，並在16日前或延期30個工作日內，達成最終協議。

Description	BINA GOODYEAR BERHAD (“BGB” OR THE “COMPANY”) HEADS OF AGREEMENT
We refer to the announcement dated 2 September 2014 in relation to the heads of agreement (“HOA”) entered into between BGB and Trinity Group Sdn Bhd (“Vendor”) on even date. The Company wishes to announce that the Vendor has on 16 October 2014, written a letter to BGB in relation to the HOA executed between BGB and the Vendor for the proposed reverse take-over of BGB (“Proposed RTO”). Pursuant to the terms of the HOA: (a) the parties are to endeavour to negotiate in good faith to execute the Definitive Agreement for the HOA by 16 October 2014, being the date falling 30 Business Days following the date of the HOA (under clause 4.2); and (b) the HOA expires on 16 October 2014 (under clause 4.3(b)). However, the Vendor noted that it is presently not possible to negotiate and execute the Definitive Agreement as, amongst others: (a) BGB is currently subject to a winding up-order granted by the High Court of Malaya at Shah Alam (“Winding-Up Order”) arising from the Winding-Up Petition No. 28-20-01/2013 presented by Boon Wah Air-Conditioning Engineering Sdn Bhd; (b) a stay needs to be obtained against the Winding-Up Order; (c) BGB’s appeal against the Winding-Up Order at the Court of Appeal is presently fixed for case management on 11 November 2014; (d) BGB’s appeal to the Listing Committee of Bursa Malaysia Securities Berhad (“Bursa Securities”) against de-listing under paragraph 8.04 of Bursa Securities’s Main Market Listing Requirements is pending deliberation by the Listing Committee; and (e) BGB’s application for a restraining order (“RO”) against its creditors presenting any further claims can only be made after a stay of the Winding-Up Order has been granted. The viability of the parties to the HOA proceeding with the negotiation and execution of the Definitive Agreement would depend, amongst others, on the outcome of the various appeals and/or application(s) as described above. In view of the abovementioned matters, the Vendor has decided to allow the HOA to lapse without renewing or extending its validity period. If, by 31 October 2014 or such further period as the Vendor may deem fit: (a) there is a stay of the Winding-Up Order; and (b) BGB makes its application for the RO;   the Vendor will consider resuming/recommencing negotiations on the Proposed RTO based on the terms as set out in the HOA for such further period deemed appropriate. 审计师：持续经营成疑 嘉年建筑财报遭否定

（吉隆坡31日讯）嘉年建筑（BGYEAR，7023，主板建筑股）审计师，针对公司截至今年6月杪的财报，发表“否定声明”（Disclaimer Opinion）。

嘉年建筑向马交所报备，外部审计师Messrs Morison Anuarul Azizan Chew表明，他们无法取得足够审计证据，并为公司2014财报提供任何审计意见。
亏损赤字各近亿

审计师指出，公司已接获高庭清盘令、净负债9505万令吉、股东基金赤字9374万令吉，以及无法偿还的定期贷款600万令吉。

公司目前正依据公司法令第176条文，探讨如何重组债务。

因此，审计师认为，嘉年建筑具有许多不稳定因素，故质疑公司持续经营能力。

审计师指出，最终得视清盘令上诉结果、公司及时提交重组计划给马交所，以及公司与银行和供应商的洽商成果而定。【南洋网财经】

嘉年建筑脱离PN17无望

（吉隆坡5日讯）Trinity集团正式取消倒置收购嘉年建筑（BGYEAR，7023，主板建筑股）计划，后者无望脱离PN17公司行列。

该公司今日向马交所报备，在周二接获肯纳格投行函件通知，买家Trinity集团决定不再恢复倒置收购谈判，双方商谈到此结束。

早在10月17日，Trinity集团就表明意愿，无意进入最终协议的程序，主要是因为嘉年建筑接获高庭的清盘令、需要申请暂缓令、针对马交所除牌决定提出上诉，以及申请针对信贷方的限制令。

Trinity集团最终决定让暂定协议失效，不延长有效期。【南洋网财经】

嘉年建筑明日除牌

（吉隆坡18日讯）嘉年建筑（BGYEAR，7023，主板建筑股）将于本月20日（周四）除牌下市。

嘉年建筑是在2012年，被列为PN17公司，该公司曾在去年预计，最快在2014年杪转亏为盈，并脱离PN17行列。

不过，马交所在今年8月，否决公司的重组计划，并勒令在9月8日除牌。

后来，Trinity集团指要通过倒置收购拯救嘉年建筑，但在本月初取消该计划，导致嘉年建筑无望脱离PN17。【南洋网财经】

LISTING'S CIRCULAR NO. L/Q : 71904 OF 2014

Bursa Malaysia Securities Berhad (Bursa Securities) had dismissed Bina Goodyear Berhad’s appeal against de-listing of the company's securities from the Official List of Bursa Securities pursuant to paragraph 8.04 of Bursa Securities Main Market Listing Requirements.

In the circumstances, the securities of the company will be removed from the Official List of Bursa Securities on Thursday, 20 November 2014.

Effect of De-listing from the Official List of Bursa Securities

With respect to the securities of the company which are currently deposited with Bursa Malaysia Depository Sdn Bhd ("Bursa Depository"), the securities may remain deposited with Bursa Depository notwithstanding the de-listing of the securities from the Official List of Bursa Securities. It is not mandatory for the securities of a company which has been de-listed to be withdrawn from Bursa Depository.

Alternatively, shareholders of the company who intend to hold their securities in the form of physical certificates can withdraw these securities from their Central Depository System (CDS) accounts maintained with Bursa Depository at anytime after the securities of the company have been de-listed from the Official List of Bursa Securities.


This can be effected by the shareholders submitting an application form for withdrawal in accordance with the procedures prescribed by Bursa Depository. These shareholders can contact any Participating Organisation of Bursa Securities and/or Bursa Securities’ General Line at 03-2034 7000 for further information on the withdrawal procedures.


Upon the de-listing of the company, the company will continue to exist but as an unlisted entity. The company is still able to continue its operations and business and proceed with its corporate restructuring and its shareholders can still be rewarded by the company’s performance. However, the shareholders will be holding shares which are no longer quoted and traded on Bursa Securities.
