The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the announcement dated 19 May 2014 in relation to the Proposed Acquisitions.
We refer to the announcement made by the Company on 19 May 2014 in relation to the Proposed Acquisitions.
The Board of Directors of SIGN are pleased to provide the following additional information in respect thereof :-
2.2 Information on the Properties The land area for Property I and Property II is approximately 806.372 square metres and 776.664 square metres respectively.
2.3 Basis and justification of arriving at the Purchase Consideration The Purchase Consideration of RM7,460,000.00 was arrived at on a willing buyer and willing seller basis after taking into consideration the following:-
(i) The Properties are located within the strategic commercial hub of Petaling Jaya with good connectivity and public amenities. The locality enjoys the benefit of exposure to passing motorists from Section 17, Section 14, Section 16, SS2 and other affluent neighbourhood of Petaling Jaya.
(ii) Survey and comparison was conducted by the Management on the market value of similar properties located in the surrounding vicinity of the Properties and/or listings of similar properties in the vicinity. The survey conducted by Management revealed that the properties in the locality and within the similar localities are being transacted/ listed recently at prices ranging from RM350 per square feet to RM810 per square feet depending mainly on the size, specific location, shape, conditions, accessibility, terrain and other pertinent factors.

On behalf of the Board, RHB Investment Bank Berhad wishes to clarify that the following conditions precedent set out in the SPAs dated 18 December 2013 as varied by the Variation Letters dated 15 May 2014 has not been fulfilled :-
1) the transfers from the Developer for Land II and Land III to be duly signed in favour of SMSB; 2) the discharge of charge on Land I from Affin Bank Berhad; and 3) the shareholders' approval of SIGN.
The Vendors have, through their solicitor's letter dated 19 June 2014, accepted that there is a non-fulfilment of the above conditions precedent and hence, in accordance with clause 14 of the SPAs, they will refund to the Purchasers the whole Deposit and the remaining 5% price paid to Sime Darby USJ Development Sdn Bhd on behalf of the Vendors and the Purchaser's solicitors will return the cancelled Transfer for Land I and withdraw all private caveats on Land I, Land II and Land III and thereafter, the SPAs and Variation Letter shall be of no further effect whatsoever and neither parties shall have a claim against the other.
As a result of the above, SIGN will no longer be pursuing the Proposed Acquisitions.

On behalf of the Board, RHB Investment Bank Berhad wishes to announce that a condition precedent set out in the SPA dated 15 July 2013, being the consent and/or approval of the Appropriate Authorities for the re-development of the Properties in accordance with the Layout Plan, has not been fulfilled and had lapsed on 14 July 2014 (being 9 months from the date of the SPA and including an automatic extension of a further period of three (3) months as provided in the SPA) ("Condition Period").
SCSB had, through their solicitors, issued a letter dated 17 July 2014 to the Purchaser notifying the Purchaser of their decision not to extend the Condition Period. Pursuant thereto, the Vendor has also notified of the termination in accordance with Section 6.05(a) of the SPA and that SCSB shall, in accordance with Section 6.04(b), refund the Earnest Deposit to the Purchaser ("Termination Notice").
The SPA shall be null and void and be of no further effect whatsoever and neither parties shall have any rights or claim against the other upon the Purchaser withdrawing any private caveats that they have lodged over the Properties and furnishing to SCSB's solicitor evidence of such withdrawal within 14 days from the date of the Termination Notice.
As a result of the above, SIGN will no longer be pursuing the Proposed Disposal. Further, there will not be any impact to the operation of SIGN Group arising from the lapse of the Proposed Disposal.

(吉隆坡3日讯)胜利者国际(SIGN,7246,主板消费产品股)以5078万令吉,向大马朝圣基金局(Lembaga Tabung Haji)和THP Enstek发展购买5块土地,兴建新厂房。
文告显示,胜利者国际独资子公司Signature地产已与卖家达成协议,以现金收购上述位于森美兰州的5块土地。
这批拥有永久地契土地面积达38.86英亩,与正在发展的Techpark@Enstek工业园第二期计划毗邻。

合理價:3.12令吉
勝利者國際(SIGN,7246,主要板消費)首季業績表現符合預期,因此我們上修2015至2017財年每股盈利達18%到25%之間,以反映強勁營業額成長。該公司潛在重估因素,包括獲取更多主要合約,以進一步擴大淨利賺幅。
同時,勝利者國際現有訂單創下高于2億5000萬令吉新高紀錄,今年取得新訂單較去年強勁。該公司在未來幾年的業集表現將持續獲得提振,營業額表現料在2017年達到頂峰。
勝利者國際在2013年售出房產,估計會在2016至2017年間交付。作為行業領導者,該公司蓄勢接手更多主要合約,我們估計本財年訂單將增至3億令吉紀錄新高。
在今年9月,勝利者國際建議以5080萬令吉,收購一塊位于吉隆坡國際機場附近的39英畝工業土地,該公司計劃將現位于哥打白沙羅(Kota Damansara)工廠的生產設施移出來。

胜利者国际明年创双位数成长

(吉隆坡10日讯)胜利者国际有限公司(SIGN,7246,消费产品组)有信心,在强劲订单和持续投标更多计划的努力下,将可在明年创下双位数的收益成长。
集团董事经理陈腾云认为,双位数收益成长‘将不是问题’,因该厨房与衣柜系统供应商的订单现企于2亿令吉以上,投标订单则介于4亿至5亿令吉之间。
“明年展望仍然有利可图。”
该集团的股东们已通过以5000万令吉收购5幅工业地段的议程。它有意在此间兴建一座工厂,以扩充集团的生产。
陈腾云表示,它将耗时4年左右以建竣这间新工厂及开始投产。其现有散户订单的产能约为80%。
在截至2014年9月30日止首个财季,胜利者国际的净盈利增加3倍至667万令吉,比较之前为203万令吉,而营业额则由一年前的2702万令吉提高逾倍至5935万令吉。
收益增长的主要贡献者是其厨房与衣柜领域的计划部门,而销量大幅增长则是来自所赢得的更高计划订单,带动更高的收入。
“我们的现有生产是迎合我们的散户客户。我们大部分的计划、生产是外包。基于计划收益的增长,我们看到扩充我们内部生产设备的需要,以迎合我们散户和计划部门。”
不过他承认,随着产业市场放缓,该集团明年可能面对一个挑战年,因此它目前‘全力以赴’争取更多计划,以减轻其影响。
目前,该集团仍然忙于过去2年产业推介所获的计划。

竞标一马房屋厨房设备合约 胜利者国际盈利前景看俏

(吉隆坡20日讯)胜利者国际(SIGN,7246,主板消费产品股)竞标一个马来西亚房屋(简称PR1MA)厨房设备合约,联昌国际投行看好合约将捎来可观的盈利。
根据媒体报道,胜利者国际竞标的合约,是计划在2018年之前,完成安装50万户中低价房屋的厨房设备。
分析员指,如果以每套厨房设备4000令吉的成本计算,该合约料高达2亿令吉。
同时,产业市场在2013年达到高峰,随着产业逐渐交付予买家,将会带动安装厨房设备的业务增长,胜利者国际的盈利,有望在未来3至4年交出亮眼的成绩。
政府并未将安装厨房设施的开销纳入房屋贷款,因此,公司除了专注于高档产业项目的业务,也积极寻求将安装业务与房屋贷款结合。
手持2亿订单
目前,胜利者国际的手持订单总值2亿令吉,正竞标5亿令吉的新订单。
零售业务为2014财年营业额贡献30%,展望该业务在今年将上涨10%,并在未来三年,维持每股盈利双位数的增长。
联昌国际投行给予“增持”评级,目标价格为3.12令吉。

標獲2億合約‧勝利者財測暫不調整

(吉隆坡23日訊)雖然勝利者國際(SIGN,7246,主板消費品組)競標一馬房屋計劃(Pr1ma)廚柜系統總值2億令吉合約讓聯昌研究大感驚喜,但因還在初始階段,所以暫不調整業績預測。
雖然如此,只要大型產業工程不延期,勝利者國際在今年仍然可以連續第三年取得雙位數成長。
一馬房屋計劃預計將建造50萬間可負擔房屋,若以每間廚房4千令吉計算,該合約價值將為該公司帶來2億令吉回酬。
除了一馬房屋計劃以外,勝利者國際也希望從依斯干達特區的中國發展商處獲得大型合約。
該公司之前競標的第一階段巴特西計劃雖失敗,但仍然會競標巴特西第二階段總值2千萬至3千萬令吉的計劃,預計將在2016年中頒發。
勝利者國際目前有2億令吉訂單,競標項目總值則達5億令吉。
除了努力增加訂單以外,該公司嘗試與政府商量,把廚柜納入房屋貸款內,因為目前這類開銷並不納入房屋貸款之中。
在佔該公司30%業績的零售區塊,該公司打算5年內多開2家分行,預計2015財政年營業額仍然可增加10%。
按目前狀況,只要大型產業工程不延期,勝利者國際獲得雙位數的每股淨利成長不是難事,而且估計此勢頭將持續,在2017財政年時創業績高峰。

有信心本財年創盈利紀錄 勝利者國際衝上新高

(吉隆坡16日訊)勝利者國際(SIGN,7246,主要板消費)次季淨利創下最佳季度表現,帶動股價上探2.10令吉,為52周新高水平。
勝利者國際早盤起15仙以1.95令吉開市,之后一度大漲30仙至2.10令吉,刷新52周新高價位,休市報1.96令吉,起16仙。
截至下午4時半,勝利者國際報1.94令吉,起14仙,成交量160萬7100股。
聯昌證券研究指勝利者國際自2014年中,營業額持續成長,這股趨勢料可持續未來數年。若房產發展商有任何延期交付,預計勝利者國際盈利最早會在2017或2018年達到頂峰。
該公司季度盈利表現正面,其中核心淨利盈利僅低于1000萬令吉,利息、稅務、折舊與攤銷前盈利(EBITDA)賺幅高于20%。在營業額成長和大經濟環境帶動下,勝利者國際相信可在2015財年創盈利紀錄。
獲更多合約
“公司2015至2017財年每股盈利預測上修約45%至54%,潛在重估因素包括獲取更多合約及賺幅提升。”
同時,報告指出,勝利者國際現有高于6%股息收益,甚具吸引力。
