We refer to our announcements dated 2 May 2019 in relation to the Letter of Offer (“First Announcement”) and 23 August 2019 ("Second Announcement"). Unless otherwise expressly stated, all expression defined in the First Announcement shall have the same meanings when used in this announcement.   The Board of NPC Resources Berhad (“Company”) wishes to announce that, as the parties are unable to reach an agreement to certain terms of the transaction, the Company had on 25 October 2019 received a notice of termination from the Purchaser’s solicitors to terminate the Letter of Offer.   Pursuant to the Clause 7 of the Letter of Offer, the Company had on 29 October 2019 instructed the Stakeholder to refund the Earnest Deposit to the Purchaser. The termination of the Letter of Offer is not expected to have material financial impact on the earnings per share and net assets per share of the Company for the financial year ending 31 December 2019.
