关丹面粉厂停工

关丹面粉厂向马交所报备，在本月9日获得来自Felcra的意向书（LOI）。

根据文告，Felcra将探讨收购关丹面粉厂活动的可行度，且将对4目标作出评估。

该项目标即是，通过倒置收购为关丹面粉厂注入可赚钱的资产；让关丹面粉厂业务转亏为盈；让关丹面粉厂脱离PN17行列；同时也为Felcra贡献回酬和协同效应。

不过，Felcra未透露收购价值。

该意向书有效期为6个月，本月9日起生效。

1.Introduction The Board of Directors wishes to announce that KFM had on 9th December 2016 secured a Letter of Interest (‘LOI”) from Felcra on its interest to explore and possibility to participate in KFM’s equity. 2.Information on Felcra Federal Land Consolidation and Rehabilitation Authority (“FELCRA”) was established in 1966. Its objective is to develop rural sector by helping its community to participate in national economic activities, thus improving their standard of living. Since 1 September 1997, FELCRA is known as Felcra Bhd due to its corporatization. It is no longer a statutory body but has becomes a fully Government owned company. With the change of its corporate entity, Felcra is now able to explore new business opportunities, in line with national development aspiration 3.Details of the LOI 3.1           Effective date  of  LOI                The effective date of LOI is 09 December 2016. 3.2           Felcra envisage that its overture shall be driven by the objective of assessing the feasibility and viability to achieve, among others, the following:                i)  Successful injection of suitable profit generating asset into KFM under reverse takeover;                ii) Turnaround of KFM’s existing business;               iii)  Regularization of KFM status/position out of PN17;               iv)  Suitable return and/or synergistic value creation to Felcra. 3.3          The LOI shall not, in anyway be construed as an offer and that  Felcra’s ability to move forward on this initiative shall be subject to, in no particular order:                i) Favourable outcome of its feasibility and viability study;                ii) Satisfactory outcome of due diligence;               iii) Approval by Felcra’s Board of Directors;               iv) Approval by relevant Ministries; and                v)  Regulatory approval from relevant authorities. 3.4          Duration of LOI               The LOI and its content shall remain valid for a period of not more than six (6) months from 09 December 2016. 关丹面粉厂 KFM – 戏剧性的悲惨故事

在大马股市里，一天可起50%的股票几乎已不存在 (不包括凭单)，更别说起100-200%。然而，股市本来就是变化莫测的地方。一家没有任何价值可言的公司，关丹面粉厂KFM，可在一天从8仙暴涨至24.5仙，相等于200%的涨幅。这为处于低迷的股市激起一些波浪。

KFM可在一天被推至那么高，背后肯定有集团在操控，而且从10仙推至20仙仅仅只用少于10分钟的时间。从这不寻常的手法来看，其目的预计是要在短时间内吸引大批散户进场，然后把票统统卖给他们，借此脱手和大捞一笔。值得一提，在股价被推高前，KFM一天平均交易量少于0.25m，有些天甚至没有任何交易。

然而，好戏还在后头，今天 (12/15) FELCRA经过紧急商议后决定撤回收购KFM的意思。因此，早前 (12/9) 的参股意向书，也立即失效。在失去“白武士”的打救，KFM的前景越来越暗淡，距离下市已不远。奇怪的是，FELCRA为何可在3天内突然转态。这显得非常不寻常，犹如小孩子在玩泥沙。通常两方在签下意向书后，都会在至少两个月后才会有明确的答案，当中包括分析、调查、探讨等等。

可以肯定的是，明天KFM的股价必定插水，很大可能跌回10仙以下。这次不知会有多少散户被当炮灰。

其实，这已不是KFM第一次遇到类似情况。早在2015年1月，KFM曾与NEP钻石能量水签署意向协议书，通过倒置收购把上市地位转给后者。然而，在2015年3月，这倒置收购计划告吹，因双方无法在限期前达到协议。同时，双方也无意寻求延长期限。

从投资的角度来看，KFM是家连年亏损的面粉生产商。其营业额更是一年比一年差，而最新季度的营业额只有区区的RM2,000。这也意味KFM的厂房已经停止投产和营运。由于现金流吃紧，KFM已无法投入资金在生产上，导致其厂房无法达到最低的生产水平，更达不到预期的经济规模。因此，KFM唯有停止全部生产活动。

KFM的遭遇不止如此，它曾在2015年3月遭一家基金公司追索USD1.62m。基于债务繁重，KFM在去年7月以总值RM2.1m脱售位于USJ工业区的两家工厂，以偿还贷款。之后，它还一度削减面值，以缩减累积亏损。然而，KFM依然无法扭转其局面，因股东资金不及缴足股本的25%，而正式落入PN17行列。

雪上加霜的是，其执行董事兼总执行长【MR. LEE】在今年7月以健康为由辞去职务，不再和公司共患难。按照目前局势来看，KFM基本上已翻身无望，预计不会有人愿意去接手，下市也只是时间上的问题。

KFM的悲惨故事已说完。总结，只要散户肯花些时间去了解企业的小细节，即可知道FELCRA参股的可能性不大。因此，说难听些，茫然跟风买入KFM的股友是咎由自取，不应怪人。

（吉隆坡15日讯）联邦土地复兴和统一局（Felcra）短短不到一周内，就宣布放弃收购关丹面粉厂（KFM，8303，主板消费产品股）股权的计划，消息震惊市场。

关丹面粉厂今日向马交所报备，昨天收到Felcra的信函。后者指出，经过紧急商议，决定取消收购关丹面粉厂股权的计划。

随此，Felcra早前向关丹面粉厂发出的意向书也将立即失效。

周二，关丹面粉厂才宣布接获Felcra的意向书，表示有意收购该公司，或成“白武士”，助该公司业务转亏为盈。

当时，Felcra称，将探讨收购关丹面粉厂活动的可行度，且将对4目标作出评估。

分别是通过倒置收购为关丹面粉厂注入可赚钱的资产、让关丹面粉厂业务转亏为盈、让关丹面粉厂脱离PN17行列、同时也为Felcra贡献回酬和协同效应。

同时意向书本月9日起生效，有效期为6个月。若是双方无法在该有效期内，进一步签署协议，该项意向书将会失效。

惟短短数日，Felcra就打消念头，事情峰回路转。

续探索其他机会

关丹面粉厂管理层指出，将持续致力于探索其他机会，以及其他人士有意重组和复兴该公司的机会。

该公司今早以配合一项重大事项的宣布为由，宣布暂停交易一天。之后，就传出Felcra无意收购该公司股权的消息。

一天蒸发1023万．跟风散户惨赔．交易所：关丹面粉解释

（吉隆坡16日讯）联邦土地统一与复兴局（Felcra）迅速撤回倒置收购提议后，PN17公司关丹面粉（KFM,8303,主板消费品组）市值一日内蒸发了1023万4362令吉，大马股票交易所今日要求该公司解释建议撤销的原因。

该公司在回应文告中说，董事部并不知道Felcra取消献议的原因，目前正向Felcra了解更多详情。该公司表示将适时公布更多进展。

股价大跌15仙

该公司周五开市一度暴跌71.42%或17.5仙，市值一度蒸发1194万令吉，后来跌幅收窄，全天挫15仙或61.22%，以9.5仙闭市。

关丹面粉在周二收到Felcra意向书（LOI）探讨透过倒置收购参股的可能性。消息公布后，该公司股价从4仙飙涨100%至8仙，周三该股继续狂涨14.5仙或181.25%，闭市报24.5仙。

在短短2天内，该公司股价从4仙飙涨超过5倍，至24.5仙水平；市值从272万9163令吉涨至1637万4980令吉，一共增加1364万4587令吉。

大马抽佣经纪主席黄峋理对《星洲财经》表示，如关丹面粉等股市炒作事件十分不健康，相信很多散户已经蒙受损失。

“大马股票交易所规定若上市公司有重大相关消息必须向大众宣布，关丹面粉获得Felcra意向书，其实就是一种信用状（Letter of credit），投资者选择购入实属正常。

但该消息公布不到两天就告吹，这处于灰色地带，监管单位有必要做出澄清。”

不愿具名市场人士告知，相信该事件已经引起大马交易所或证监会关注，毕竟实在太不寻常。

“关丹面粉股价掉得太快，是否有人能洞悉先机，这我无法确定，但肯定的是一定有资金雄厚的大户在幕后参与；我认为监管机构已经在观察事情进展。”

另外，兴业研究高级经理林师伟表示，这次受到损失的一定是小散户，因为机构投资者是不会参与已经列入PN17的公司。

“在有利好消息情况下，投资者进场追捧是平常不过的事情，不过该公司股价变化之快，确实有点不平常。”

太平洋证券研究主管冯廷秀接受《彭博社》访问时说：“如果你根据公开消息进行交易，你不会预料到会在这么短的时间内损失那么多，或者一项计划可以完全出乎你的意料之外。”

这不是第一次关丹面粉重组碰壁，在2015年1月钻石能量水经销商NEP控股有意倒置收购该公司，但在3月时宣布谈判破局。同年12月，该公司因为股东基金不足缴足资本25%，因而被列入PN17行列。

其截至最新2016年9月30日止第四季营业额仅仅2000令吉，净亏452万4000令吉，拖累全年亏损1209万2000令吉。

（吉隆坡16日讯）随着联邦土地统一及复兴局（FELCRA）昨日撤回意向书（LOI），并撤销探讨和有意入股关丹面粉厂（Kuantan Flour Mills Bhd）的可能，这家PN17公司在今日恢复交易后，股价预计将大跌。

关丹面粉厂的董事部表示，12月14日已收到FELCRA的一封撤销信，后者宣告撤回这份意向书。

FELCRA在信函中指出：“在紧急审议我们探讨和有意入股的可能后，我们特此告知，即起生效，我们撤销并停止探讨参与关丹面粉厂股权。因此，我们致关丹面粉厂，志期2016年12月9日的信函，不再负任何效力。”

他解释道，FELCRA突如其来撤销入股意愿最终将导致关丹面粉厂的股价暴跌，从而为某些投资者制造机会，趁势逢低买入该股并从中赚取利润。

FELCRA这次打退堂鼓也意味着，关丹面粉厂已第二次错失白武士拯救的机会。NEP Holdings（马）私人有限公司在2015年1月首次提出献购献议，该公司的核心业务为滤水机系统分销，旗下品牌包括Diamond滤水机。

这项献议在3月（提出献购献议仅两个月后）也随即告吹。

与此同时，根据之前的报道，FELCRA最初也未能在2013年进行首次公开募股（IPO）活动，目前正试图透过倒置收购关丹面粉厂来借壳上市（back door listing）。

（吉隆坡21日讯）联邦土地复兴和统一局（Felcra）声明，该局收回收购关丹面粉厂（KFM，8303，主板消费产品股）的建议，是避免进一步误导公众。

Felcra昨日发表文告指出，该局没有与关丹面粉厂达成任何协议，也没有明确提出倒置收购的计划。

根据Felcra文告，倒置收购只是该局和关丹面粉厂预期的合作方案之一。

该局也提到，向关丹面粉厂提出的建议，只是属探索建议，并需通过管理层审议。

“我们了解关丹面粉厂有义务向马交所报备，但该公司在作出报备前，没有向我们作出正式回应，让我们感到震惊。”

Felcra也驳斥通过与某些企业合作，企图抬高关丹面粉厂股价的说法。

（吉隆坡23日讯）关丹面粉厂（KFM，8303，主板消费产品股）声明，还未收到联邦土地复兴和统一局（Felcra）有关放弃收购事件的正式回应。

关丹面粉厂昨天向马交所报备，周三（21日）致函Felcra，要求厘清取消收购该公司股权计划及相关新闻，以便回应股票交易所的查询

“但至今，我们仍未受到任何正式回应。”

这家PN17公司13日向交易所报备，在9日获得来自Felcra的意向书（LOI），探讨收购关丹面粉厂的可行性。

惟在5天后（14日）Felcra就打消念头，宣布取消收购关丹面粉厂股权的计划。

关丹面粉厂向马交所报备，与Lotus Essential有限公司（简称Lotus公司），今天达成了解备忘录（MoU），双方将展开数项活动，为关丹面粉厂重组债务和业务。

在这项有效期6个月的备忘录中，关丹面粉厂提议，通过发行附加股和特别发股，进行股权筹资。

开放验证备忘录

同时，关丹面粉厂将和Lotus公司合作，进行面粉制造和面粉与食物相关产品的贸易。

备忘录上指明，关丹面粉厂将向Lotus提供面粉加工活动，而Lotus公司必须为关丹面粉厂安排策略投资计划。

关丹面粉厂向马交所报备，Gebeng Tyres & Services私人有限公司（GTS）追讨16万1182.10令吉，而DPO大马私人有限公司则追讨7万4050令吉。

对此，公司必须在14天内递交出庭通知书（Memorandum of Appearance）。

除了未偿还的债务，以及抗辩的法律成本之外，公司预计不会进一步面对损失。

王宝钦．关丹面粉寻常不寻常

关丹面粉（KFM，8303，主板消费品组）短短两周内公布第二名白武士，股价再次狂飙100%，令人大感意外的是，该公司竟然未收到不寻常交投（UMA）质询。

12月中旬，该公司宣布接获联邦土地统一及复兴公司（Felcra）的倒置收购提议，3天后却取消，造成股价短短几天大起大落，一路从4仙冲上24.5仙，再迅速退回8仙。当时，不少人对于这也算是“寻常交投”，而感到迷惑不已。

奇怪，那么今年5月期间，关丹面粉由5仙涨至13仙左右，却为何招来一纸质询？当时，该公司也只回应说，仍在安排脱离PN17陷困行列的重组计划，此外，对于股票不寻常交投一概不知情。

显然，比较这几次的反应，该公司公布重组计划，完全可以成为股价狂飙的充份理由，其他面临相同情况的陷困公司，必要时不妨参考这些“范例”。

关丹面粉让人疑惑的第二点是，如果5月说对于其他影响股票交投的原因不知情，那么7月13日53岁的首席执行员兼执行董事李志坚（译音）以个人健康为由辞职，还有9月30日该公司的现金短绌和亏损严重，决定结束面粉制造业务，这些事件该公司当时知情吗？

在一连串“寻常”和“不寻常”买卖交替之前，关丹面粉的股东其实十分令人同情，特别是在多事之秋的2015年。

当时，该公司宣布接获钻石能量水经销公司NEP控股（NEP Holdings）的建议，打算让出上市地位，计划却在2个月后告吹；8月，该公司再建议削减股票面值，从原本的每股50仙大砍至5仙，以缩减累计亏损；可是，12月该公司却因股东资金不及缴足股本的25%，而落入PN17行列，自此展开让人眼花缭乱的重组旅程。

目前，该公司申请延长重组期限至明年6月，最新的白武士这一次到底能不能英雄救美，抑或该公司依然只是扶不起的阿斗，见证两次失败的投资者，应该心里有数了吧？

关丹面粉厂冀今年脱离PN17

（吉隆坡2日讯）关丹面粉厂（KFM，8303，主板消费产品股）将展开一项企业活动，以便在今年脱离PN17公司行列。

关丹面粉厂主席古沙依里在年报中指：“今年主要焦点将落在重组计划，以脱离PN17公司行列。和展开一项合适的企业活动，收购强劲且持续经营的业务，以提升集团未来净利。”

在2015年底列入PN17行列的关丹面粉厂，吸引到煤和淀粉交易商Lotus Essential私人有限公司，建议进行股权筹资活动，作为重组关丹面粉厂债务和业务的计划之一。

根据该公司最近呈马交所的年报，关丹面粉厂与Lotus Essential达成了解备忘录（MoU），双方将合作进行面粉制造和面粉与食物相关产品的贸易。

联邦土地复兴和统一局（Felcra）去年12月宣布放弃收购关丹面粉厂股权的计划后，引起了市场关注。

外汇波动冲击

年报中，古沙依里指：“接下来，能够缓和我们情况的方式，是注入新资本，提升生产水平，及认真找出其他能够为公司带来稳定收入和盈利的业务选项。”

针对行业前景，古沙依里认为，尽管面粉市场需求料将保持稳定或良好，但预计原料成本浮动，仍是主要挑战。

他说，大马的面粉市场需求稳定，但业者却受到外汇波动冲击。

“即便全球小麦和原产品价格下跌，该项冲击非常大。”

他补充，令吉兑美元疲弱，已对公司造成影响。

关丹面粉厂截至去年9月30日全年净亏1210万令吉，而前年则净亏1690万令吉。【e南洋】

没敲定复苏计划
关丹面粉厂财报遭“保留意见”

（吉隆坡3日讯）迟迟没有敲定复苏计划，关丹面粉厂（KFM，8303，主板消费产品股）截至2016年9月30日的财报，遭到外部审计师发出“保留意见”（Qualified Opinion）。

该集团今日向马交所报备，外部审计师Messrs McMillan Woods Thomas质疑该集团持续经营的能力，因此给予“保留意见”。

“自2015年底陷入PN17公司行列后，该集团至今还未敲定任何复苏计划。这代表一些显著的不确定因素，可令人怀疑该集团持续经营能力，并可能无法实现资产与偿还负债。”

审计师还指出，截至去年9月30日，关丹面粉厂蒙受1209万2834令吉亏损。

同时，该集团的净流动负债达1795万9612令吉，股东资金也出现1080万9657令吉赤字。

不过，审计师称，撇开经营能力，关丹面粉厂的财报“真实与公允”，符合各机构的条例和要求。

关丹面粉厂也在财报中强调，将展开一项企业活动，以便在今年脱离PN17公司的窘境。【e南洋】

关丹面粉厂冀筹4844万
供还债及营运资本

（吉隆坡30日讯）关丹面粉厂（KFM，8303，主板消费产品股）计划透过私下配售高达30%的缴足股本，同时发行附加股，筹集最多约4844万令吉，用作未来2年企业和还债用途；另外进行债务重组。

关丹面粉厂于2015年12月列入PN17名单，如今拟议这些计划，旨在重整财务状况并转亏为盈，同时减少负债，以及加强现金流量。

早前在去年12月宣布，联邦土地复兴和统一局（Felcra）有意入股，但最后未能成事。

私配及发附加股

事后，于12月27日，该公司与Lotus Essential有限公司（简称Lotus公司）达成了解备忘录，双方将展开数项活动，为关丹面粉厂重组债务和业务，同时进行面粉制造和面粉与食物相关产品的贸易。

据该公司昨天的说明，将会向现有大股东，以及来自Lotus公司董事部的王珊君和王金龙（皆译音），进行私下配售，料发售2046万7000股。

该公司说，假设每股配售为20仙，料能筹得最多约409万3000令吉。

王珊君和王金龙，分别持有Lotus公司的95.61%和4.39%。

另外，关丹面粉厂建议以每2股配5附加股比列，发售最多2亿2174万新股。若以20仙发售价计算，该公司最多可筹得约4434万8000令吉。

合计上述两项企业活动，将会筹得最多4844万1000令吉。

关丹面粉厂指出，当中的2790万7000令吉，将作为未来2年小麦面粉业务的营运资本、1000万令吉为木薯淀粉和玉蜀黍淀粉业务营运资本。

另外，800万令吉为未来6个月资本开销、63万4000令吉为未来三个月还债用途，其余是上述活动开销。

拟重组债务

此外，关丹面粉厂也计划重组债务，包括提出通过债务减免60%来重组债务，35%债务通过发股偿还，余下的5%则以现金支付。

截至去年杪，该公司负债总额为1268万令吉。

由此，关丹面粉厂预计，通过上述债务重组，其贸易和其他应收款项总额，从截至去年12月杪的1931万令吉，减少至663万令吉。【e南洋】
