The Board of Directors of SHH Resources Holdings Berhad (“SHH” or “the Company”) wishes to announce that SHH Furniture Industries Sdn Bhd (“SHHFI”), a wholly owned subsidiary of the Company, had on 12th April 2018 subscribed for 400,000 new ordinary shares in Rampai Pesona Sdn Bhd (“RPSB”) (a company incorporated in Malaysia) for a total cash consideration of RM400,000 (“Subscription”). Information on RPSB RPSB was incorporated as a private limited company on 2 May 2017 under the Companies Act 2016 of Malaysia. The present shareholder of RPSB is Urbanberry Sdn Bhd (“UBSB”), a private limited company incorporated under the Companies Act 2016 of Malaysia. RPSB is currently a dormant company. The intended business activities of RPSB are construction and property development. Pursuant to the Subscription, SHHFI has subscribed for 400,000 ordinary shares at the subscription price of RM1.00 per share whereas UBSB has subscribed for an additional 99,999 ordinary shares at the subscription price of RM1.00 per share. The shareholding structure of RPSB before and after the Subscription are as follows. Funding for the Subscription The Subscription was funded by internally generated funds. Financial Effects of the Subscription The Subscription is not expected to have any material effects on the earnings and financial positions of the SHH Group. Directors’ and Major Shareholders’ Interest None of the directors, major shareholders and/or persons connected with them has any interest, direct or indirect, in the subscription. Approvals Required The Subscription is not subject to the approval of the shareholders of the Company or other relevant authorities. Bhd. to acquire a piece of freehold land measuring a total of 2.0234 hectares held under Geran 50541, Lot 8836, Mukim Kajang, District of Ulu Langat, State of Selangor, for a total cash consideration of RM10,236,600 (“the Proposed Acquisition”).
