(“AGROW”), a wholly-owned indirect subsidiary of OCB, and Medik Gen Sdn. Bhd. (“MGEN”), a wholly-owned subsidiary of LKL International Berhad, to establish and operate a joint venture company, LKL Agrow Healthtech Sdn. Bhd. (“LKLAH”) (“the Joint Venture”). Unless otherwise stated, all terms used in this announcement shall have the same meaning as defined in the earlier announcement. The Board of Directors of OCB wishes to announce that AGROW has on 21 January 2020 entered into a Mutual Termination Agreement (“Mutual Termination Agreement”) with MGEN on the mutual termination of the Joint Venture and the SA entered into with MGEN (“Termination”) and the transfer of 50% equity interest comprising 250,000 ordinary shares in LKLAH held by MGEN (“Sale Shares”) to AGROW for a total consideration of Ringgit Malaysia Two Hundred Thirteen Thousand Eight Hundred and Thirty Three and Sen Forty (RM213,833.40) only (“Acquisition”).
