Type | Announcement | Subject | OTHERS | Description | BSL CORPORATION BERHAD ("BSL" OR "THE COMPANY")- JOINT VENTURE AGREEMENT ENTERED BETWEEN BSL CORPORATION BERHAD AND MR WONG SZE CHIEN | Reference is made to the previous announcement released on 2 November 2017. Unless otherwise stated, the definitions used herein shall have the same meaning as set out in the said announcement.
The Board of Directors of BSL ("Board") wished to provide details of Mr Wong Sze Chien ("Mr. Wong"), being the party who entered into the JVA with BSL as below:
Mr. Wong, aged 41, graduated from RMIT University, Melbourne in 1998 with a degree in accounting. He started his working career in 1999 and has more than five (5) years of working experience in the field of audit, tax and secretarial. He is a member of the Malaysian Institute of Accountants and CPA Australia.
In the year 2009, he started Erayear Group of companies which was involved in diversified industries such as property development, plantation, supermarket, bread shop and a baking academy.
Over the years, Erayear has completed various development projects consisting of residential properties, factory buildings, shoplots and commercial properties. These projects are mainly focused in Perak.
Given Mr. Wong’s vast experience in property development, the Board believes that this joint venture entered into with Mr.Wong, will enable the Group to explore new business opportunities and diversify the Group’s revenue stream.

Introduction Pursuant to Paragraph 9.19(23) of Bursa Malaysia Securities Berhad Main Market Listing Requirements, the Board of Directors of BSL wishes to inform that the Company has on 6 November 2017 incorporated a 51%-owned subsidiary known as BSL Development Sdn Bhd (Company No. 1254305-T ) ("BSLDev").
2. Information of BSLDev BSLDev was incorporated as a private limited company by shares. The share capital of BSLDev is RM100.00. The intended principal activities of BSLDev are to carry on the business of Property Development and Construction.
3. Financial Effect of the Incorporation of BSLDev The incorporation of BSLDev does not have any effect on the share capital and substantial shareholders’ shareholdings of BSL. It is also not expected to have any material effect on the net assets, gearing and earnings of BSL for the financial year ending 31 August 2018.
4. Directors’ and Major Shareholders’ Interests None of the Directors or major shareholders of BSL or persons connected with them, have any direct or indirect interest in the incorporation of BSLDev.

Pursuant to Paragraph 9.03 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of BSL ("Board") wishes to announce that Crestronics (M) Sdn Bhd ("CMSB"), a wholly owned subsidiary of BSL had on 13 April 2018 received a letter dated 10 April 2018 from the Ministry of Finance (“MoF”) that CMSB’s appeal of remission of Import Duty and Sales Tax has been rejected.
Based on preliminary discussions with CMSB’s tax solicitors, BSL is of the view that there are reasonable grounds to review the MoF’s decision by way of judicial review proceedings.
BSL will continue to take all necessary steps to protect the interest of BSL and its subsidiaries (“Group”).
At this juncture, BSL is unable to determine precisely the financial impact to the Group for the financial year ending 31 August 2018.
BSL will update on any further material developments on the above matter from time to time.

The Board of Directors wishes to announce that Crestronics (M) Sdn. Bhd. (“CMSB”), a wholly owned subsidiary of BSL Corporation Bhd had on today received a confirmation from its solicitor that an application for Judicial Review to the Shah Alam High Court against the Minister of Finance, the Director-General of Customs, Royal Malaysian Customs Department, and the Ministry of Finance on the decision to reject CMSB’s appeal of remission of Import Duty and Sales Tax amounting to a total of RM11,131,511.26 had been filed on 5th July 2018. An application for a stay order had been filed in concurrently.
The court has not fixed any hearing date yet at the moment.
The Company will make further announcement if there is any material update on the above said matter.
