INCORPORATION OF A NEW SUBSIDIARY, BOUSTEAD HYDE PARK LIMITED
Reference is made to the announcement dated 24 July 2014 in which the Company entered into a Sale and Purchase Agreement (“SPA”) with Pastel Estate Limited (“PEL”) to purchase from PEL, a freehold property known as Hyde Park Hotel 23-26 Leinster Square London W2 4NE (“the Property”).


One of the salient terms of the SPA was that BHB shall be entitled to transfer the Property to a wholly owned subsidiary and assign the benefits of the SPA to the acquiring subsidiary.


BHB wishes to announce that for this purpose, a new company, Boustead Hyde Park Limited (“Boustead Hyde Park”) has been incorporated in the British Virgin Islands. Boustead Hyde Park is a wholly owned subsidiary of Boustead Properties Berhad, which in turn is a wholly owned subsidiary of BHB. Boustead Hyde Park was incorporated on 19 August 2014 with the principal activity of owning and operating hotels.


The incorporation of Boustead Hyde Park is not expected to have a material effect on the earnings, net assets, gearing of the BHB group for the financial year ending 31 December 2014. There is no effect on the issued and paid-up share capital of BHB.


None of the directors, major shareholders of BHB and/or any persons connected to them have any interest, direct or indirect, in the said incorporation.

(吉隆坡10日讯)莫实得(BSTEAD,2771,主板贸服股)与国库控股休闲和旅游臂膀主题景点及度假村私人有限公司(Themed Attractions and Resorts),将在新加坡联营1间或多间教育中心。

该公司向马交所报备,独资子公司BousteadCurve已与主题景点及度假村公司,签署联营合约,并在新加坡成立Rakan Riang公司,负责教育与娱乐中心的经营。

国库控股是通过独资子公司金马仑高原控股,持有主题景点及度假村公司。

Rakan Riang缴足股本为2400万新元(约6138万令吉),包括360万普通股以及204万可赎回可转换优先股(RCPS)。

(吉隆坡24日讯)莫实得(BSTEAD,2771,主板贸服股)向马交所报备,子公司莫实得Atlas Hall已与柔佛政府投资臂膀KPRJ石油私人有限公司开会,评估可行的商业活动和合作机会。

双方于今年5月,签署了解备忘录,以共同探讨国内油气领域的商机。

KRPJ石油由柔佛人民基建集团(Kumpulan Prasarana Rakyat Johor)持有,隶属于柔州政府之下。

莫实得指出,双方已经展开了会议,以针对商业机会或合作机会进行评估。

双方想要发掘国内的油气领域商机,特别是在柔州。

另外一项了解备忘录,该公司补充,莫实得Atlas Hall和Olio资源私人有限公司,也正处于业务评估初期,目的也是要开拓油气领域的商机。

利空衝擊‧莫實得控股財測下調

(吉隆坡29日訊)莫實得控股(BSTEAD,2771,主板貿服組)因聯號公司艾芬控股(AFFIN,5185,主板金融組)財測下調,加上戰艦(LCS)訂單的進度保守,達證券因此下調該公司2014至2016財政年盈利預測10至11%,棕油成本揚升也成為風險之一。

不過,長期而言,還是看好該公司的戰艦訂單、新產業計劃及進軍油氣業的發展。

達研究表示,銀行業分析員下修了艾芬控股的盈利預測4%至6%,導致莫實得控股的收入同步減少。

除此之外,莫實得控股的棕油種植成本介於每公噸2千300令吉至2千400令吉之間,比目前的原棕油價高,除非產量急增,不然將導致該公司的種植業務在2014下半年蒙受虧損。

今年下半年迄今,棕油平均價企於2千205令吉左右。

首季造90億戰艦助逆轉勝

但是,達研究認為莫實得控股在2015財政年第1季將開始最有利可圖的90億令吉戰艦建造,而造船蒙受的龐大準備金也尾聲,該公司已經渡過最糟時期,戰艦計劃加速發展,預計將提昇該公司海事重工部份的業績表現。

達證券預計,戰艦的賺利為10至15%左右。

除此之外,該公司早前收購了英達島(Pulau Indah)的空地,計劃將用以設立油氣工廠,也收購了PFC工程的80%股份以進軍油氣業。

達研究認為,這可使莫實得控股直接競標國油的計劃,況且,目前PFC工程已手握3億至4億令吉的計劃,而油價下跌預料不會影響本地油氣業的開支,因為國油的不盈不虧價格為每桶60美元。

達證券預計莫實得控股的產業業務貢獻將會在2至3年內因近期的土地庫存而上揚。

該公司接下來的產業計劃分別為與宜家聯營,將會於2016年峻工的購物廣場、總值100億令吉的葛京路(Cochrane)再發展計劃及預計會在2年內推出的Mutiara 482 Cochrane計劃。

目前,產業業務只佔該公司總淨利的10%。

寶實得重工業 獲2.3億政府工程合約

(吉隆坡12日訊)寶實得(BSTEAD,2771,主要板貿服)子公司寶實得海軍船塢(Boustead Naval Shipyard),頒發總值6308萬歐元(約2億2922萬令吉)的政府工程意向書給寶實得重工業(BHIC,8133,主要板工業)子公司。

該公司向馬證交所報備指出,寶實得海軍船塢本週二(11日)向寶實得重工業子公司Contraves Advanced Devices私人有限公司發出工程意向書,設計、建築、安裝、綜合、測試並運送6艘第2代巡邏船。

文告指出,是項合約是由大馬政府頒發予寶實得海軍船塢,頒發予Contraves Advanced Devices公司的部分總值6307萬8474歐元(約6億6222萬令吉),合約有效期為今年11月28日或之前。【中国报财经】

莫實得控股第三季淨利跌81%

(吉隆坡27日訊)莫實得控股(BSTEAD,2771,主板貿服組)截至2014年9月30日止的第三季,淨利下跌81.33%至1千820萬令吉,導致首9個月淨利下跌57.77%至1億零920萬令吉。

第三季營業額小跌0.23%至26億9千430萬令吉,首9個月營業額則小起2.11%至77億8千230萬令吉。

派息6仙

董事部建議派發每股6仙的第三中期股息。全年至今的累積股息達21仙。

莫實得控股副主席兼董事經理丹斯里洛丁說:“這是一個艱難的時期,外在經濟情況持續影響我們的收益增長。儘管挑戰重重,集團其下主要業務仍取得令人滿意的盈利表現,我們也透過穩定的股息派發持續遞交價值給股東。”

產業業務盈利增長至2千500萬令吉。種植業務的盈利下滑至2千零70萬令吉。藥劑業務增長至1千840萬令吉。

莫實得控股4.9%場外易手

(吉隆坡23日訊)莫實得控股(BSTEAD,2771,主板貿服組)的5千100萬股或4.9%股權在場外易手,總值達2億4千378萬令吉。

《彭博社》數據顯示,該批股票平均交易價為4令吉78仙。

週二收市,莫實得控股跌1仙,報4令吉79仙。

莫實得控股最大股東是武裝部隊基金局,持股達58.8%,第二大股東則是退休基金局,股權為8.94%。(星洲日報/財經)

(吉隆坡27日讯)莫实得控股(BSTEAD,2771,主板贸服股)2014財政年末季(截至去年12月31日止)净利按年成长35.8%,至2亿9900万令吉,相比前財政年末季的2亿2020万令吉;不过,该集团2014財政年全年净利则按年下跌14.7%,从前財政年全年的4亿7880万令吉,跌至4亿零820万令吉,这是因为该集团在前年因私有化莫实得房產信託(Al-Hadharah Boustead REIT)而获得1亿3700万令吉一次性盈利。

此外,莫实得控股去年末季和全年营业额皆呈跌,其去年末季营业额从前年同期的35亿9030万令吉,按年挫跌21.3%,至28亿2590万令吉;而全年营业额为106亿零820万令吉,相比前年全年的112亿1200万令吉,按年跌5.4%。

全年派股息26仙

配合去年末季业绩出炉,该集团宣布派发每股5仙股息,全年股息为每股26仙,低于前年的每股30仙。

莫实得控股副主席兼集团董事经理丹斯里洛丁通过文告说,「我们的重心一直都是为股东创造价值,这也是为何我们承诺频密派发股息。在2014財政年,我们共派发每股26仙股息,以该財政年闭市价计算则相等于5.4%的周息率。若无强稳的財务基础,我们將无法作到这点。」

他补充说,虽然过去的一年经济情况欠佳,影响了集团的收益成长表现,但旗下的6大业务仍交出超过7亿令吉的累积盈利,表现不俗。

文告指出,產业业务在该財政年成为集团业绩主要贡献来源,凭著集团策略地点的地库、土地销售以及商业和零售空间需求而获得强稳的增值表现,令税前盈利比上年增加37%,至2亿9500万令吉。

金融投资盈利增7%

与此同时,金融与投资业务的盈利按年增长7%,至1亿1000万令吉。此业务是主要盈利来源--艾芬控股表现稳健。

洛丁总结说,「身为对国家经济带来正面贡献的稳健与多元业务財团,我们有信心,无论经济情况是否波动,我们仍有能力应对並交出稳健收益表现。」

今天闭市时,莫实得控股报4.65令吉,全天跌5仙或1.06%,成交量为12万3700股。【东方网财经】

莫实得多元化投资 1.28亿购IRAT产业50%

(吉隆坡6日讯)莫实得(BSTEAD,2771,主板贸服股)建议以1亿2780万令吉,收购IRAT产业私人有限公司的50%股权,以多元化房产投资组合。

根据文告,该公司建议以每股2.13令吉,购入IRAT产业的6000万股新股,相等于50%股权;而其余的50%股权,则由原有大股东———武装部队基金(LTAT)所持有。

莫实得表示,此建议将包括收购吉隆坡市中心的朱兰塔办公楼和皇家朱兰酒店。基于100%的入住率,这些产业共值5亿800万令吉。

IRAT产业是家投资控股公司,旗下子公司涉足产业投资,并持有IRAT酒店与度假村的70%股权。

同时,IRAT产业也有涉足自动执法系统(AES)业务。

2月27日时,IRAT产业宣布收购AES相关营运公司,扩大收入来源。【南洋网财经】

實話實說:莫實得與IRAT的棘手交易

莫實得控股(BSTEAD,2771,主板貿服組)建議通過認購1億2千780萬令吉新股,來換取IRAT產業私人有限公司50%股權計劃引發爭議。

首先,從事產業投資的IRAT產業在2月27日簽署2項協議來收購負責執行自動執法系統(AES)的承包商--ATES和BetaTegap私人有限公司的100%股權。

但是,莫實得控股並未披露I R A T產業究竟將用多少錢來收購ATES和BetaTegap。同時,考量到AES計劃現已交由政府重新檢討,因此ATES和Beta Tegap在AES計劃的合法性仍不明朗。

此外,莫實得控股也未清楚講明IRAT將如何使用1億2千780萬令吉的資金。但鑒於這與IRAT收購ATES和Beta Tegap時間相近,因此不難揣測這筆資金將用作收購用途。

那麼,IRAT從一開始收購ATES和BetaTegap的原因何在?

政府在2011年將AES合約頒給這2家公司後,礙於公眾巨大反彈,最終在2012年擱置相關計劃。隨後,ATES和Beta Tegap便向吉隆坡仲裁庭提出仲裁。

據悉,現在相關案件仍在審理中,而政府可能需向來2家公司作出賠償。

因此,IRAT產業在ATES和Beta Tegap與政府達成和解後,再收購和接掌AES計劃會否更好?還是IRAT的收購舉動可能對仲裁的結果帶來影響?(星洲日報/財經‧The Edge專版)
