（1）CLIQ能源（CLIQ，5234，主板特別併購組）若無投資，3年退款計劃是否真的有保障？公司會否推辭，只還675令吉而沒有加上利息。

CLIQ能源退款計劃有待考驗

答：
（1）根據證券監督委員會的條例，特別用途收購CLIQ能源需在3年時間內，成功注入符合資格的業務，否則將進行清盤，償還大部份款額予股東。

若是3年時間內成功收購業務，仍得召開股東特別大會，尋求小股東的批准，且管理層無權投票。若無法在期限內完成收購，有關公司將90%存進信托戶口的投資額，加上利息回退給投資者。

CLIQ能源是否將把公司現金退回給股東，以及到時有沒有在退款加上利息，或是加以推辭，目前尚難确定，就讓市場拭目以待吧。（星洲日報／投資致富‧投資問診‧文：李文龍）

（吉隆坡24日）CLIQ能源（CLIQ，5234，主板特殊用途公司）宣布，与俄罗斯採购公司--Phystech Firm签署总值1亿1730万美元（约4亿3340万令吉）的有条件买卖协议，以收购后者在哈萨克斯坦共和国（THE　REPUBLIC　OF　KAZAKHSTAN）特殊用途公司（SPV）的51%股权。

这项收购將让CLIQ能源达到在3年內收购资產的要求。

在收购建议中，双方须同意2项事宜，分別是第一、特殊用途公司之间的业务转让协议，以转让资產（不包括负债、应付账款、现金和应收账款）；第二、CLIQ能源和卖方的股东协议，以调整规范特殊用途公司的事务和执行各自的权利和义务。

在完成上述收购后，CLIQ能源將拥有特殊用途公司51%的股权，这意味著该公司將持最大的拥有和控制权利。该特殊用途公司拥有和经营2幅油田，即XXXIIII-A油田和XXXII-II-B油田，位于布扎奇以北的卡拉赞巴斯地区。

管理层表示，这次收购资產举动主要是为了配合大马交易所主板特別用途公司的条例，就是需在有效时间內完成符合条件的收购（QA）事项。

该公司截至2014年3月31日为零负债率，在完成收购后，CLIQ能源负债率將去到0.29倍。

CLIQ能源周一下午3时38分暂停交易至周二下午5时，以公布这项企业消息，该股停牌前掛价0.195令吉，並將在周三恢復交易。
