金詩獻購怡保花園 獲股東通過成無條件收購

(吉隆坡23日訊)針對金詩(GOLDIS,5606,主要板消費)欲以每股2.88令吉獻購怡保花園(IGB,1597,主要板房產)未持有股權一事,雖然獨立顧問興業投資銀行審查后認為不合理,但股東特別大會成功以多數票獲得通過,獻購將轉換為無條件收購獻議。
金詩週二(21日)向馬證交所報備,在金詩股東特別大會上,有高達99.977%的出席者,投票贊成收購怡保花園,已符合所有獻購條件,此獻議將轉換為無條件收購獻議。
然而兩者股價表現平平;金詩以2.33令吉開盤無起落,休市暫掛2.37令吉,增4仙;閉市收在全日最高2.39令吉,起6仙,成交量6萬7300股。
至于怡保花園以2.88令吉開盤無起落,大部分時間在2.77令吉至2.88令吉之間窄幅波動,休市暫掛2.87令吉,跌1仙,成交量達64萬7900股;閉市報2.87令吉,下滑1仙,成交量69萬4100股。
針對獨立顧問早前有指,金詩每股2.88令吉獻購價不合理且有欠公平,曾建議股東拒絕獻議,是否有調整獻價的可能性,金詩回應說沒有必要,這是因為已獲得股東通過,加上截至17日持股已達51.26%,已成為無條件獻購案。
兩家公司分別向馬證交所報備此事,並在文告中指出,已獲得怡保花園超過50%股權,目前持51.26%或6億8427萬股,獻購截止日將從10月29日下午5時展延至11月6日。【中国报财经】

(吉隆坡6日訊)金詩投資(GOLDIS,5606,主板消費品組)透過每股2令吉88仙全購獻議,成功增持怡保花園(IGB,1597,主板產業組)42.22%股權,將總持股提昇至73.32%。
金詩投資發文告說,截至本月6日獻購關閉止,金詩投資提出的全購,共取得5億6千354萬8千787股股票的接受率,佔總股本的42.22%。
由於金詩投資原已持有怡保花園31.11%股權,在成功增持42.22%股權後,總持股已上升至73.32%。
金詩投資是在今年7月提出以每股2令吉88仙全購怡保花園,惟有關出價遭市場分析員高喊偏低,紛建議投資者拒絕;不過,從最終結果看來,仍是有不少投資者選擇趁機套利,讓金詩投資如願增持大批股權。(星洲日報/財經)

金诗售怡保花园产托0.9% 筹资还债年省180万利息

(吉隆坡15日讯)金诗投资(GOLDIS,5606,主板消费产品股)以3835万令吉,脱售怡保花园产托(IGBREIT,5227,主板产业信托股)的0.9%股权给现有股东。
金诗投资在上周四(11日)以2556万400令吉,将2000万股权售予华商(马)贸易公司,预计从中取得730万令吉利润。
随后,该公司上周五(12日)脱售1000万股予陈振南公司,脱售价为1278万6000令吉,从中料取得360万令吉利润。
以上脱售活动将为公司筹集资金,以降低借款,每年相信能省下180万令吉利息。
两家公司今日早盘暂停交易1小时,以作出相关宣布,有关脱售活动皆以场外交易方式进行。
有关活动相信不受市场看好,消息出炉后,两者股价在恢复交易后双双下挫。
金诗投资以2.30令吉挂收,全日下滑17仙或6.88%;怡保花园产托则以1.26令吉结束交易,下跌5仙或3.82%。【南洋网财经】

ON 20 JANUARY 2015, AT AN ISSUE PRICE OF RM1.00 PER RCPS AND CONVERTIBLE INTO GOLDIS SHARES (“RIGHTS ISSUE OF RCPS”) | We refer to the announcements dated 13 October 2014, 7 November 2014, 10 November 2014, 26 November 2014, 28 November 2014, 1 December 2014, 23 December 2014 and 6 January 2015, including the Abridged Prospectus dated 20 January 2015 (“Announcements”) in relation to, amongst others, the Rights Issue of RCPS. Unless otherwise stated, the definitions used herein shall have the same meanings as set out in the Announcements.
On behalf of Goldis, CIMB wishes to announce that as at the close of acceptance, excess application and payment for the Rights Issue of RCPS at 5.00 p.m. on 6 February 2015 (“Closing Date”), the Company had received valid acceptances and excess applications for a total of 464,317,795 RCPS. This represents an over-subscription of 1.89% over the total number of RCPS available for subscription under the Rights Issue of RCPS.
Details of valid acceptances and excess applications received as at the Closing Date are as follows:

It is the intention of our Board to allocate the Excess RCPS, if any, in a fair and equitable manner in the following priority: (i) firstly, to minimise the incidence of odd lots; (ii) secondly, for allocation to the Entitled Shareholders who have applied for the Excess RCPS on a pro-rata basis and in board lots, calculated based on their respective shareholdings in Goldis as at the entitlement date; (iii) thirdly, for allocation to the Entitled Shareholders who have applied for the Excess RCPS on a pro-rata basis and in board lots, calculated based on the quantum of their respective Excess RCPS applied for; and (iv) fourthly, for allocation to renouncee(s) or transferee(s) who have applied for the Excess RCPS on a pro-rata basis and in board lots, calculated based on the quantum of their respective Excess RCPS applied for.
The RCPS is expected to be listed on the Main Market of Bursa Malaysia Securities Berhad on 24 February 2015.
