（吉隆坡22日訊）霹靂機構（PRKCORP,8346,主板貿服組）宣佈與Sanderson計劃發展（馬）有限公司（SPDM）和聯營公司——動畫主題公園私人有限公司（ATP）簽署股權協議，以在怡保九洞美露拉也（BandarMeru Raya）發展和營運動畫主題公園、度假酒店與公寓計劃。

該公司發文告表示，與SPDM和ATP簽署股權協議，以完成和規範合作各方的權力和責任，以促進相關工程的執行，同時與ATP簽署租賃和買賣協議，授予ATP使用旗下的BioDcity產業發展計劃的一塊土地來建設和營運動畫主題公園的權利，以及銷售一塊土地供發展酒店和公寓計劃。

霹靂機構獨資子公司霹靂機構有限公司（PCBD）將透過內部資金，以300萬令吉成本持有相關計劃的20%股權，而SPDM則持股80%。

主題公園成本料達3.6億BioD動畫主題公園總發展成本料達3億6千萬令吉，將由ATP和SPDM負擔，相關建設活動將在土地交易完成後的6個月內進行，預計在3年內投入商業營運。

霹靂機構指出，一旦30年的租賃期限屆滿，ATP將把相關租賃土地和建築與設施進行歸還，而ATP將受委為BioD動畫主題公園的經理人，預期不會對截至2013年12月31日止財政年盈利帶來任何影響。

SPDM為國際極負盛名Sanderson集團特別用途工具（SPV）公司，後者在國際旅遊與休閒景點的設計與建築聲名卓著。（星洲日報／財經）

We refer to Perak Corporation Berhad’s (“PCB” or the “Company”) announcements dated 23 March 2012, 25 September 2012 and 21 December 2012 pertaining to the Heads of Agreement signed between its wholly-owned subsidiary, PCB Development Sdn Bhd (“PCBD”), and Sanderson Project Development (Malaysia) Sdn Bhd (“SPDM”) for the participation in a joint venture company for the purpose of developing and operating an international standard animation theme park, resort hotel and serviced apartments on certain parcels of land at BioD City of Bandar Meru Raya, Ipoh, Perak (“Proposed Project”). On behalf of the Company, we wish to announce that PCBD has, on 22 March 2013, entered into a Joint Venture Agreement and a Shareholders’ Agreement with SPDM and the special purpose joint venture company now identified as Animation Theme Park Sdn Bhd (“ATP”) to formalise and regularise the rights and obligations of the respective contracting parties and to facilitate the implementation of the Proposed Project.  On the same date, PCBD has also entered into a Lease Agreement and a Sale and Purchase Agreement with ATP pertaining to the lease of certain parcels of land at BioD City for a period of sixty (60) years (“Lease Period”) intended for the construction and operation of the animation theme park incorporating BioD concept (“BioD ATP”) and the sale of another parcel of land at BioD City for the development of the resort hotel and serviced apartments respectively (the aforesaid agreements collectively hereinafter referred to as the “Agreements”). PCBD shall ultimately hold up to a total of 20% equity interest in ATP at a total cost of up to RM3.0 million to be financed through internally generated funds of PCBD. The proposed gross development cost for the construction of the BioD ATP is estimated to be RM360 million to be borne by ATP and SPDM, whom shall be responsible for securing funding and financing for the development of the BioD ATP.  The Company and PCBD shall not be obliged or required to provide any form of security or guarantee (either corporate guarantee or directors guarantee or otherwise) in respect of the said funding or financing. The construction works on the BioD ATP are expected to commence within six (6) months upon the handing over of vacant possession of the land to be leased, subject to the fulfilment of all the conditions precedent therein, with the construction of the BioD ATP to be completed and ready for commercial operation within three (3) years from the date of vacant possession.   Upon the expiry of thirty (30) years from the commencement date of the Lease Period, ATP shall surrender the leased land together with buildings and facilities/amenities thereon to PCBD and thereafter ATP is to be appointed managers of the BioD ATP for the remaining thirty (30) years of the Lease Period where PCBD shall be the owner. The Proposed Project is not expected to have any material effect on the earnings of PCB Group for the current financial year ending 31 December 2013. The Agreements are not subject to the approval of shareholders of the Company except for the approvals of the relevant government authorities to facilitate the implementation of the Proposed Project. None of the directors and/or major shareholders of PCB and persons connected to them have any interest, direct or indirect, in the Proposed Project. This announcement is dated 22 March 2013.

（吉隆坡28日讯）霹雳机构（PrkCorp，8346，主板贸服股）子公司与国家能源（Tenaga，5347，主板贸服股）子公司国能燃油服务私人有限公司（简称THBF）签署合约，以提供海事相关和拖船租赁服务运送煤炭。

霹雳机构向马交所报备，拖船将运送煤炭至力乔散装终站（Lekir Bulk Terminal），供应给国家能源Janamanjung私人有限公司（简称THBJ）发电厂。

霹雳机构旗下红土坎海事终站私人有限公司（简称LMTSB），从2002年开始供应海事服务给TNBF，以现有费率提供服务至2015年3月31日。

因此，合约将延长服务15年至2030年3月31日，并将依据货物量调升现有费率。截至2012年杪，TNBJ发电厂消耗约700万公吨煤炭。

霹雳机构指出，上述合约内容原本就是LMTSB的日常业务，预期不影响霹雳机构集团截至2013年12月31日财年盈利。

“不过，随着新费率和货物量增加，霹雳机构未来盈利将进一步增加，主要是THBJ发电厂第4单位开始投产后，从2014年6月开始每年需要额外300万公吨煤炭。”[南洋网财经]

升幅高達90% 霹靂機構一路攀升

（吉隆坡6日訊）霹靂機構（PRKCORP，8346，主要板貿易）近期無重大企業消息，不過股項走勢卻極佳，從2月底低于1.30令吉水平一路攀升，升值幅度高達90%，今日亦馬股十大上升股之一。

該股昨日閉市漲11仙至2.18令吉，儘管今早開市時稍嫌疲軟，微跌1仙至2.17令吉，不過隨后即展現衝勁，早盤一度走高17仙至2.35令吉，休市時漲幅回落至12仙，掛2.30令吉，為十大上升股之一。

截至下午4時，霹靂機構起6仙，掛2.24令吉，成交量81萬1800股。

該股從今年2月底開始明顯擺脫頹勢，股價從1.22令吉開始，在近數月內穩步上揚，週三閉市時已逼近52週新高，今早開市時即一舉突破。

若以今日休市價2.30令吉計算，該股在3個月內共升值90%或1.08令吉。

不過，該公司近來並沒有公布重大企業消息，距離上一次宣布獲合約亦是3月底的事，當時報導指出，霹靂機構將與另一公司為國家能源（TENAGA，5347，主要板貿易）提供煤炭運輸服務，合約為期15年。[中国报财经]

霹靂機構和霹靂前進飆高

（吉隆坡22日訊）霹靂州政府或正醞釀企業活動，帶動擁有共同大股東的霹靂機構（PRKCORP，8346，主板貿服組）和霹靂前進（MJPERAK，8141，主板產業組）雙雙受追捧，霹靂機構漲勢尤其凌厲，一度狂飆17.7%或45仙到2令吉99仙，不僅寫逾7年的高點，更強佔馬股十大漲幅榜的龍頭。

中小型股最近大行其道，霹靂州政府的股項也趁機加入炒作行列，市場傳言霹靂機構可能私有化，加上或成為基金唱好的中資本股之一，霹靂機構股價今日勢如破竹。

霹靂機構早盤即隨大市高歌乘勢而上，大開紅盤2令吉59仙，躍升5仙後，不斷挑戰高點，一度隨買盤蜂擁而至，企圖向3令吉水平前進。該股在收盤前略降溫，但全天仍以起34仙或13.39%到2令吉88仙大唱豐收，成交量達355萬3千900股。

若和5月初的1令吉45仙相比，霹靂機構身價幾乎翻倍。

另一和霹靂政府相關的股項-霹靂前進，成交量更為激烈，買盤不斷累積下，迅速躍起為全天交投第12大熱的股項，共有1千710萬6千500股在場內易手。

霹靂前進眼看“同儕”舉兵上攻，早盤以38仙平盤開市後不甘示弱，一度隨霹靂機構飆高約17%（6.5仙）至44.5仙全日最高點。該股終場掛42仙，全天起4仙或10.53%。

一名資深的交易商表示，市場盛傳霹靂機構可能被私有化或倒置收購，或是霹靂機構漲勢逼人的原因；另一名交易商則指出，霹靂機構是良好的中資本公司之一，投資基金可能趁機進場。

值得一提的是，霹靂州發展機構（PKNP）分別在霹靂機構和霹靂前進，持股52.27%和46.03%股權，因此，大股東在台底下部署企業行動仍不足為奇，尤其霹靂機構多年前也曾進行企業重組。

（吉隆坡24日訊）近期被盛傳私有化的霹靂機構（PRKCORP，8346，主要板貿易）今日澄清，截至目前未接獲任何一方提出私有化建議。

該公司今日針對《The Edge財經日報》23日報導，“霹靂機構洽淡私有化，股價創7年新高”，向馬證交所報備，作出澄清。

霹靂機構指出，已咨詢公司董事及主要股東，截至目前未接獲任何有關私有化或倒置收購等企業活動的建議，公司亦未參與任何相關洽商。

該公司指出，若有任何實際交易，必將遵守馬證交所上市條例，對外公佈。

霹靂機構下周一停牌

（吉隆坡3日訊）霹靂機構（PRKCORP,8346,主板貿服組）宣佈，該公司申請股票於下週一（6日）暫停交易一天，以便宣佈重大企業消息。

該公司發文告指出，該公司股票將從2014年1月6日早上9時，至下午5時暫停交易一天。

該公司今日股價大漲43仙，至3令吉49仙，成為漲幅最大股項之一。它更一度揚升至3令吉50仙全天最高，全天共有369萬2千100股易手。

其實早在2013年中，市場即傳出該公司可能進行私有化或是倒置收購，惟當時卻受到該公司的否認。

霹靂州政府透過旗下霹靂州發展機構（PKNP），持有霹靂機構52.27%股權。當時市場就傳言，霹靂州政府或對該公司展開企業重組，當中可能涉及私有化或倒置收購，帶動該公司股價價量齊揚。

至於霹靂機構最近宣佈的消息，它於2013年12月5日宣佈，以1千250萬令吉，向大股東霹靂發展機構收購45塊佔地6萬7千平方公尺地段。當中的44塊地坐落在邦咯島，另一塊在怡保，有關地段將進行城鎮及產業發展計劃。（星洲日報／財經）

每股RM3.90‧选择性资本回退 大股东拟私有化霹雳机构

（吉隆坡6日讯）霹雳发展机构（PKNP）建议，以每股3.90令吉或总值1亿8870令吉，私有化霹雳机构（PRKCORP，8346，主板贸服股）。

霹雳发展机构将通过选择性资本回退（SCR）计划，私有化霹雳机构。

目前，大股东持有公司的52.9%股权。

溢价11.75%

在这项私有化计划下，大股东提出每股3.90令吉的献购价，这比最后一个交易日闭市价（上周五）的3.49令吉还高出11.75%。

这献购价也等于5日加权平均价（WAMP）3.21令吉的22%溢价。

提供套现良机

霹雳发展机构总执行长拿督阿米努丁表示：“基于霹雳机构过去的股价走势，我们相信这项选择性资本回退计划让股东有机会套现。同时，这项诱人的献购价也回馈很多长期的股东，尤其是没有享受到资本增值的小股东。”

他补充，霹雳机构的股票在过去数年的交易淡静、股票流通量不足，以及股价低于其净资产价值等，都是让霹雳发展机构私有化该公司的原因。

“我们已开始重新检讨旗下的投资，并且会进行业务重组，创造更大的效率、生产力及更好的商业协同效应。”

有利州发展不裁员

霹雳发展机构认为，完成资产重组后，将更能够为霹雳的经济发展带来贡献。

“更重要的是，我们保证在私有化完成后不会裁员。”

霹雳机构的业务，涉及产业及投资控股、产业发展、运输及港口业务、休闲及旅游和管理服务。

霹靂機構每股3.90令吉私有化‧小股東：大股東出手太低

（吉隆坡15日訊）小股東控訴霹靂機構（PRKCORP,8346,主板貿服組）淨有形資產估值料高達每股12令吉，大股東全面獻購價僅每股3令吉90仙，估值顯然“太低”。

一群持股4.4%的小股東的發言人指出，霹靂州政府若出價達每股6令吉將相對合理，考量到公司現持有1億8千萬令吉現金，相等於每股1令吉80仙。

重估資產價值料達每股12令吉

“更重要的是，相關出價也低於霹靂機構2012年常年報告每股淨資產5令吉零3仙估值，同時多數公司資產並未進行重估，預計重估資產價值將達到每股12令吉。”

他指出，小股東們並非出於阻攔的目的來干擾霹靂機構的私有化計劃，因公司旗下資產在過去數年大幅增值，但他們已經長期未進行重估活動，小股東只是尋求更合理和公平的價格。

靂州政府是在今年1月初透過旗下霹靂州發展機構（P K N P），藉削資和資本回退，以每股3令吉90仙或總值1億8千369萬6千228令吉私有化霹靂機構。

截至1月5日止，上述股東共持有霹靂機構共5千289萬8千403股或近52.9%股權，一旦完成計劃，大股東無意維持霹靂機構的上市地位。

小股東認為，獻購方打算利用公司的現金流來私有化霹靂機構，這是大股東利用小股東持股鬆散的特質，藉低價來全小股東股權的另一意圖。

“我們瞭解到KAF信託和Horizon集團正結盟來訴求高達每股6令吉的全購價，即重估後每股淨資產值12令吉折價50%水平。”

要求森那美參與阻斷

同時，發言人也聯繫持股達6.13%的森那美（SIME,4197,主板貿服組）來參與阻斷這個不合理的交易。

“我們希望森那美能與我們聯成一線，畢竟出面抗爭或保持中立都是他們展現良好企業監管的時機。”

此外，他也點出霹靂機構在完成股票分拆、配送憑單或每股1令吉現金股息後，向股東派發紅股將是更合理的回饋。

市場人士認為，股東會否出面爭取更高的出價，完全取決於入場門檻。

“其中一個重要因素就是公司週息率，若週息率表現良好，股東可能會選擇繼續持有。”

霹靂機構今日開盤起1仙至3令吉63仙，隨後在買盤進場扶持下，最高起7仙至1.93%至3令吉69仙，終場收報3令吉65仙，起3仙。

值得注意的是，該股在2013年杪開始飆漲，股價已自2013年12月26日的2令吉70仙低位彈升35.19%至今日閉市的3令吉65仙。（星洲日報／財經）
