优乐家2.26%场外易手

(吉隆坡23日讯)优乐家集团(KEURO,3565,主板建筑股)周五出现一批1300万股,或占缴足资本2.26%的股权,在场外以每股1.36令吉的价位交易。
该场外交易的交易值为1768万令吉,与周五1.20令吉的闭市价相比,溢价16仙。
今日闭市时,优乐家集团以1.20令吉平盘收市,成交量达15万5900股,全日最高价为每股1.21令吉。
优乐家集团在建议以5250万令吉脱售其在Radiant Pillar私人有限公司的10%股权给IJM置地(IJMLAND,5215,主板产业股)后,便一直得到关注。
Radiant Pillar是一家负责西海岸大道(WCE)项目联营公司。
该脱售收益预计为5150万令吉,是该公司注入资金进80%持有权的西海岸大道私人有限公司的部分计划之一,主要是为了符合WCE项目60年期特许权协议的财务要求。[南洋网财经] |

售Radian Pillar公平合理 优乐家进账5150万

(吉隆坡6日讯)独立顾问认为,优乐家集团(KEURO,3565,主板建筑股)以5250万令吉脱售Radiant Pillar私人有限公司10%股权的建议“公平且合理”。
独立顾问丰隆投行研究表示,脱售行动给优乐家集团机会开启和释放Radiant Pillar的价值,有望从中获利5150万令吉,远超过2003年杪投资10万令吉。
“这也让优乐家集团有机会重新调动手上的资本和资源,转投入西海岸大道(WCE)计划;公司仍可通过持股40%,享有RadiantPillar带来的贡献。”
优乐家集团独资子公司KEB Builders私人有限公司,建议脱售Radiant Pillar的10%股权,予IJM置地(IJMLAND,5215,主板产业股),意味后者股权增持至60%。
Radiant Pillar目前发展坐落在雪州Rimbayu城镇计划的1879英亩土地。这综合城镇计划的发展总值约120亿令吉,预计15至20年内竣工。[南洋网财经]

西海岸大道重启 优乐加获60年特许权
二零一三年十二月二十四日 晚上七时四十六分
(吉隆坡24日讯)经过延缓17年后,优乐加集团有限公司(KEURO,3565,建筑组)即将落实西海岸高速大道(WCE)计划,并将展开这项期待已久的工程。
在致给大马交易所的文件中,优乐加集团称,它已获得政府发出的书面通知,指其80%子公司西海岸大道私人有限公司(简称WCE公司),已符合有关WCE公司与政府在1月达成特许权协议的条件。
优乐加集团也透露,上述特许权协议的生效日期是2013年12月20日。
该公司称:“随着生效日期获得证实,WCE公司将会动工这项计划。”
WCE公司将获颁60年的特许权,传是马来西亚历来最长。
这项于1996年由丹斯里陈雅才提出的计划,因为财务问题拖延已久。惟陈氏已不会参与优乐加集团着手上述计划。
陈雅才曾于2003至2012年出任优乐加集团首席执行员兼总裁。
获得西海岸大道计划特许权的WCE公司,需要增加其缴足资本,以配合着手这项之前由Trinity机构有限公司(前身为打南机构有限公司)所支援的计划。Trinity机构是优乐加集团的30.09%联号,而陈雅才也担任前者执行主席直到2009年。
优乐加集团曾受到亚洲金融危机的冲击,若IJM置地有限公司(IJMLAND,5215,产业组)没于2006年3月加入参股25%,它将失去西海岸大道计划。
优乐加集团自2006年起已经蒙亏,在截至2006年1月31日止财政年税前亏损达2亿1200万令吉,以及收益仅有6800万令吉。
在2013财政年,优乐加集团的净亏损为4700万令吉,及收益1800万令吉。每股亏损为4.45仙。
自此,IJM置地展开行动,在今年1月,它与政府签署了特许权协议,让优乐加集团拥有9个月时间达到财务需求。优乐加集团现预料将迅速改善其资产负债表,因它也已引入泰国富商丹斯里刘锦坤透过其投资工具大马工业控股有限公司(MWE,3921,消费产品组)的参股。
在7月,大马工业控股以1亿5500万令吉向陈雅才收购了22.15%股权后,崛起成为大股东之一。大马工业控股现为优乐加集团第2大股东,持股24.68%。
IJM置地仍然拥有25.11%股权,维持最大股东身分,而陈雅才则已终止成为大股东。
而于8月时,优乐加集团着手发行涉及4亿2970万股每股面值1令吉的新附加股,预料筹措5亿7299万令吉。
随着IJM置地和大马工业控股成为大股东,优乐加集团着手一项具规模集资活动以融资上述高速大道计划,以及其他产业发展活动已经不再面对困难。
西海岸大道计划规模已从原本的316公里缩小。上述从雪兰莪万津延伸到霹雳太平的316公里大道,包括224公里收费及92公里免收费。
不过,超过80公里的免收费路段已经从上述计划中撤消。西海岸大道现将只涉及233公里,及另外40公里将在较后时兴建。这条40公里路段将连接怡保至西海岸大道。
随着比原本工程缩减给25%。西海岸大道的预测成本也已从之前的70亿7000万令吉削减到52亿令吉。

传西海岸大道发15亿回债

(吉隆坡31日讯)消息透露,西海岸大道(WCE)公司正策划一项总值15亿令吉的回教债券计划,为西海岸大道的部分建筑费用融资。
彭博社引述2名不愿具名的消息人士,指这项回教债券计划的期限至少为期10年,预计将于2014年第一季开始发售。
报道称,该公司已经委任兴业投资银行(RHB Investment Bank)为主理商。
根据消息,这项回教债券计划是西海岸大道总额25亿令吉融资计划的一部分。
西海岸大道的建筑工程全长233公里,总建筑成本为60亿令吉;分别由优乐家集团(KEURO,3565,主板建筑股)持股80%,及IJM(IJM,3336,主板建筑股)持股20%。

50亿合约公开招標 西海岸大道次季动工

(吉隆坡3日讯)优乐家集团(KEURO,3565,主板建筑股)表示,西海岸大道(WCE)的11项配套合约总值50亿4400万令吉,目前已公开招標,將在未来2至3个月內颁发配套予竞投成功的公司,预计第一期工程將在今年次季动工。
持有西海岸大道私人有限公司80%股权的优乐家集团,在上个月23日发文告指出,接获政府正式的书面通知表示,西海岸大道私人有限公司已经符合特续经营协议的条件,所以该大道可以从上个月20日起展开工程。
对此,优乐家集团主席拿督阿都哈密在今天透露,西海岸大道共有11项配套合约,分为两期,建筑工程预计为期5年。
第一期工程共有5项配套合约,分別有3项工程合约在雪兰莪及2项工程合约在霹雳,將於今年次季动工。另外的6项配套则归纳为第二期工程,预计將於今年末季动工。
他在今天出席优乐家集团召开的股东特別大会后,向媒体如此表示。
他说,「西海岸大道的招標活动已正式开始,並將於2至3个月內颁发配套合约,以儘快让西海岸大道工程能如期动工。」
与此同时,他补充,由於西海岸大道的路线涉及未开发土地及种植地居多,仅有部份地区涉及政府地皮,所以一切进展还算顺利。
优乐家CEO本週揭晓
另一方面,阿都哈密透露,优乐家集团將於本月內公布新任首席执行员。
据悉,首席执行员一职候选人来自怡保工程(IJM,3336,主板建筑股)。
怡保工程持有优乐家集团22%股权,同时也直接持有西海岸大道私人有限公司的20%股权,所以怡保工程直接与间接持有西海岸大道38%股权。
此外,据了解,万能(MAGNUM,3859)大股东丹斯里刘锦坤或將受委进入优乐家集团董事局。去年7月12日,刘氏持有32%股权的大马综合工业(MWE,3921)宣佈购入优乐家集团22.15%股权。
来自优乐家集团的消息称,优乐家集团將委任刘锦坤为董事,预计將在本月內公布。
优乐家股东通过2议案
优乐家集团在今天召开的股东特別大会中,寻求股东通过两项议案,分別是以5250万令吉脱售Radiant Pillar私人有限公司的10%股权予IJM產业私人有限公司;以及4配3比例发售4亿2974万3823股附加股,每股暂定发售价为1.08令吉,及公司股东认购每2股附加股將获送1张新凭单,所以该公司將发出2亿1487万1911张凭单。
以上两项议案均获得股东通过。
优乐家集团通过以上议案,预计从中集资5亿1662万令吉,当中3亿5700万令吉將通过股票,或债券方式注入西海岸大道私人有限公司、1亿4453万令吉偿还银行贷款、800万令吉作为营运资本、700万令吉將支付附加股及凭单活动的费用。
针对优乐家集团2014財政年首9个月(截至10月31日止)业绩表现逊色,对于该集团能否在接下来的財政年转亏为盈,阿都哈密披露,由于西海岸大道不会在短期內带来贡献,所以该公司能否转亏为盈的关键因素之一,將取决于持有50%股权的Rimbayu城镇发展项目。
Rimbayu城镇发展占地1878英亩,发展总值为110亿令吉,由Radiant Pillar公司负责开发,而IJM置地(IJMLAND,5215,主板產业股)持有Radiant Pillar公司的另50%股权。

Remarks : | The Board of Directors of Kumpulan Europlus Berhad ("the Company") has approved the change of financial year end of the Company from 31 January to 31 March. The first set of financial statements reflecting the change will be made up from 1 February 2013 to 31 March 2014 covering a period of 14 months.
Thereafter, the financial year end of the Company shall be 31 March for each subsequent year.
This announcement is dated 29 January 2014.

这家公司早先饱受金融风暴冲击,和其子公司打南(TALAM)可说是难兄难弟,而丹斯里陈亚才是两家公司的大股东。
不过在2007年,他把公司的25%股权以28仙贱价卖给IJM集团,后者可说是捡到了便宜货。优乐家集团并没有因为IJM的加入而摆脱颓势。
一年后的金融风暴,让公司业绩雪上加霜,许多投资者担心它挨不过去而破产,将它贱价抛售,股价更因此跌低至15仙。
幸亏,它一直没放弃手上掌握的珠宝—西海岸高速大道(WCE)。也因此,它才得以在2011年以1.22令吉的价钱私下配售10%新股,步上翻身的道路。
而在2013年,政府重申将会启动WCE计划,一切开始看到转机。
2013年7月,它再一次成功以1.11令吉的价钱私下配售10%股权,筹得5770万令吉。
看好长线回报丰厚
由于WCE计划价值庞大,涉及约60亿令吉,因此,它在2013年8月又建议脱售土地以筹5200万令吉(已于2014年1月完成),同时进行附加股附送凭单计划来募取约4.65亿令吉,一次过解决动工经费的问题。
同年9月,其大股东丹斯里陈亚才以1.35令吉,脱售20.14%股权给大马综合工业(MWE)套现了约1.55亿令吉。
从它过去三年来的股票交易看来,当年15至30仙的股价,已经成为历史,往事只能回味。
而它虽然一直不停筹资,却有许多投资者乐意用高过1令吉的价钱来购买,如果以收长线看来,这些投资者显然认为它的未来回报率丰富,不然谁愿意投资在这债台高筑,毫无盈利,资产值低(每股资产才26仙)的公司?
相信它的附加股计划将在近期进行,刻下股价也沉淀下来。

梁孙雄任优乐家CEO

(吉隆坡18日讯)优乐家集团(KEURO,3565,主板建筑股)宣布人事变动,委任拿督梁孙雄为总执行长,这让自2012年4月悬空已久的职位终有眉目。
今年57岁的梁孙雄也是优乐家集团持有64.2%股权子公司———西海岸大道(WCE)公司的总执行长及董事。
自丹斯里陈雅才脱售股权给丹斯里刘锦坤后,也卸下优乐家集团前任总执行长兼总裁职务。
目前,IJM持有优乐家集团25.1%股权,而刘锦坤则通过大马综合工业(MWE,3921,主板消费产品股)持有24.7%股权。
此外,优乐家集团也宣布委任林登阿尔弗雷德为总财务长。【南洋网财经】

凭借推行大型计划扭转劣势 优乐加前景备受关注
二零一四年三月八日 晚上七时二十一分
(吉隆坡8日讯)由于股权结构和改组董事局经已完成,因此优乐加集团有限公司(KEURO,3565,建筑组),现以一个全新姿态在商场上拼搏。在获得一班实力投资者的支持下,该集团可以专注于建造总值60亿令吉的西海岸高速公路(WCE)。
在最近委任首席执行员之前,优乐加自2012年起,该职位一直悬空。除了截至2012年1月31日止财政年度外,该集团从2009至2013财年一直处于亏损状态。
上月,妈咪-大宝达(马)有限公司董事经理拿督冯迪洲和他的兄弟拿督冯迪南(以上人名译音)通过他们在英属处女岛注册成立的United Frontiers控股有限公司,购入优乐加5205万股或占9.08%股权,而成为主要股东。
其后,在一份致函马交所的文告中说,冯迪洲已被任命为优乐加集团的非执行董事。
就在同一天,优乐加宣布改组董事局,委任拿督梁顺雄为首席执行员,以及林登阿尔弗雷德菲利克斯则被任命为首席财务员。而怡保工程机构有限公司(IJM,3336,建筑组)前老板丹斯里陈克里斯南(以上人名译音),也有可能加入董事局,因为他是强力主张推行WCE项目的主要功臣。
目前,优乐加的第2大股东是大马工业控股有限公司(MWE,3921,消费产品组),后者是由持股24.68%的丹斯里刘锦坤所控制。去年,他以1亿5500万令吉向丹斯里陈雅才购入优乐加22.15%股权。
至于最大股东是怡保工程机构,一共持有25.1%股权。
因此,肯定WCE不是主要原因,以吸引大马工业控股和冯氏兄弟投资优乐加。毕竟,该大道专营权利润只会在至少5年后才能获得。
WCE将为优乐加提供长期收入来源。而后者的最宝贵资产是位于莎阿南,面积达1879英亩总发展值达110亿令吉的Rimbayu城镇综合发展项目,这是它们最想得到的。
此外,该项目有可能使优乐加在14财政年转盈。
去年,该集团在上述项目中分2阶段推出产业单位,一共取得6亿令吉的销售额,首阶段在3月推出,次阶段则在8月,而认购率分别达100%和80%。至于第3阶段总发展值达4亿令吉的单位,将在2015年初推出。该城镇将在未来10至12年分阶段完成。
该城镇可通过3条高速公路(中环大道、莎阿南大道和南巴生谷大道)到达。
阿马证券研究行称,Rimbayu城镇的原本土地成本是每平方尺5令吉。而丽阳机构有限公司(TROP,5401,产业组)以平均每平方尺18令吉或总值13亿令吉,购入Rimbayu城镇附近面积达1172英亩的土地。
优乐加目前拥有3项主要资产:分别是西海岸高速公路项目、发展Rimbayu城镇的40%权益,以及持有新达南有限公司(TALAMT,2259,产业组)的30%股权。
西海岸高速公路项目
自从获得政府批准推行WCE计划后,优乐加从2013年12月20日起,被给予5年时间去完成该项目。
随着时间流逝,在雪兰莪一段的高速公路建设工程,预计将在今年4月动工,并在3年内完成。这段高速公路的部分将包含高架公路。
WCE项目横跨雪兰莪的班廷及霹雳的太平,该收费公路全长233公里(其中40公里高速公路稍后建造)。
该项目是以建造-营运-转让方式经营,而特许经营期长达50年。如果内部收益率没有达到既定的目标,该特许经营权期限将会再延长多10年。
该集团与财政部谈判后,获得提供总值22亿4000万令吉的政府支持贷款用作建造WCE,而利息是每年4%。
建造WCE的60亿令吉成本中,政府承担高达9亿8000万令吉的土地收购成本。
在偿还政府贷款期间,假设WCE的实际内部收益率超过目标回报率,那就以70:30的比率将超额收益用作偿还上述债务。如果未能达到目标的话,就将该比率转换到30:70。
此前,西海岸高速公路私人有限公司首席执行员拿督梁顺鸿(现在是优乐加首席执行员)说,11项工程配套中的5项将在4月推出。
一名建筑业分析师称:“如果能够在4月动工,这将意味着招标过程将会很快出现。作为WCE股东的怡保工程,显然是受益人,很可能会被委任为工程项目经理和主要承包商。”
他指出,怡保工程放眼该50亿令吉项目中的70%,因此潜在地将截至2013年9月的25亿令吉订单总值提高至60亿令吉。
优乐加持有WCE 80%,而其余的20%则由道路建筑(马)控股有限公司持有,后者是怡保工程的子公司。
该分析师表示:“展开上述工程对优乐加是绝对有利。就目前而言,该集团的盈利仍然十分波动。而来自产业收入的贡献也将加强其盈利基础。”
优乐加现正在推行附加股计划中,待获得股东批准筹资超过4亿令吉后,就开始进行西海岸高速公路项目。
优乐加集团将会发行4亿2974万股附加股和2亿1487万张免费可分拆凭单。认购的比例是每持有4股现有股票,可获配售3股附加股。而每认购2股附加股则可获赠1张凭单。
优乐加集团通过与IJM置地有限公司(IJMLAND,5215,产业组)成立一家各占一半股权名叫Radiant Pillar的联营公司,用作发展Rimbayu城镇。
今年一月,股东批准了一项计划,以5250万令吉现金出售Radiant Pillar 10%股权予IJM置地。一旦脱售完成后,优乐加在该项目的权益降至40%。【光华日报财经】 |

(吉隆坡17日讯)优乐家集团(KEURO,3565,主板建筑股)2014财年成功转亏为盈,录得4658万5000令吉净利。
优乐家集团表示,末季脱售Radiant Pillar私人公司10%股权后,进账5014万令吉,所以末季和全年都顺利转亏为盈。
集团2013财年净亏2319万1000令吉。
优乐家集团末季录得5817万000令吉净利,上财年同期则净亏1290万令吉。
基于制造业务销量减少和建筑计划竣工,优乐家集团全年营业额逊色,按年滑落31%,至1232万8000令吉。
末季营业额,从2013财年的436万4000令吉,按年下跌54%至200万9000令吉。
该集团表示,一旦西海岸大道(WCE)开始收费,财务将改善,并驱动集团盈利。
优乐家集团目前也探讨其他业务,包括参与西海岸大道的建筑工程。【南洋网财经】

59亿西海岸大道 建筑工程下季启动

(吉隆坡18日讯)优乐家集团(KEURO,3565,主板建筑股)宣布,拖延已久的西海岸大道(WCE)计划,将在今年第二季展开建筑工程。
优乐家集团在文告中指出,这项总值59亿令吉的大道计划,需时5年竣工,预计可在2018年开始收费。
长达233公里的西海岸大道,连接雪兰莪万津至霹雳太平,优乐家集团通过持股80%的西海岸大道私人有限公司,持有该大道的60年特许经营权。
待大道开始收费后,料可进一步强化该集团的收益能力和表现。
