独立顾问:不公平不合理
佐汉股东应拒献购


2017年11月14日
(吉隆坡13日讯)独立顾问指出佐汉(JOHAN,3441,主板贸易股)的全购献议出价低于市价,且仍会保留上市地位,属于“不公平且不合理”,建议股东拒绝。

这项收购案的独立顾问是Mercury证券。

该顾问指出,大股东丹斯里陈溪福夫妇出价每股26仙全购佐汉,每股26仙献购价低于合理价值和市价,属于不公平。

“根据实际净资产价值方式计算,佐汉全数股权价值达2亿2072万令吉,代表每股35仙。献购价折价9仙或25.75%。”

同时,献购价低于过去六个月的每日交易量加权平均市价(VWAP),代表折价14.47%。

此外,相比该股一个月、三个月、六个月和一年迄今的交易量加权平均市价,也是折价介于6.51%至16.75%。

陈溪福夫妇是在10月11日,通过Mustika Manis私人有限公司(MMSB)出价每股25仙,强制收购未持有的51.83%股权。

隔天,MMSB再收购2.41%股权后持股率达50.58%,献购转为无条件,并上调献议价至26仙。 【e南洋】

建材业务损失走高
佐汉第三季净利跌半


2017年12月7日
(吉隆坡6日讯)佐汉(JOHAN,3441,主板贸易股)截至10月31日第三季,净利按年大跌56.05%至119万9000令吉,或每股0.19仙。

佐汉今日向交易所报备,营业额也按年跌34.05%,报3161万4000令吉。

税前盈利大跌54.26%,至113万4000令吉,主要归咎于建筑材料业务损失走高。

由于Prestige瓷砖私人有限公司的关闭成本,建筑材料业务税前亏损扩大至263万4000令吉。

归咎于其他收入走低,信用卡服务业务税前亏损,也稍微扩大至108万9000令吉。

至于酒店业务,税前亏损收窄至46万2000令吉,因为营销和行政开销减少。

首九个月转盈

累计首九个月,股市转亏为盈净赚37万1000令吉;营业额报1亿1830万4000令吉,跌14.21%。

佐汉预计,今年的业绩将受到关闭子公司Prestige瓷砖的影响,无论如何,将继续专注新加坡的信用卡服务和旅游业务,以及我国的旅游和酒店业务,进一步增加营业额和市占率。【e南洋】

1. Introduction
Pursuant to Paragraph 9.19(46) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors (“the Board”) of JHB wishes to announce that the Board has approved the incorporation of the revaluation deficit of an aggregate amount of RM569,000 in the consolidated financial statements of JHB for the third quarter ended 31 October 2017.

2. Purpose of the Valuation
The purpose of the valuation is to ascertain the fair value of the 3 storeys of strata office units located at 7500-E, Beach Road, #02-201, #03-201, #04-201 The Plaza, Singapore 199595 (“the Property”) for accounting purposes pursuant to the Malaysian Financial Reporting Standard (“MFRS”) 116 : Property, Plant and Equipment.

3. Details of the Valuation
Please refer to the Appendix A as attached.

4. Effect on the Net Assets Per Share
The total value placed on the Property by the valuer is RM86.328 million. This has resulted in a decrease of approximately 0.09 sen in the net asset per share of JHB from 32.04 sen to 31.95 sen as at 31 October 2017.

5. Documents Available for Inspection
The valuation report of the Property is available for inspection at the Registered Office of the Company at 11th Floor, Wisma E&C, 2 Lorong Dungun Kiri, Damansara Heights, 50490 Kuala Lumpur during normal office hours from Monday to Friday (except for Public Holidays) for a period of three (3) months from the date of this announcement.

JOHAN HOLDINGS BERHAD ("JOHAN" OR THE "COMPANY")PROPOSED DISPOSAL BY PRESTIGE CERAMICS SDN BHD ("PCSB" OR THE "VENDOR"), A WHOLLY-OWNED SUBSIDIARY COMPANY OF JOHAN OF A PIECE OF FREEHOLD LAND MEASURING APPROXIMATELY 112,396 SQUARE METRES, HELD UNDER GRN 150651, LOT NO. 1115, BATU 15, JALAN PUCHONG, 47100 PUCHONG, SELANGOR DARUL EHSAN TO ASPECT POTENTIAL SDN BHD ("PURCHASER"), FOR A TOTAL DISPOSAL CONSIDERATION OF RM127,000,000 TO BE SATISFIED VIA A COMBINATION OF CASH AND PAYMENTS IN KIND
On behalf of the Board of Directors of Johan ("Board"), UOB Kay Hian Securities (M) Sdn Bhd ("UOB Kay Hian") is pleased to announce that Prestige Ceramics Sdn Bhd ("PCSB"), a wholly-owned subsidiary company of Johan had on 27 November 2019, entered into a conditional sale and purchase agreement with Aspect Potential Sdn Bhd (the "Purchaser") for the disposal of a piece of freehold land measuring approximately 112,396 square metres, held under GRN 150651, Lot No. 1115, Batu 15, Jalan Puchong, 47100 Puchong, Selangor Darul Ehsan to the Purchaser, for a total disposal consideration of RM127,000,000 to be satisfied via a combination of cash and payments in kind ("Proposed Disposal").

Further details of the Proposed Disposal are set out in the enclosed attachment.

Johan Holdings Berhad (the "Company" or "JHB") - Revaluation of Properties
1. Introduction

Pursuant to Paragraph 9.19(46) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors (“the Board”) of JHB wishes to announce that the Board has approved the incorporation of the revaluation surplus of an aggregate amount of RM1.176 million in the consolidated financial statements of JHB for the fourth quarter ended 31 January 2020.

2. Purpose of the Valuation

The purpose of the valuation is to ascertain the fair value of the landed properties (“the Properties”) in JHB Group for accounting purposes pursuant to the Malaysian Financial Reporting Standard (“MFRS”) 116: Property, Plant and Equipment.

3. Details of the Properties and Valuation

Please refer to the Appendix A as attached.

4. Effect on the Net Assets Per Share

The total value placed on the Properties by the valuers is RM169.006 million with an incremental amount of RM1.176 million during the fourth quarter. This has resulted in an increase of approximately 0.19 sen in the net asset per share of JHB to 10.53 sen as at 31 January 2020.

5. Documents Available for Inspection

The valuation reports of the Properties are available for inspection at the Registered Office ofthe Company located at 11th Floor, Wisma E&C, 2 Lorong Dungun Kiri, Damansara Heights, 50490 Kuala Lumpur during normal office hours from Monday to Friday (except for Public Holidays) for a period of three (3) months from the date of this announcement.
