RELATED PARTY TRANSACTIONS | Description | Ewein Berhad ("Ewein" or "the Company")Termination of the proposed acquisition by Ewein Zenith II Sdn. Bhd., a 60% owned subsidiary of Ewein all that piece of freehold land situated in Section 1, Bandar Tanjong Pinang, Daerah Timur Laut, Negeri Pulau Pinang measuring approximately 4.4252 acres (192,761.7 square feet) for a total consideration of Ringgit Malaysia One Hundred and Sixty Two Million (RM162,000,000.00) only from Consortium Zenith Construction Sdn. Bhd. | Reference is made to the announcement of Ewein dated 28 December 2015 ("Announcement") in relation to the proposed acquisition by Ewein Zenith II Sdn. Bhd. The Board wishes to announce that both EZII and CZ have on 22 August 2017 entered into a Termination Agreement to mutually terminate, revoke and rescind the SPA and to release and discharge each other from the rights, liabilities and obligation contained in the SPA subject to the terms and conditions in the Termination Agreement. The parties have mutually agreed to terminate the SPA because the land alienated is approximately 2 acres only which is a substantial reduction in the size of the subject land referred to in the SPA.
Pursuant to the Termination Agreement, the Vendor shall within three (3) months from the date of the Termination Agreement, refund to the Purchaser, the refundable deposit under the SPA in the sum of Ringgit Malaysia Sixteen Million Two Hundred Thousand (RM16,200,000.00) together with interest at the mutually agreed rate. The Termination Agreement is available for inspection at the registered office of Ewein at 51-13-A Menara BHL Bank, Jalan Sultan Ahmad Shah, 10050 Penang during office hours from Monday to Friday for a period of three (3) months from the date of this announcement.

尤文增持Ewein Zenith股權至73%

(吉隆坡7日訊)配合業務整合與重組集團架構,尤文(EWEIN,7249,主要板房產)子公司Ewein Land私人有限公司將斥資13萬令吉,向Zenith建築財團收購Ewein Zenith私人有限公司13萬股或13%股權。
尤文向馬證交所報備,Ewein Land已與Zenith建築財團簽署股份買賣協議,以13萬令吉收購Ewein Zenith的13%股權。
收購完成后,Ewein Land在Ewein Zenith的持股權將從60%增至73%,剩余27%則由Zenith建築財團持有。
Ewein Zenith主要業務包括房產開發、建筑和房產投資;是項收購是尤文為整合業務及重組計劃的一部分。【中国报财经】

ELSB has advanced RM17,290,000.00 to EZSB to be utilised by EZSB (“Advancement”) to settle a further sum of RM17,290,000.00 towards the balance amount owing to CZCSB for the land known as Lot 702 situated in Section 1, Bandar Tanjong Pinang, Daerah Timur Laut, Negeri Pulau Pinang measuring approximately 3.67 acres (“Lot 702”) previously acquired from CZCSB, leaving only a reduced sum of RM35,910,000.00 as balance owing by EZSB for Lot 702.
For clarification purpose, the Advancement is not part of the terms and conditions of the SSA.
The SSA is available for inspection at the registered office of Ewein at 51-13-A Menara BHL Bank, Jalan Sultan Ahmad Shah, 10050 Penang during normal business days from Mondays to Fridays (except public holidays) for a period of 3 months from the date of this announcement.

Type | Announcement | Subject | OTHERS | Description | Announcement from the Board of Directors of Ewein Berhad ("Ewein" or "the Company") | In response to various newspaper reports, the Board of Directors wishes to notify that our Group Managing Director has been remanded by Suruhanjaya Pencegahan Rasuah Malaysia (“SPRM”) to facilitate and assist in an investigation currently being conducted by SPRM. The Board of Directors noted that based on newspaper reports, the investigation is under SPRM Act 2009 for matters relating to the Penang undersea tunnel project. The Board of Directors would like to clarify that neither Ewein nor its subsidiaries are involved in the Penang undersea tunnel project.
We do not expect this to have any operational, management or financial impact on the Company as the Deputy Managing Director of the Company, Mr Chuah Poh Lim will continue to run Ewein Group’s business as usual.
The Board of Directors will accordingly make further announcement on any further material development to the SPRM investigation that they have been made aware of.
