中国文具3子公司在中被起诉‧涉主席个人贷款

（吉隆坡10日讯）中国文具（CSL,5214,主板消费品组）旗下3家子公司在中国面对诉讼，主要涉及执行主席关永贤的个人贷款。

中国文具在文告中表示，来自中国政府全国法律案件搜寻显示，该公司旗下的樱花（福建）包装文件公司、樱花（福建）塑胶企业和Ruiyuan（福建）企业面对数项法律诉讼，但该公司目前无法证实这些法律案件的准确性。

据该公司执行主席兼首席执行员关永贤告知，有关案件和他个人贷款有关。

该公司董事部将委任一位独立律师以查证上述法律案件是否和关永贤个人贷款有关或涉及中国文具的子公司。该公司预期在下周结束时公布最新进展。

Reference is made to the Company's announcement made on 18 August 2017 in relation to the Change in Financial Year End. The reasons for the change of the financial year end are as follows: Most of the public listed companies’ financial year end are 31 December and therefore, the external auditors are normally very busy in rushing to complete their audit jobs during the period. This will lead to tighter work schedule available to the auditors to audit CSL’s financial statements. It is also a concern for CSL’s staff in China when the auditors audit the financial statements in China in Feb/Jan as Chinese New Year (“CNY”) always fall during the period. In China, the public holiday for CNY is 7 days and during the month of CNY, the staff in China may also apply for long leave as they need to go back to their provinces to celebrate CNY. 该公司于8月18日宣布最新业绩，截至2017年6月30日为止，该公司次季由盈转亏，净亏732万4000令吉（每股净亏损0.59仙），而前期取得净利791万2000令吉（每股净利为0.64仙）。营业额则增加至7829万令吉，前期为7220万4000令吉。

首6个月的净利为921万6000令吉（每股净利为0.74仙），前期净利3286万6000令吉（每股净利为2.64仙）。首6个月营业额为1亿5303万8000令吉，前期为1亿4780万5000令吉。

该公司在对最新业绩表现较差，主要是归咎于全球经济欠佳，使产品销售量及赚幅下跌所致。

至于该股市价为仅为5、6仙，相对其良好的资产负债表，实是令人有种难以置信的地步，即显著非常的不相称。

截至2017年6月30日为止，该公司流动资产中，包括库存为3213万5000令吉、贸易及其他应收款项为1亿4213万5000令吉、现金及银行余款达11亿8657万2000令吉。非流动资产中的产业/工厂/器材占3亿8174万2000令吉。

一般而言，投资者对中国红筹股没有信心，特别是它们的核心业务都在中国，较难监管或查实公司的实际业务情况如何。

CSL - Directives by Bursa Securities

Kindly be advised that Bursa Malaysia Securities Berhad (“Bursa Securities“), in its exercise of its power pursuant to Paragraph 2.23 of the Main Market Listing Requirements (“LR”), hereby directs CSL:-

(i)     to have its 3rd Quarterly Report for financial period ended 30 September 2017 reviewed by its external auditor prior to its          issuance.

The scope of the review shall take into account, but not limited to, the following:-  

(a)     Assess and verify the material litigations involving CSL's subsidiaries, namely Sakura (Fujian) Packaging &               Stationery Co., Ltd, Sakura (Fujian) Plastics Enterprise Co., Ltd and Ruiyuan (Fujian) Enterprise Co., Ltd and ascertain its financial impact to the Company;

(b)     Verification of CSL’s existing cash and bank balances; and

(c)     Verification of CSL’s trade, other receivables and revenue.

(ii)   to have the advertisement expenses amounting to RMB146.2 million for financial year ended 31 December 2016 be                   reviewed by the external auditors.

Hereinafter (i) and (ii) be collectively referred as (“the Outstanding Information”)

(iii)  board of directors of CSL is required to announce to Bursa Securities the information set out in (iii)(a)-(d) below (“Status Updates”) within three (3) market days from the date hereof i.e. by 5.00 p.m., Friday, 24 November 2017.

(a)     Steps to be taken by CSL to address the issues mentioned in item (i)(a)-(c) and (ii)  above;

(b)     Confirmation from the auditors that they have been appointed to undertake the review;

(c)     Steps to be taken to appoint new directors pursuant to Paragraphs 4A.04(2), 4A.04A, 15.02(1), 15.09 and 15.10 of the               LR; and

(d)     Confirmation from the lawyer, Zhi Jun Law Firm that it has obtained the necessary authority from CSL to undertake the              review on the material litigations.

Pursuant to Bursa Securities’ powers under Paragraph 16.02(1)(j) of the LR, in the event CSL fails to provide the Status Updates as set out above, Bursa Securities will suspend the trading of CSL’s shares. In this respect, such a suspension will be effected via issuance by Bursa Securities to the market on 24 November 2017 a notice of suspension in the trading of the shares of CSL on which will take effect from 9.00 a.m., Tuesday, 5 December 2017.

The aforesaid decision is arrived at in consultation with the Securities Commission Malaysia (“SC”) and after taking into consideration the following:-

(1)     Lack of cooperation and/or inability by CSL to provide satisfactory response to Bursa Securities and SC in respect of the Outstanding Information. Despite numerous requests by both the regulators to the Company to verify and clarify in the Outstanding Information, the Company has failed to do so giving rise to the concern on the accuracy and reliability of the financial statements issued by the Company to date.

(2)     Uncertainty as to the management of CSL arising from, amongst others, various resignations by its directors and chief financial officer (“CFO”) as set out below as well as the inability by the management of CSL to contact the remaining directors.

中国文具财报外部审计

（吉隆坡22日讯）大马交易所指示中国文具（CSL，5214，主板消费产品股），在公布截至9月30日第三季业绩前，先将财务报告交给外部审计师审查。

审查的范围包括：

（一）评估和核实中国文具子公司所涉及的重大诉讼；

（二）核实中国文具现有现金与银行盈余；以及

（三）核实中国文具的贸易、其他应收账款与营业额。

查9087万广告开销

此外，交易所也要求外部审计师，审查2016财年一笔高达1亿4620万人民币（约9087万令吉）的广告开销。

交易所表示，董事部必须在三个交易日内，即周五（24日）下午5时提供相关资讯，包括如何解决上述问题、确定外部审计师身份、委任新董事等。

不符则5日停牌

若该公司无法提供资料，交易所将在12月5日（周二）勒令该股暂停交易。

交易所是与大马证券监督委员会讨论后，才落实上述决定。

交易所称，该公司在提供资讯方面欠缺合作，而且管理层也不稳定，因为数名董事与财务总监已经辞职。

这不是交易所第一次指示上市公司，将财务报告交给外部审计师检查。

今年6月19日，交易所曾如此指示中国汽车零件（CAP，5229，主板工业产品股），当时是马股首例。【e南洋】

（吉隆坡27日讯）中国文具（CSL，5214，主板消费品组）因无法与大股东关永贤和关振质取得联系等因素，无力在11月30日期限内提呈第三季财报，股票将从12月5日暂停交易。

该公司发文告表示，第三季财报无法如期提呈，主要碍于无法获取第三方对子公司诉讼案进行验证检查、无法与大股东关永贤和关振质取得联系，以及无法在律师事务所发出法律意见报告的情况下对集团财务报告和营运进行必要的评估在内的3大原因。

目前，中国文具仍无法确定何时能提呈财报的时间表。

基于中国文具未能如期提呈财报，该公司股票将从12月5日（周二）暂停交易。该股今日挫0.5仙至2仙，成交量达4244万6100股，是第五热门股。

大马股票交易所在上周已向中国文具下达最后通牒，要求公司在期限内呈交账目资料，否则将祭出停牌令。

交易所指出，中国文具公司不合作，没有提供让人满意的资料，同时其管理层人事变动激烈，数名董事及首席财务官陈绍荣辞职，让交易所感到失望，并命令中国文具聘用外部稽查对今年第三季财报进行查账，主要是其高达1亿4620万人民币（约9110万令吉）的广告开销存在疑点。

Description	China Stationery Limited ("CSL" or the "Company") - Delay in release of the unaudited quaterly report on consolidated results for the financial period ended 30 September 2017 ("Third Quarter Results") pursuant to Paragraph 9.22(1) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad
Pursuant to Paragraph 9.28(3) of the Main Market Listing Requirements ("MMLR") of Bursa Malaysia Securities Berhad (“Bursa Securities”), the Company wishes to announce that the Company is unable to release its Third Quarter Results by 30 November 2017 (“Timeframe”) to Bursa Securities as required under Paragraph 9.22(1) of the MMLR. The failure to issue the above Third Quarter Results is due to the following reasons: 1. unable to obtain confirmations from third parties (i.e. bankers, debtors, creditors, courts in China etc) to perform verification checks in relation to all litigation cases involving the subsidiaries of CSL; 2. unable to contact the two remaining directors i.e. Mr Chan Fung @ Kwan Wing Yin and Mr Angus Kwan Chun Jut. Hence, no Board of Directors' meeting is held to approve the Third Quarter Results; and 3. unable to undertake the necessary assessment on the impact to the CSL’s financial statements and its operations without the issuance of legal opinion report by Zhi Jun Law Firm of Fujian. At this stage, CSL is unable to ascertain the target date to issue and release its Third Quarter Results to Bursa Securities. Pursuant to Paragraph 9.28(5) of MMLR, if CSL fails to issue the Third Quarter Results within 5 market days after the expiry of the Timeframe (the last day of this 5 market days shall hereinafter be referred to as “Suspension Deadline”), in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall suspend trading in the securities of CSL. The suspension shall be effected on the next market day following the expiry of the Suspension Deadline and will be uplifted on the market day following the issuance of the Third Quarter Results, unless otherwise determined by Bursa Securities. As such, the suspension will be effected on 11 December 2017. Pursuant to Paragraph 9.28(6) of the MMLR, if CSL fails to issue the Third Quarter Results within 6 months from the expiry of the Timeframe, in addition to any enforcement action that Bursa Securities may take, de-listing procedures shall be commenced against CSL. Please note that CSL has on 27 November 2017 also announced that it has failed to comply with the Status Updates by 5.00 p.m., Friday, 24 November 2017, as directed by Bursa Securities for which, the trading of CSL's shares will be suspended with effect from 9.00 a.m., Tuesday, 5 December 2017 pursuant to Paragraph 16.02(1)(j) of the MMLR. In view of the above, the trading of CSL's shares will be suspended with effect from 9.00 a.m., Tuesday, 5 December 2017. This announcement is dated 27 November 2017.

中国文具CSL(5214)每股资产值为1令吉41仙，储备金达到17亿4463万7000令吉。现在既然联系不上CEO关永贤（陈峰）？是不是17亿多马币被他卷跑了？为什么中国政府及马来西亚政府不发通缉令追捕关永贤呢？记得2012年初上市时是由中国驻马大使及马来西亚副财政部长同台为关永贤主持CSL上市的，如今就该徹查此事，抓人及追回财产赔钱给小股东们！
