The Board of Directors of SMIS (the “Board”) wishes to announce that Machinery & Industrial Supplies Sdn. Bhd. (“MIS” or “the Vendor”), a wholly-owned subsidiary of the Company, had on 27 December 2018 entered into a Sale and Purchase Agreement (the “Agreement”) with Cyse Group Sdn. Bhd. (Company No.: 1018312-D) of C-3-1, Kinrara Niaga 1, Jalan BK 5A/2B, 47180 Puchong, Selangor (“Cyse” or “the Purchaser”) to dispose of two (2) pieces of freehold lands held under Individual Title Geran 12347, Lot 927 Seksyen 62 & Geran 12348, Lot 928 Seksyen 62, both in the Town Kuala Lumpur, District of Kuala Lumpur in the State of Wilayah Persekutuan Kuala Lumpur measuring approximately 150 & 152 square meters in area respectively (“Lands”) and bearing postal address of No. 50 & 52, Jalan Brunei Utara, Pudu, 55100 Kuala Lumpur together with two (2) units four (4) storey shop lot (“Buildings”) (hereinafter referred to as the said “Property”) on an “as is where is basis” free from all encumbrances whatsoever and with legal possession together with the Tenancies (as defined herein) or vacant possession, as the case may be, at a total sale consideration of Ringgit Malaysia Five Million Seven Hundred Thousand (RM5,700,000.00) only (the “Sale Consideration”), subject to the terms and conditions as stipulated in the Agreement (the “Proposed Disposal”).
