ELSOFT RESEARCH BERHAD (“ELSOFT” OR THE “COMPANY”) CONVERSION OF 50% OF REDEEMABLE CUMULATIVE PREFERENCE SHARES ("RCPS") HELD BY ELSOFT IN BUTTERFLY HOUSE (PG) SDN BHD ("BHSB"), AN ASSOCIATE COMPANY OF ELSOFT The Board of Directors of Elsoft (“Board”) wishes to announce that pursuant to the written resolutions of the members and preference shareholders of BHSB passed on 26 September 2018 to amend its Constitution to allow the holders of the RCPS to have the option, at any time after a period of two (2) years from the date of issue of the RCPS, by notice to require BHSB to convert all or any of the RCPS into new ordinary shares in BHSB (“BHSB Shares”) without payment of any further consideration. Elsoft, Golden Fresh Sdn Bhd, Medispec (M) Sdn Bhd, NRS Process System Sdn Bhd and Goh Kah Leong (collectively referred to as the “RCPS Holders”) had, on 27 December 2018, exercised their conversion rights in writing to BHSB to convert a total of 10,900,000 RCPS (“RCPSConversion”), representing 50% of the total RCPS held by each of the RCPS Holder in BHSB as at the date of this announcement. The RCPS is convertible into two (2) BHSB Shares at the conversion price of RM0.50 for every one (1) RCPS held and the new BHSB Shares to be issued and allotted arising from the RCPS Conversion shall rank pari passu in all respects with the existing BHSB Shares in issue. The shareholdings of Elsoft in BHSB, including the number of RCPS held, as at the date of this announcement and after the RCPS Conversion, are as follows: As at the date of this announcement No. of BHSB Shares % No. of RCPS % Elsoft * 3,600,000 21.16 8,400,000 38.53 Note: *           On 1 December 2014, Elsoft subscribed for 3,600,000 BHSB Shares, representing approximately 21.16% of the issued share capital of BHSB (“Subscription”). Following the Subscription, BHSB became an associate company of Elsoft. Subsequently, on 26 November 2015, Elsoft had obtained its shareholders’ approval to provide financial assistance to BHSB in the form of subscription for 8,400,000 RCPS in BHSB at an issue price of RM1.00 per RCPS. The RCPS were issued to Elsoft on 1 December 2015. Pursuant to the RCPS Conversion After the RCPS Conversion No. of RCPS Converted No. of new BHSB Shares issued No. of BHSB Shares % No. of RCPS % Elsoft 4,200,000 8,400,000 12,000,000 30.91 4,200,000 38.53 As at the date of this announcement, BHSB has 17,016,750 BHSB Shares and 21,800,000 RCPS. Subsequent to the RCPS Conversion, the issued share capital of BHSB will increase from RM17,056,750 comprising 17,016,750 BHSB Shares to RM27,956,750 comprising 38,816,750 BHSB Shares, while the number of RCPS in BHSB will reduce from 21,800,000 RCPS to 10,900,000 RCPS. Pursuant thereto, Elsoft’s equity interest in BHSB will increase from approximately 21.16% to 30.91% of the enlarged issued share capital of BHSB after the RCPS Conversion and BHSB will remain as an associate company of Elsoft. The RCPS Conversion will not have any effect on the issued share capital and substantial shareholders’ shareholdings of Elsoft. In addition, the RCPS Conversion will not have any material effect on the consolidated earnings and earnings per share, net assets and gearing of Elsoft for the financial year ending 31 December 2018.
