Japan's Daikin considers buying OYL for RM7.4b



Daikin Industries Ltd, Japan's biggest air-conditioner maker, said on May 18 that it was discussing buying air-conditioner maker OYL Industries Bhd, sending its shares more than 7% higher in morning trade.

The Nihon Keizai Japanese business daily said Daikin would buy OYL for 230 billion yen (RM7.4 billion), making Daikin the world's second-biggest air-conditioner maker.

Daikin will sign an agreement on May 18 to buy a nearly 50% stake in OYL from its top officials and will make a tender offer to buy the remaining shares later this year, the paper said.

"We are discussing buying OYL Industries, but no final decision has been made," a Daikin spokeswoman said.

Daikin was the biggest percentage gainer among Nikkei 225 issues, up 7.24% at 4,000 yen at 0052 GMT, sharply outperforming the machinery sector index, which fell 2.02%. The broader Nikkei 225 fell 1.87%.

At 10am, OYL was down five sen to RM5.15 with 2.10 million shares done, but off the early low of RM5. Hong Leong Industries was down 12 sen to RM4.10, off early low of RM4.

Daikin's acquisition will be funded with cash on hand and bank loans, the paper said.

OYL said in February the company was in discussions with an unnamed company that had expressed interest in buying it.

OYL is part of Malaysia's biggest industrial conglomerate, Hong Leong Group, and sells popular York-brand air conditioners in the country.

The group, controlled by Malaysian tycoon Tan Sri Quek Leng Chan, also assembles and distributes Yamaha Motor Co's motorcycles in Malaysia and its listed subsidiaries include Hong Leong Industries and Hong Leong Bank and HLG Capital.

OYL, which has a business relationship with Japan's Mitsubishi Electric Corp, purchased McQuay International of the United States in 1994. Nearly 40% of the company's global 185 billion yen sales come from North America.

Daikin, the world's third-biggest air-conditioner producer, had air-conditioner sales of 641.7 billion yen in the year ended March 31. -- Reuters

May 18 (Bloomberg) -- Daikin Industries Ltd., a Japanese air conditioner maker, said it may buy Malaysia's OYL Industries Bhd, a unit of billionaire Quek Leng Chan's Hong Leong Group.

``We're considering alliances and acquisitions, and OYL is one of them,'' Daikin spokesman Kazuhiro Matoba said.

The Nihon Keizai newspaper said Osaka-based Daikin will sign an agreement today to buy OYL, which has a market capitalization of $2 billion and is based in Kuala Lumpur, for about 230 billion yen ($2.1 billion). Daikin will sign an agreement to buy about 50 percent from OYL officials and make a tender offer for the rest of the company, according to the report.

Daikin shares rose as much as 9 percent and traded at 4,000 yen as of 9:52 a.m. in Tokyo. Japan's Nikkei 225 Stock Average dropped as much as 2.2 percent in early trading.

OYL said in February that it was in discussions with an unnamed company to purchase it.
