Proton’s Azlan buys stake in SunInfra

PETALING JAYA: Proton Holdings Bhd chairman Datuk Mohammed Azlan Hashim is confirmed to be one of the buyers of Sunway Holdings Bhd's 36.16% stake in Sunway Infrastructure Bhd (SunInfra).
In an announcement to Bursa Malaysia yesterday, SunInfra said Sunway had accepted the offer by Infra Bumitek Sdn Bhd (IBSB) for the acquisition of the stake.

The shareholders of IBSB were Azlan and Johan Zainuddin Dzulkifli, who are also directors of IBSB.
Sunway, which made a similar announcement to the stock exchange, said the deal was in relation to an Affin group proposal for the full and final settlement to the RM2.01bil Al-Bai Bithaman Ajil Islamic debt securities (BaIDS) issued by Sistem Lingkaran-Lebuhraya Kajang Sdn Bhd (SILK), a wholly-owned subsidiary of SunInfra.
Sunway yesterday entered into a conditional sale and purchase agreement with IBSB and the holders of the Sukuk Mudharabah (issued on Jan 25 by Manfaat Tetap Sdn Bhd, a wholly-owned subsidiary of SILK, to refinance the BaIDS) for the proposed disposal of the 36.16% equity interest in SunInfra to IBSB for RM11mil cash payable to PB Trustee Services Bhd.
Holders of Sukuk Mudharabah are Affin Bank Bhd, CIMB Bank Bhd, Bank Islam Malaysia Bhd, Etiqa Insurance Bhd (formerly known as Malaysia National Insurance Bhd), Etiqa Takaful Bhd (formerly known as Takaful Nasional Sdn Bhd), Uni.Asia General Insurance Bhd and Uni.Asia Life Assurance Bhd.
PB Trustee is the trustee to the lenders for subsequent payment via the Ijarah Rental Payment Account pursuant to the terms of the Sukuk Mudharabah.
Sunway director Dr Tan Kia Loke told StarBiz that the Sunway team was still managing the company on behalf of the new buyer to ensure a smooth transition.
An analyst with a local brokerage said as SILK had incurred substantial losses over the last few years, it was prudent of Sunway to relinquish its SunInfra stake and focus on other more profitable businesses, such as quarrying, construction and construction materials.
SILK had won the concession to design, construct, manage, operate and maintain the Kajang SILK Highway for 36 years until 2037.
However, poor traffic volume has affected toll collection.
