RELATED PARTY TRANSACTIONS | Description | NWP HOLDINGS BERHAD ("NWP" OR THE "COMPANY")- MEMORANDUM OF UNDERSTANDING BETWEEN NWP AND HOONG LI DEVELOPMENT SDN BHD | The Board of Directors of the Company wishes to announce that a Memorandum of Understanding (“MOU”) has been signed between Hoong Li Development Sdn Bhd (“HLSB”) and the Company on 16 December 2020, for the purpose of further discussing and negotiating on the terms of appointment of the Company and/or one of its wholly-owned subsidiaries to provide a professional project management services to HLSB for a light industrial development on all the pieces of land on Lot 17408(40915) and PT17409 (40916), Seksyen 20, Mukim Serendah, Daerah Hulu Selangor, Selangor.
HLSB is a private limited company incorporated in Malaysia which primarily involved in the business of property development.
The MOU shall commence from 16 December 2020 and shall continue to be in force for a duration of one year. The MOU shall terminate upon the earlier occurrence of the following :
(a) the parties entering into a definitive agreement in respect of the terms and condition; or
(b) HLSB may terminate this MOU by giving one month’s prior written notice of its intention to discontinue the MOU to NWP, and in which event, the MOU shall terminate immediately upon the expiry of the notice period.
The parties shall not be held liable for any losses arising from the termination of the MOU and the MOU may be renewed upon the mutual agreement of HLSB and NWP.
The MOU will not have any effect on the share capital and substantial shareholders’ shareholdings of NWP. The MOU is also not expected to have any material immediate effect on the earnings per share, net assets per share and gearing of the Group for the financial year ending 28 February 2021.
Save as disclosed below, none of the directors and/or major shareholders of the Company and/or persons connected with them have any interest, whether direct or indirect, in the MOU:
(a) Dato’ Sri Kee Soon Ling (“Dato’ Sri Kee”) is the Group Chief Executive Officer and a substantial shareholder of NWP with a shareholding of 8.05%. Dato’s Sri Kee is also a director of HLSB with a shareholding of 20%.
The MOU being incurred in the ordinary course of business of the Group, is not subject to the approval of the shareholders.
The Board of Director of NWP, having taken into consideration all aspects of the MOU, is of the opinion that the MOU is in the best interest of the Group.

The Board of Directors of NWP Holdings Berhad (“NWP” or “the Company”) wishes to announce that NWP Access Sdn. Bhd. (“NWP Access”) had on 25 January 2021 served a notice of termination to EZ One Bikers Sdn. Bhd. (“EZ One”) for the termination of the Memorandum of Understanding entered on 18 December 2020 (“MOU”) (“Termination”).
Pursuant to the MOU, the MOU shall be deemed terminated after the expiration of the 30 days from 25 January 2021. Upon the Termination, the MOU shall have no further force or effect and neither party shall have any claim whatsoever against the other, whether directly or indirectly in respect of the MOU.
The Termination will not have any material financial impact on NWP Group.
After due consideration, NWP Access has decided to form its own team to undertake the business relating to the trading of motorbikes and provision of after sales services for the bikers. NWP Access also intend to collaborate with other delivery service company to supply the motorbikes for their riders. At the same time, NWP Access had rented a showroom and service center with the built up areas of approximately 9,100 square feet for the said business.

GRSB is a private limited company incorporated in Malaysia which primarily involved the business of renting and leasing of cars without operator.
Pursuant to the LOI, NWP Access shall proceed to further negotiate with GRSB on the salient terms of the definitive written contract to be entered by both parties based on the above intentions contained in the LOI.
The Proposed Collaboration is not expected to pose any additional risks to NWP Group other than operational risks associated to the said business.
The LOI will not have any effects on the share capital and shareholding structure of the Company and is not expected to have any material immediate effect on the earnings per share, net assets per share and gearing of NWP for the financial year ending 28 February 2021.
None of the Directors and/or other major shareholders of the Company and/ or any persons connected to them have any interest, direct or indirect, in relation to the LOI.
The Board, after due consideration, is of the opinion that the LOI is in the best interest of the Group.
