PROPOSED ACQUISITION BY ECO WORLD BE CO LTD (AN INDIRECT WHOLLY-OWNED SUBSIDIARY OF ECO WORLD INTERNATIONAL BERHAD ("ECOWORLD INTERNATIONAL")) OF 70% EQUITY INTEREST IN 12 DEVELOPMENT PROJECTS LOCATED ACROSS GREATER LONDON AND THE SOUTH EAST OF ENGLAND AND A DEVELOPMENT MANAGEMENT ENTITY FROM BE LIVING HOLDINGS LIMITED (A DEVELOPMENT ARM OF WILLMOTT DIXON HOLDINGS LIMITED) ("PROPOSED ACQUISITION")
This announcement should be read together with EcoWorld International’s announcement made to Bursa Malaysia Securities Berhad on 19 March 2018 in respect of the Proposed Acquisition (“Stage 2 Announcement”). Unless otherwise stated, capitalised terms used in this announcement shall have the same meanings as those used in the Stage 2 Announcement.

Reference is made to the announcements dated 8 November 2017, 15 December 2017, 19 March 2018, and 31 May 2018 in relation to the Proposed Acquisition.

The Board wishes to announce that the acquisition of the entity that holds the Kew Bridge project (“Kew Bridge Acquisition”) was completed on 20 August 2018 (at around 2:00 p.m. London time) for the provisional purchase consideration amounting to approximately GBP15.51 million. Of this amount, approximately GBP10.86 million (equivalent to approximately RM56.68 million) was borne by EcoWorld Be based on its 70% equity interest in the Assetco.

This amount is subject to a completion adjustment mechanism pursuant to the sales and purchase agreement for the Kew Bridge Acquisition which entails adjustments to take into account the actual work-in-progress, existing shareholders’ loans and other net assets of the entity that holds the Kew Bridge project as at the completion date.

The Kew Bridge project comprises 2 sites, namely the Kew Bridge site and the Griffin Park site. Situated within Zone 3 of the London transport zones, the Kew Bridge site and Griffin Park site are a 10-minute and 14-minute walk from the Kew Bridge Station, respectively. It takes 30 minutes to reach Waterloo Station in Central London from Kew Bridge Station via the South Western Rail. The Griffin Park site is also an 8-minute walk away from the Brentford Station, which is about 32 minutes away from Waterloo Station via the same rail service.

The completion of the Kew Bridge Acquisition marks the next Stage 2 Project to be added into EcoWorld International’s portfolio of development projects following the completion of the Aberfeldy Village Acquisition on 30 May 2018. The Kew Bridge project has received planning consent and contains substantial Build-To-Rent components which we target to sell forward in the near term.

绿盛世国际第三季净赚1044万令吉

(吉隆坡20日讯)绿盛世国际(Eco World International Bhd)自2015年上市以来首次获得季度盈利,归功于房地产销售增长,使其有望在本财年达致30亿令吉销售目标。

该集团在截至今年7月31日止第三季(2018财年第三季)净赚1044万令吉,主要是已经完成英国联营项目,并确认营业额与盈利所致。

该集团在上财年同季净亏2420万令吉。

该集团于7月开始移交London City Island的Amelia Tower单位,这是绿盛世品牌于2015年进军外国市场以来,首次移交海外项目。

在这1044万令吉净利当中,大马绿盛世(EcoWorld Malaysia)可按照其27%持股权,获得280万令吉。

绿盛世国际表示,London City Island及另一个项目Embassy Gardens的其他单位,将在现财年余下月份移交,这将为其2018财年第四季盈利作出积极贡献。

该集团的子公司并没有在2018财年第三季录得任何营业额。

惟截至8月31日,绿盛世国际录得20亿令吉总销售额,比现财年首6个月获得的9亿2300万令吉总销售额,劲翻超过1倍,相信可达致2018财年的30亿令吉销售目标。

累积现财年首9个月,绿盛世国际的净亏损收窄至3484万令吉,上财年同期则净亏5508万令吉。

该集团主席丹斯里刘启盛乐观看待集团前景。

他说:“团队非常努力地将国内外的挑战转化为机遇,进一步扩大我们的市场范围,并在屋主和机构投资者的心目中巩固绿盛世(EcoWorld)品牌。他们在过去五年中不懈的步伐、热情和对卓越的承诺已经取得了成果,这一点可以从本季度销售数字和财务业绩的改善中得到证明。”

他指出,截至8月31日,大马绿盛世及绿盛世国际的有效尚未入账销售,分别达61亿6000万令吉及60亿令吉。

他表示,将以绿盛世品牌开发的项目发展总值约为865亿令吉,这将确保来年集团的本地和国际商业模式的可持续性。

With the completion of the SPAs to purchase 25 out of a total of 30 apartment units, representing approximately 84.2% of the entitlements in a strata scheme (derived based on the collective total gross floor area of the apartment units), EcoWorld Macquarie can proceed with the acquisition of all units through a strata renewal process under the Strata Schemes Development Act.

EcoWorld Macquarie intends to run the strata renewal process in tandem with negotiations with the owners of the remaining 5 units. The estimated total purchase consideration for all apartment units in the Strata Scheme is AUD40.0 million.

Following the acquisition of all apartment units in the Strata Scheme, EcoWorld Macquarie proposes to redevelop the land into a residential development.

绿盛世国际总执行长拿督张良成指出,在此之前,该公司在伦敦现有的12个地点有望交付约4000个单位。

该集团最近与美国Invesco Real Estate签订3亿8900万英镑(21亿令吉)的协议,建造1084个BtR单位。总的来说,目标是在未来5年内在英国建造至少1万个单位。

绿盛世国际主席丹斯里刘启盛今日在媒体汇报会上表示:“我们希望将英国的BtR市场价值从目前的百万增至十亿。”

他补充,该集团已与其他退休金和财富基金进行认真协商,以获得更多BtR项目。

(吉隆坡13日讯)绿盛世国际(Eco World International Berhad)在第四季净赚7008万令吉,一年前则净亏3256万令吉,归功于英国联营产业项目的营业额与盈利贡献。

截至今年10月31日止第四季(2018财年第四季),营业额狂飙至489万令吉,上财年同季仅2万7000令吉。

2018财年末季录得6993万令吉税前盈利,2017财年同季则面对3570万令吉税前亏损。

该集团在2018财年净赚3524万令吉,上财年则净亏8763万令吉。全年营业额从48万8000令吉,弹升至490万令吉。

绿盛世国际在2018财年录得32亿6000万令吉新产业销售额,超出今年的30亿令吉销售目标。2017财年新产业销售额为20亿令吉。

2018财年销售走强,把其截至今年10月杪未入账销售推高至66亿2000万令吉,一年前为58亿5000万令吉。该集团估计,这些未入账销售将在未来3个财年转为营业额。

展望2019财年,绿盛世国际预计,市况将保持疲软,直至解决英国脱欧的问题。

“因此,管理层将集中精力扩大伦敦的先建后租足迹,作为集团中期的主要增长动力。”

“鉴于集团在截至今年10月杪取得的未入账销售,足以为2019至2021财年提供盈利可见度,因此,董事部批准未来两个财年(2019及2020财年)的销售目标为60亿令吉。”

(伦敦16日讯)英国国会於大马时间週三凌晨3时,表决英国首相特丽莎梅的脱欧协议草案,最终以432票对202票否决,成为95年以来英国政府歷来最大的挫败。

特丽莎梅在国会投票前,最后一次试图力挽狂澜,在一片嘘声中对议员们表示,希望他们做出对这个国家而言最好的决定,避免无协议脱欧。

(依约27日讯)绿盛世(Eco World Development Group Bhd)持股27%的绿盛世国际(Eco World International Bhd)目前正与多家机构基金洽谈,以扩大在英国的建后出租(BtR)业务,并预计将在未来两年内达成一些交易。

绿盛世国际总执行长拿督张良成今日出席股东常年大会后,在新闻发布会上表示:“我们正处于谈判的关键阶段。”

但他拒绝透露这些基金的名字,也没有详细说明交易的细节,仅说现在是个敏感时期,因还在进行精密审核和磋商。

他指出,拟议的交易涉及来自英国、美国和马来西亚的机构基金,且谈判已进行几个月。

他还说,美国Invesco Real Estate在拟议交易中拥有优先权。绿盛世国际去年12月与Invesco签署了一项3亿8900万英镑(21亿令吉)的合约,将在英国建造1084个BtR单位。

此外,张良成并不排除购买更多土地,以进一步扩大BtR的可能,称BtR是当今英国最大的业务增长领域。

“我们还与地主协商,与我们合作,在12个BtR地点之外,承建更多BtR项目。”

绿盛世国际于2017年收购Be Living Holdings Ltd的70%股权,后者是私人拥有的建筑与产业服务公司Willmott Dixon的住宅产业发展臂膀,共同发展英国的12地,发展总值预计为26亿英镑(约140亿令吉)。

该公司已更名为EcoWorld London,将这家大马发展商置于中游产业领域,发展BtR产品。

此前,绿盛世国际宣布在未来5年内在英国建造至少1万个BtR单位。目前则拥有超过3000个BtR住宅。

闭市时,该股下滑0.5仙或0.67%,收于74.5仙,市值达17亿9000万令吉。
