Description	COMPUGATES HOLDINGS BERHAD ("CHB" OR THE "COMPANY")I.        PROPOSED JOINT VENTURE; ANDII.        PROPOSED ESOS(COLLECTIVELY REFERRED TO AS THE "PROPOSALS")
On behalf of the Board of Directors of CHB ("Board"), UOB Kay Hian Securities (M) Sdn Bhd ("UOBKH") wishes to announce that the Company proposes to undertake the following:- (i)         a conditional joint venture agreement ("JVA") between the Company's 70%-owned subsidiary, Compugates Development and Mining Sdn Bhd ("CDMSB" or the "Landowner") and CPG Puncak Sdn Bhd ("CPG" or the "Developer") for the development of a parcel of leasehold land measuring 14.50 hectares (35.83 acres) identified as H.S.(D) 13828, PT 26800, Mukim of Dengkil, District of Sepang, State of Selangor ("Development Land") ("Proposed Joint Venture"). Pursuant to the Proposed Joint Venture, CDMSB shall be entitled to the minimum landowner's entitlement of RM234.00 million ("Minimum Landowner's Entitlement"), for contributing the Development Land for CPG to develop; and (ii)         the establishment of an employees' share option scheme ("ESOS") of up to 15% of the total number of issued shares in CHB (excluding treasury shares, if any) at any point in time over the duration of the ESOS to eligible persons ("Proposed ESOS"). Collectively referred to as the "Proposals" Further details of the Proposals are set out in the attachment enclosed. This announcement is dated 31 January 2025.
