Chun Fu is the related company of a developer and hotel operator in Taiwan known as Chun Fu Construction Co Ltd. Chun Fu shall commence due-diligence on the Lands upon execution of the Term Sheet and shall complete the same within 45 business days from the execution of the term sheet. Parties shall also commence negotiations to agree on the terms of the definitive transactional agreements for the Proposed Transaction.
The Term Sheet represents the preliminary mutual understanding of parties regarding the Proposed Transaction and is subject to terms to be finalised in the definitive transactional agreements for the Proposed Transaction. The Term Sheet does not create any legally binding obligations on any parties except in respect of exclusivity and confidentiality provisions.

MPL大厦即将被拍卖
底价2.55亿令吉

(吉隆坡13日讯)消息指出,蒙亏的马帕斯集团(MPCORP,6548,主板产业股)主要产业MPL大厦,尚未找到买家,或面临被拍卖的风险。
根据《The Edge》财经日报报道,消息透露。位于吉隆坡拉惹朱兰路高23层的办公楼MPL大厦,会在下个月,以最低2.55亿令吉的底价拍卖。
消息人士说,将在7月进行拍卖,但不会拍卖大厦里的其他私人单位。
MPL大厦是马帕斯集团两项主要产业之一,另一个产业是位于柔佛面积达490英亩的土地。
在1973年完工的MPL大厦,曾命名为MPI大厦和HLA大厦,共有19层办公楼和4层零售广场。
马帕斯集团总执行长庄顺胜透露,目前正在进行法律程序,公司也在寻找买家。
庄顺胜说,“我们有和数方洽谈,但目前并没有确定结果。”
去年7月,马帕斯集团与新加坡Terra Pontus有限公司签署了解备忘录,以2.5亿令吉脱售吉隆坡拉惹朱兰路的MPL大厦。
但该集团因迟迟未收到Terra Pontus私人有限公司的保证金,同年9月宣布中止脱售MPL大厦。
2014年12月,马帕斯集团外部审计师Messrs UHY针对2014、2015、2016财年的经审计账目,发出“无法表达意见”声明,导致该公司被列为PN17公司。
此前,集团无法偿还兴业银行(RHB Bank)提供的贷款而违约,为筹集更多现金,集团在2013年首次宣布有意出售MPL大厦,当时该产业价值3.2亿令吉。
目前,集团尚未公布可改变营运的重组计划,该计划的截止日期为6月30号。【e南洋】 |

马帕斯MPL大厦续求售
2017年7月5日
(吉隆坡4日讯)脱售建议告吹后,马帕斯集团(MPCORP,6548,主板产业股) 表示,公司仍在积极寻找MPL大厦的买家。
去年7月28日,马帕斯集团宣布与Terra Pontus签署了解备忘录,以2.5亿令吉脱售吉隆坡拉惹朱兰路的MPL大厦单位。
根据协议,Terra Pontus原本需要在备忘录签署的14天内,支付500万令吉的保证金。
然而,基于Terra Pontus律师的要求,马帕斯集团早前同意将日期延至9月15日。
不过,该公司最后仍未收到保证金,因此宣布中止脱售MPL大厦给Terra Pontus私人有限公司的建议。
早前陷入PN17的马帕斯集团也表示,已在6月30日呈上申请,要求将呈交重组计划的期限,进一步展延至明年2月28日。【e南洋】

(吉隆坡13日讯)马帕斯集团(MPCORP,6548,主板产业股)宣布,与春福发展私人有限公司签署联营协议,合作发展位于柔佛避兰东(Plentong)的13片地皮。
该集团昨日向交易所报备,独资子公司Taman Bandar Baru Masai私人有限公司和Lakehill Resort 发展私人有限公司,将与春福发展在我国成立一家联营公司。
根据联营协议,马帕斯集团将持有联营公司35%股权,剩余65%则由春福发展所持有。
马帕斯集团表示,双方将按照持股比例,承担联营公司的所有盈利、成本及债务。

Parties shall endeavour to fulfill all conditions precedent within 6 months from the date of the JVA.
c) The Company or its nominee shall hold up to 35% of the total issued and paid–up share capital of the NewCo while the remaining 65% of the total issued and paid–up share capital of the NewCo will be held by Chun Fu.
d) All profits, costs and liabilities for the Joint Venture shall be shared between parties in accordance with the shareholding ratio.

马帕斯计划重新发展MPL大厦
2018年1月4日
(吉隆坡3日讯)PN17公司马帕斯集团(MPCORP,6548,主板产业股)披露,正在探讨重新发展MPL大厦。
马帕斯集团昨天向马交所报备,正在与The 21 Metallurgical Development(大马)私人有限公司(T21)商议,重新发展MPL大厦。
根据文告,马帕斯集团与T21将成立联营公司,来收购前者在MPL大厦的商铺和办公室单位。
之后,双方将认购新联营公司的股权,之后再根据持股权来执行各自义务。
马帕斯集团称,双方谈判已接近尾声,而最终协议已呈上给对方。【e南洋】

兴业银行要马帕斯集团清盘

(吉隆坡21日讯)兴业银行(RHB Bank Bhd)要求PN17公司马帕斯集团(Malaysia Pacific Corp Bhd)清盘,并追讨共1亿1816万令吉欠款。
马帕斯集团昨日向大马交易所报备:“公司将就上述事宜征求法律意见,并将于适当时候进一步公告。”
马帕斯集团的资产负债表显示,截至2017年9月30日,其主要资产是用于发展的地皮(价值2亿1180万令吉)和待售资产(总值2亿5600万令吉)。每股净资产为46仙。
马帕斯集团的累积亏损高达1亿5408万令吉。为了解决燃眉之急,该集团有意把向丹斯里郭令灿购买的MPL大厦(Wisma MPL)转售。
不幸的是,该集团至今仍未找到买家。这栋办公楼坐落在拉惹珠兰路(Jalan Raja Chulan)的“金山角”,但因属于分层办公楼的关系,不容易找到买家。
该集团正面对现金流的问题。截至去年9月杪,其负现金流高达9210万令吉。
马帕斯集团于2016年6月14日接获兴业银行的法定要求通知,寻求偿还债务或对公司进行风险清盘呈请程序。
截至2016年6月8日,该集团拖欠的款额包括周转信贷(4364万令吉)和两笔透支贷款(7452万令吉)。
兴业银行还要求按年利率3.5%计算利息,加上自2016年6月9日起,每月的基本贷款利率,直至完全结算之日。
此外,该银行也要求在2570万令吉本金加上3%年息及资金成本,从2016年6月9日起计算,直至完全结算之日。
马帕斯集团是因外部审计师于2014年12月对其最新的审计账目表达了免责声明后,被列为PN17公司。

The Board of Directors of the Company wishes to announce that the Company, via its wholly-owned subsidiaries Taman Bandar Baru Masai Sdn Bhd and Lakehill Resort Development Sdn Bhd (collectively, “Companies”) have entered into a Supplemental Joint Venture Agreement with Chun Fu Development Sdn Bhd (“Chun Fu”) (“Supplemental JVA”) for a joint development over 6 pieces of lands in Mukim Plentong, Johor Bahru (“Project”) today.
Salient Terms of the Supplemental JVA: (a) The Supplemental JVA is conditional upon, amongst other, the Parties obtaining the relevant corporate authorisations for the Joint Venture and Parties agreeing on the form of the Shareholders’ Agreement to be entered into between the Parties and the Sale and Purchase Agreement to be entered into by the NewCo and the Companies. Parties shall endeavor to fulfill all conditions precedent within 3 months from the date of the JVA.
(b) The supplemental JVA consist only 6 pieces of lands whereby the JVA dated 12 July 2017 consist of 13 pieces of lands.
(c) The Companies or its nominee shall hold up to 35% of the total issued and paid-up share capital of the NewCo while the remaining 65% of the total issued and paid-up share capital of the NewCo will be held by Chun Fu.
(d) All profits, costs and liabilities for the Joint Venture shall be shared between parties in accordance with the shareholding ratio.

The Board of Directors of MPCORP wishes to announce that pursuant to Paragraph 16.02 (1)(j) of the Main Market Listing Requirements, trading in MPCORP will be suspended with effect from 9.00 a.m, Monday, 25 June 2018.
On 14 June 2018, MPCORP had filed an appeal against the Winding-Up Order and now pending for the Court of Appeal case number to file the application of stay . Furthermore, another winding up application court no. W-02(IM)(NCC)-1811-10/2016 and W02(IM)(NCC)-1812-10/2016 is to be heard on 10 August 2018 at the Federal Court.

The Company is looking into formulating a plan to regularize its financial condition and will make the necessary announcement on the same in accordance with the requirement under PN17.
