AirAsia X is pleased to announce the incorporation of AAX AVIATION CAPITAL LTD. & AAX LEASING ONE LTD. as follows: - a) Incorporation of AAX AVIATION CAPITAL LTD. AirAsia X has, on 14th March 2018, incorporated a wholly-owned subsidiary company known as AAX AVIATION CAPITAL LTD.  (“AAC”)  (Company No.: LL14573), a private limited company under the Labuan Companies Act 1990. The objective of establishing this entity is to facilitate the leasing of aircraft by the AirAsia X Group in order to comply with the revised Guidelines on the Establishment and Operations of Labuan Leasing Business which were published by the Labuan Financial Services Authority (“Labuan FSA”) on 29 December 2017. The initial issued and paid-up share capital of AAC is USD1,000 comprising 1,000 ordinary shares of USD1 each and will be raised accordingly to cater for its operational needs. The Directors of AAC presently are Benyamin Ismail and Wong Mee Yen. b) Incorporation of AAX LEASING ONE LTD. AAX AVIATION CAPITAL LTD., the wholly-owned subsidiary of the ultimate holding company, AirAsia X, has on 15th March 2018 incorporated AAX LEASING ONE LTD. (“ALO”) (Company No.: LL14583), a private limited company under the Labuan Companies Act 1990 to facilitate the leasing of aircraft. The issued share capital of this subsidiary is USD1,000 comprising 1,000 ordinary shares of USD1 each and will be raised accordingly to cater for its operational needs. The Directors of the subsidiary presently are Benyamin Ismail and Wong Mee Yen. The incorporation of AAC and ALO are not expected to have any immediate effect on the issued and paid-up share capital or substantial shareholders’ shareholding in AirAsia X. The establishment of AAC and ALO are also not subject to the approval of shareholders of the Company and any other regulatory authorities in Malaysia. This announcement is dated 16th March 2018.

Description	AIRASIA X BERHAD - CLARIFICATION ON ARTICLE APPEARING IN THE SUNBIZ DATED 2 MAY 2018
AirAsia X Berhad ("AirAsia X" or "the Company") respectfully refers to the article appearing in The SunBiz dated 2 May 2018 entitled "AirAsia X – We have been paying”. The Company wishes to announce that it had just on 2 May 2018 evening received a sealed Writ of Summons and Statement of Claim (“Claim”) filed at the High Court of Malaya at Shah Alam (“Court”) from Messrs Skrine, the solicitors acting for Malaysia Airports (Sepang) Sdn Bhd (“MASSB”). Pursuant to the Claim, MASSB claims against the Company the following: - (a) a sum of RM33,419,047.64 being Outstanding Airport Charges; (b) a sum of RM864,686.70 being Outstanding Late Payment Charges payable up to 31 March 2018 in respect of the outstanding airport charges; (c) a sum of RM583,746.93 for Outstanding Rent Payment; (d) a sum of RM17,214.69 for Outstanding Late Payment Charges payable up to 31 March 2018 in respect of the Rent; (e) interest to be assessed by the Court; (f) costs; and (g) such further or other relief which the Court deems fit. The circumstances leading to the filing of the Claim by MASSB is based on MASSB’s contention that the Company had failed and/or neglected to make payment of the items listed in items (a) to (d) of this announcement. There is no material financial and operational impact on the Company as expenses of this nature are in the ordinary course of business and the same have been provided for in the financial statements. There are also no foreseeable losses arising from the Claim. The Company’s solicitors are of the opinion that MASSB’s Claim can be legally defended, and further there are sums to be deducted and set off against charges imposed by MASSB. The Company will be filing a defense to MASSB’s Claim. The Company will make the necessary announcement on any further material development in the above matter in due course . This announcement is dated 3 May 2018.
