（吉隆坡11日讯）宏洋控股（BENALEC，5190，主板建筑股）周二成功通过脱售马六甲的填海土地的议案，惟现场许多小股东对此项交易深感不满。        

宏洋控股早前建议把位於马六甲16块面积79.49英亩的租赁土地，以9695万令吉现金卖给Oceancove发展私人有限公司、策略產业私人有限公司和Ocenafront发展私人有限公司，並在周二举行的股东特別大会上寻求股东通过上述议案。

现场数名小股东在接受《东方財经》访问时，皆表示对上述交易感到不满，特別是3名买家皆与管理层有利害关係。

根据该集团的通函显示，宏洋控股执行董事拿督廖大春在Oceancove发展、策略產业、以及Ocenafront发展皆持有股权。

小股东们普遍认为，管理层理应通过公开竞標的方式寻找买家，而不是將该填海土地脱售予利害关係方。同时，亦有小股东向记者反映，声称上述土地的价格被低估。

然而，作为独立顾问的肯纳格投行在早前公佈的报告中表示，上述的交易既公平又合理，为股东带来最大的利益，因此建议股东们通过此项交易。

儘管小股东有异议，但该股东特別大会最终还是通过了上述脱售议案。

另外，持异议的小股东，也对大马交易所及证监会无法保护小股东的利益感到不满。[东方日报财经]

（吉隆坡20日訊）宏洋控股（BENALEC，5190，主板建筑組）展延簽署買賣協議（SAP）期限6個月，分析員對此不感意外，認為影響屬短期，鑒於長期遠景及投資價值不受動搖，而維持其財測不變。

宏洋控股與柔佛州秘書處和1MY策略石油終站私人有限公司（1MY）日前達成協議，額外延長條款有效期6個月，從2013年6月12日起至12月11日，以敲定最終買賣協議條款。

聯昌研究指出，雖然延遲簽署買賣協議影響負面，但不感意外，由於丹絨比艾（Tanjung Piai）填海工程鄰近溼地公約（Ramsar Convention）的紅樹林保護區，要取得環境影響評估批准充滿挑戰，不過長期而言，對宏洋控股完成交易的機會看法正面。

該行補充，其它新油氣物流及石化樞紐，尤其是邊佳蘭已經起飛，丹絨比艾雖貴為新的非國油支援私人領域，需較長時間執行，但這些因素不應該被低估。

大馬研究相信，交易雖然延後，但宏洋控股的投資價值及動力仍然不受動搖，因1MY與阿布扎比政府計劃在丹絨比艾聯營投資210億令吉興建儲油設施，而且地理位置鄰近裕廊石化樞紐，擁有超過20公尺自然深度的丹絨比艾可容納大型VLCC原油船，不失為策略性安全的儲油地點。

“相信阿布扎比未來投資將促成該交易，這對丹絨比艾重新定位為未來石油樞紐至關重要，而政府不可能對這筆交易的潛在外資流入視而不見，唯有開放丹絨比艾及柔南的邊佳蘭土地才可激勵更多興趣投資。”（星洲日報／財經）

宏洋控股卖地进账5431万

（吉隆坡10日讯）宏洋控股（Benalec，5190，主板建筑股）旗下的Heritage Land私人有限公司，将以5431万4528令吉脱售8片土地。

根据文告，Heritage Land分别与Highbond Capital和Gigayear Revenue签署买卖协议，分别以2715万6610令吉和2715万7917令吉的价格，脱售4片土地予这两家公司。

这些土地占地16.816公顷，均坐落在马六甲吉里望市镇第二区，距离马六甲市中心约7.5公里。

宏洋控股指出，脱售土地所得将为进行中的项目融资，以及集团的营运资本。公司预测能从脱售土地中获得705万令吉的收益。[南洋网财经]

填海工程推高宏洋盈利估值

（吉隆坡11日讯）分析员看好宏洋控股（BENALEC，5190，主板建筑股）在丹绒比艾（Tanjung Piai）和柔佛边佳兰（Pengerang）的填海工程，將带动该公司的盈利和估值。同时，隨著柔佛產业价格大涨，將让宏洋控股从中受惠。       

宏洋控股週三宣布，其独资子公司——Heritage Land私人有限公司，以5430万令吉（每平方尺30令吉），脱售8片马六甲总面积16.8公顷的土地。

肯纳格投行分析员指出，是项土地脱售在预料之中。

早前，肯纳格投行分析员预计，宏洋控股將在2014財政年脱售60英亩的土地。

肯纳格投行分析员表示，这比其上一轮的土地售价，即每平方尺28令吉，高出7%。

截至2012年6月30日，这8片土地的帐面价值为4490万令吉，或每平方尺24.80令吉。

因此，肯纳格投行分析员相信，宏洋控股通过售地，可在2014財政年获得700万令吉的收益。不过，有关盈利贡献低於肯纳格投行分析员的预测。这是因为，这8片地的成本是每平方尺24.80令吉，比肯纳格投行分析员预测的每平方尺15.10令吉，高出64%。

艾芬投行分析员则预测，上述土地脱售將为宏洋控股的2014財政年带来710万令吉净利，并將每股净资產从0.64令吉，提高至0.65令吉。

艾芬投行分析员给予2014和2015財政年的土地脱售收益预测，分別为7000万令吉和4900万令吉。

分析员仍然相信，丹绒比艾和柔佛边佳兰大规模填海工程，將显著带动宏洋控股的盈利和估值。

长期前景看好

与此同时，基於柔佛的產业价格大幅上涨，肯纳格投行分析员相信，宏洋控股在柔佛的土地发展將从中受惠，因而仍然看好其长期前景。

不过，肯纳格投行分析员將其2014財政年的盈利预测从1亿3130万令吉，下调14.6%，至1亿1220万令吉，因为將马六甲更高的土地成本纳入考量。

艾芬投行分析员则保持其2013至2015財政年的盈利预测。

艾芬投行分析员给予宏洋控股「短线买进」投资评级，目標价格为1.98令吉。

肯纳格投行分析员则维持该股「超越大市」投资评级，目標价格从2.08令吉，下修至2.01令吉。[东方日报财经]

宏洋5096万卖甲州地

（吉隆坡24日讯）宏洋控股（BENALEC，5190，主板建筑股）宣布，其子公司———Orientalcove Property私人有限公司，已于周二和Ultra Harmony Development私人有限公司签署买卖协议，以5096万5200令吉脱售六片土地。

该六片土地皆位于马六甲，总面积达12万1404平方米。

宏洋控股通过文告表示，该土地脱售活动乃符合业务模式，脱售净利将会为正在进行中的项目融资，同时也将用作营运资金，以迎合该公司的营运资金需求。

该净利将会在脱售活动完成后的12个月内被使用。

该公司称，此脱售活动料为其带来920万令吉的净利，相等于每股1.1仙的净利。

另外，其每股净资产也将从64仙，扬至65仙。

尋法律意見‧宏洋2執行董事違約

（吉隆坡8日訊）意外終止2名間接大股東兼執行董事服務合約宏洋控股（BENALEC，5190，主板建筑組）解釋，2名遭解除職務的執行董事已經違背服務合約條款，而董事部將優先尋求法律意見，再做其他決定。

宏洋控股是於昨日（週一）突然宣佈終止2名執行董事——拿督廖大春和拿督廖亞財（人名譯音）的服務合約，惟沒有交代細節。

這事件令人感到驚訝的最大原因在於，廖大春和廖亞財是宏洋控股控制股東——廖氏家族的成員，且是宏洋控股現任董事經理拿督廖成海的哥哥，突然遭終止服務合約，自然引起市場諸多揣測。

因此，大馬股票交易所週二就此要求宏洋控股提供更明確解釋，宏洋董事部在回函中說，廖大春和廖亞財是因為違反服務合約條款，才會被董事部解除職務。

值得一提的是，廖大春和廖亞財擁有Oceancove公司股份，而Oceancove合計持有宏洋控股約53%股權，意味廖大春和廖亞財是宏洋控股間接大股東之一。

沒行政權

“董事部是在10月7日舉行的會議中，決定終止廖大春和廖亞財的執行董事職務，但兩人目前仍然是公司董事，但已經沒有行政權。”

（吉隆坡10日訊）宏洋控股（BENALEC，5190，主板建筑組）意外終止兩位執行董事合約，投資者恐心存負面印象，對短期股價表現不利，分析員認為集團雖有依斯干達龐大填土工程利多，但工程遲遲未能開展無法稀釋負面衝擊，建議投資者暫時離場觀望。

聯昌研究表示，宏洋控股因拿督廖大春和拿督廖亞財（人名譯音）牴觸服務合約條款，宣佈終止他們的執行董事職務，加上管理層並未釋出大量消息，而此類新聞傳統上將讓投資者留下壞印象和負面觀感。

目前，廖大春和廖亞財擁有Oceancove公司股份，而Oceancove合計持有宏洋控股約53%股權，意味著兩人為宏洋控股間接大股東。

該證券行說，雖然認同管理層對公司基本面和商業方向仍完好觀點，但相信此次合約終止案將帶來法律糾紛，進而讓投資者忽略集團在依斯干達龐大填土工程的利多。

宏洋控股在2013年3月宣佈，將在丹絨比艾進行1千英畝的填海工程，首期工程預見在2014年首半年動工，一旦工程起跑將帶來龐大的潛在盈利貢獻。

不過，丹絨比艾填土工程銷售合約原定在今年6月12日簽定，可是基於相關協議條款尚未完整，因此決定將之展延至12月11日，也不排除進一步延遲可能。

聯昌說，鑒於董事合約終止，以及填海土地銷售合約簽署時間恐進一步展延，預見在情況明朗前，短期股價可能陷入停滯不前窘境，因此建議投資者在場外觀望。

（吉隆坡17日訊）宏洋控股（BENALEC，5190，主要板建築）因土地買賣涉及利益衝突，終止拿督廖大春和拿督廖亞財的執行董事服務合約。

該公司今日向馬證交所報備，終止廖大春和廖亞財的合約，原因是他們皆是公司早前兩項土地脫售的相關買家。

早前，宏洋控股獨資子公司脫售兩項土地，買家是兩家私人公司。

隨后宏洋控股委任獨立審計公司，審查和調查上述兩宗土地買賣。

獨立審計公司在9月份完成上述調查，結果顯示，“有力和令人信服的”證據，表明上述兩項土地買賣涉及上述兩位執行董事。

Pursuant to the announcement made on 8 October 2013 in relation to the termination of the service agreements of two of Benalec Holdings Berhad’s executive directors, namely Datuk Leaw Tua Choon and Datuk Leaw Ah Chye, Benalec’s Board would like to further amplify on the reasons for the said termination as follows: 1.  An allegation was made in March 2013 by a complainant via email which was disseminated to various parties, including Bursa Securities, that two (2) land disposal transactions (concluded in January and March 2012 respectively) between a wholly-owned subsidiary of Benalec Holdings Berhad as vendor and two private companies as purchasers were related party transactions in that Datuk Leaw Tua Choon and Datuk Leaw Ah Chye were linked to the purchasing entities. 2. Following an engagement session with Bursa Securities on the said allegation, Benalec’s Board sanctioned the appointment by the Audit Committee of an independent audit firm to review and investigate the two transactions in question. 3. The independent auditors conducted their field work between May 2013 and September 2013 and submitted their findings in a report to the Audit Committee on 24 September 2013.  In essence, the report concluded that there were “strong and compelling” documentary evidence linking the said executive directors to the two land disposal transactions, contrary to their persistent denial of the same. 4. After duly and thoroughly studying the contents of the said audit report, the report was submitted to Benalec’s legal counsel for their opinion thereon.  The legal opinion, which was duly received by the Audit Committee on 27 September 2013, supported the conclusions of the independent auditors based on the documentary evidence obtained.  The legal counsel further opined that there had been a breach of the terms of the service agreements of the said executive directors and that there was sufficient justification for the Audit Committee to take strong action against the two directors respectively. 5. On 7 October 2013, the Audit Committee met to resolve to recommend to the Board to terminate the said directors’ service agreements.  The Board, during a meeting on the same day, resolved to adopt the Audit Committee’s recommendation. Benalec’s Board wishes to advise that, consequent upon the events mentioned in the foregoing, senior management personnel have been designated to assume full control of the duties and functions previously coming under the purview of the said directors. As part of the ongoing transformation of the organisation and operations of the Benalec Group, a recruitment drive has been initiated to strengthen the senior management team with a view to facilitating the planned growth of the Group’s business. 根据文告，公司将在来临的股东常年大会中，寻求股东表决上述建议，并随后宣布股息派发日期和条件。

此外，宏洋控股在另一文告宣布，独资子公司Heritage土地房地产私人有限公司，以5147万496令吉，脱售8块土地给FaithviewSupreme发展私人有限公司。

文告显示，上述位于马六甲的8块土地占地29.54英亩。公司预测，该交易将于2015年首季完成。

The Board of Directors of Benalec wishes to announce that Heritage Land Realty Sdn. Bhd., a wholly-owned subsidiary company of Benalec Sdn. Bhd. which in turn is a wholly-owned subsidiary of Benalec, has on 28 October 2013, entered into a Sale and Purchase Agreement with Faithview Supreme Development Sdn. Bhd. to dispose of all those eight (8) pieces of leasehold vacant land held under Plot A - H located Kawasan Bandar VI, Daerah Melaka Tengah, Melaka measuring approximately 29.54 acres for a total sale consideration of RM51,470,496.00 to be satisfied entirely in cash. 宏洋未来数月或陆续售地

（吉隆坡29日讯）隨著宏洋控股（Benalec，5190，主板建筑股）宣佈以5147万令吉脱售了位於马六甲8块占地29.54英亩的地皮，分析员相信该公司未来数个月內將卖出更多地皮，而近期的董事变动不会影响其日常运作。       

宏洋控股28日宣佈，通过旗下的Heritage Land Realty私人有限公司与Faithview Supreme发展私人有限公司签署一项地皮买卖协议，將位於马六甲8块占地29.54英亩的地皮卖给对方，转手价是5147万令吉。

肯纳格研究分析员表示，他对此持正面看法，因为这项地皮已在其预测之內，即2014財政年將脱售160英亩的地皮。截至目前，宏洋控股已经卖掉101英亩的地皮，平均售价是每平方呎35.6令吉。

该分析员指出，宏洋控股以5147万令吉脱售29.54英亩的地皮，相等於每平方呎40令吉。而这批地皮的帐面价值是3080万令吉或或每平方呎24令吉。因此，宏洋控股料可从中赚取1550万令吉。

与此同时，肯纳格研究和艾芬投行分析员皆期待宏洋控股接下来会卖出更多地皮。

艾芬投行分析员说，宏洋控股目前拥有庞大的地库，总面积是330英亩左右，未来数个月內料脱售更多地皮。在柔佛填海专营权方面，管理层仍正面看待可以和一马策略石油终站公司，於今年12月11日签下丹绒比艾海岸总共为1000英亩的填海地皮买卖协议。

另一方面，宏洋控股28日另发文告宣佈，拿督廖亚財与拿督廖大春即日起皆由执行董事转任非执行董事。

肯纳格研究正面看待该公司对这两名董事採取的纪律行动，艾芬投行则认为这將使该公司增添新的不稳定因素。

廖亚財与廖大春均是宏洋控股董事经理廖成海的兄长，宏洋控股是在10月7日宣佈终止了2人的服务合约，並在8日向交易所交待2人是违反了合约条款而被解约，但仍是公司董事，只是没有执行权力。

肯纳格研究维持宏洋控股的「超越大市」评级和1.94令吉目標价；艾芬投行则维持其「短线买进」评级和1.98令吉目標价。

宏洋控股闭市收报1.18令吉，无起落，成交量为117万6300股。[东方日报财经]

2独立董事要求开特大 宏洋控股2董事遭罢黜

（吉隆坡7日讯）宏洋控股（BENALEC，5190，主板建筑股）两名独立董事，寻求召开股东特别大会，罢黜前执行董事拿督廖大春及拿督廖亚财的董事职位，不过没有阐明原因。

宏洋控股10月宣布，执行董事廖大春及廖亚财违反服务合约条例，因而终止两人的合约。也是大股东的两人，在维持董事职位的同时，并不会有行政职务或职权。

宏洋控股周三向马交所报备，两名独立董事接获两名独立非执行董事--古鸿冠及黄玉彦（皆译音）的要求，召开特大，罢黜廖大春及廖亚财的董事职位。

该公司指出，董事部在当天早上召开了特别会议，会中通过在适当的时候召开特大，罢黜两人董事职位的议案。

廖大春及廖亚财是宏洋控股董事经理廖成海的兄弟。

三兄弟与符宝林（译音），通过私人公司Oceancove，共同持有宏洋控股的53.21%股权。[南洋网财经]

The Board of Directors (“Board”) of Benalec wishes to announce that on 29 October 2013, Benalec received a requisition dated 29 October 2013 from two (2) Independent Non-Executive Directors of the Company namely, Mr. Koo Hoong Kwan and Mr. Wong Yoke Nyen, of their proposal for the Company to convene an Extraordinary General Meeting (“EGM”) for the purpose of removing both Datuk Leaw Tua Choon and Datuk Leaw Ah Chye as Directors of the Company, pursuant to Section 128 of the Companies Act, 1965 and Article 73 of the Company’s Articles of Association. The Board resolved in a Special Board Meeting held earlier today to convene an EGM in due course, for the purpose of passing the Ordinary Resolutions for removing Datuk Leaw Tua Choon and Datuk Leaw Ah Chye as Directors of the Company.
