（吉隆坡12日讯）方正集团（PUC Founder (MSC) Bhd）计划以200万新元（630万令吉）收购新加坡资讯科技公司Enovax私人有限公司后。
方正集团昨日向大马交易所报备，已与Enovax唯一股东符永裕签署谅解备忘录（MoU），就收购条款进行协商。
该集团说，签署MoU使其能够对Enovax进行精密审核，并允许各方就收购条款和条件进行谈判。

（吉隆坡19日讯）方正（PUC，0007，创业板）宣布以160万4240令吉，脱售Oscar财富咨询私人有限公司70%股权。
方正今日向交易所报备，Oscar财富咨询主要业务是提供金融计划与咨询服务、相关培训、活动管理和其他支援服务。
该公司指出，脱售活动可释放在Oscar财富咨询的投资价值。收益将用作营运资本，以支撑其他收益较高的业务。
如无意外，股权脱售相信可在第三季完成。
方正集团董事经理张嘉洲，通过文告指出，脱售Oscar财富咨询，属于重组计划的一部分，符合未来成为领导型数字服务供应商的计划。

（吉隆坡27日讯）方正（PUC，0007，创业板）以200万新元（约628万6200令吉），收购新加坡Enovax私人有限公司全数股权，拓展科技业务，尤其是电子商务及支付、广告和媒体领域。
该公司昨天向交易所报备，与Enovax主席兼总执行长符永久（译音）签署具条件股权买卖协议，放眼在2个月内，完成财务和法律精密审核，并委任新加坡籍的符永久为方正的科技总监，为期3年。
持463万合约
董事部相信，Enovex在研发软件方面的专业知识能够为方正增值，同时，对方正今财年的营业额与盈利有正面贡献。截至去年杪，Enovex手持463万令吉合约。
方正总执行长张嘉洲通过文告说：“收购Enovax将推动方正的扩展和长期增长计划，成为领先的数字服务供应商。”

张嘉洲任总执行长

（吉隆坡2日讯）方正（PUC，0007，创业板）今日宣布数项人事变动，包括委任张嘉洲为总执行长，李佩仪（译音）则受委为财务总监。
该公司向交易所报备，现年41岁的张嘉洲，目前是新加坡国籍，原本为该公司非独立非执行董事。
张嘉洲去年4月，被委任为方正的非独立非执行董事，是前董事经理已故张家榤的弟弟。
另外，现年也是41岁的李佩仪，是英国特许会计师公会（ACCA）和大马会计师协会（MIA）成员。拥有约20年的金融相关经验，且在大马、新加坡、香港、菲律宾、印尼、泰国和越南的市场，拥有至少15年的金融管理经验。
加入方正前，李佩仪是澳洲最大招聘网站SEEK旗下的SEEK亚洲有限公司的金融董事。
同时，方正为了确保非独立董事仍是组成公司董事部的主要成员，现任执行董事邱伟伦（译音）和张志伟（译音）宣布辞去执行董事的职责。

借力Enovax及推新产品
PUC冀营收双位数增

（吉隆坡4日讯）方正（PUC，0007，创业板）放眼本财年营业额取得双位数增长，主力来自刚收购的新加坡科技公司Enovax，以及推介新产品与服务。
该公司董事经理兼总执行长张嘉洲，今日在媒体汇报会上说，截至去年杪，Enovex手持463万令吉合约，同时，其他核心业务也会推出新产品和服务，不过，他拒绝透露更多细节。
至于目前蒙亏的再生能源业务，策略总监张志伟预计，这项业务会在次季转盈，每年可贡献120万令吉营业额及90万令吉净现金流。同时，该公司也积极扩大再生能源业务产能，高达50兆瓦。
维持4核心业务
展望未来，PUC的目标是成为数字科技服务的领先供应商，利用科技让核心业务更上一层楼。
张嘉洲解释：“追根究底，科技和数字化都是为了赚钱，而赚钱就得通过媒体、广告、金融和支付。”
他重申，PUC四大核心业务，分别为综合媒体服务、电子商务、科技和再生能源，他也没意愿改变核心业务。
长期而言，他希望各业务能平均地贡献营业额，各占约25%。
“长期来说，理想中是在稳定和收入迅速增长中取得平衡，我希望四个业务的贡献平均。”
不过，目前媒体和广告业务仍占总营业额的93%。
张志伟补充，需要至少2至3年来扩展其他业务。
至于投资者最关注的派息政策，张嘉洲称，目前该公司的重心为基本面，倾向长期增长，以创造股东价值，因此目前暂无计划派息。
出席汇报会者，还有从执行董事转任商务总监的丘伟源、新上任的科技总监符永裕，和营销总监谢若仪。
金融科技探进微贷业务
PUC持有房屋发展部发出的放贷执照，目前正初步探讨涉足该领域，或许会进军小额信贷业务。
张志伟称，可能通过金融服务或电子支付方案业务，为无法接触该服务的中小企业和消费者提供融资。
“我们正初步探讨，还未决定交付模式。我们不想只局限于传统放贷，而是会电子化，改善整个过程。当然，信贷方面要较为谨慎。”

（吉隆坡28日讯）PUC（PUC，0007，创业板）董事经理兼总执行长张嘉洲指，继完成收购新加坡科技公司Enovax之后，将继续寻求更多并购机会。
“我们希望找到可提升公司价值的并购，收购Evonax便是成功的例子。该公司将加强我们的后台技术支援，并让我们获得更多宝贵的大数据。”
张嘉洲是在出席旗下公司与科技公司Laputa的签约仪式后，对媒体如是指出。
“我们将继续寻找新的出路，以抵消传统广告业务下滑的趋势。”
张嘉洲也指，公司将继续专注于核心业务，包括传媒和广告、电子付费系统以及再生能源。
另一方面，PUC今日宣布，旗下的Founder Qube私人有限公司，与Laputa 私人有限公司结为策略伙伴，推广后者的创新广告平台——Moola。
Moola是一个让广大车主在车身黏贴广告，并借此赚取广告费的新应用程式。
1.5万人注册Moola
对此，PUC商务总监丘伟源透露，Moola目前已有1万5000名注册司机。
“我们的合作关系暂定维持2年，手机应用程序的技术将由Laputa负责，而我们则负责与广告商洽谈，并为他们量身订做最适合的车身广告配套。”

广告媒体仍是主轴．方正积极拓展新业务
（吉隆坡28日讯）方正（PUC，0007，创业板贸服组）积极寻找新业务方向，以提升核心业务价值。
方正董事经理兼首席执行员张嘉洲指出，公司的传统业务出现下滑的趋势，因此目前在寻找与核心业务有关联的新业务方向。
他强调，方正并不会转移核心业务，依然会以广告及媒体、再生能源和金融服务为主。
张嘉洲今日在方正与Laputa企业签署独家合作协议后，发表上述谈话。
与MOOLA广告平台合作
方正与Laputa合作，透过后者开发的MOOLA广告平台，为旗下广告客户提供多一个宣传平台。
方正首席商务员丘伟源表示，相信立即可以看到合作所带来的营业额贡献，因为目前已有1万5000名驾驶人士注册参与。
丘伟源说，透过私人轿车打广告是一个较新的市场，能够让合作的广告商多一个选择。
“我们在未来，也会提供更多的平台与服务予客户。”
丘伟源也指出，该公司目前也与沙巴Nexus Union公司合作，透过商用车辆如德士及巴士进行广告宣传。
他也指出，方正将继续寻求适合的合作伙伴。
截至2017年首季，方正营业额增长7.72%至863万4000令吉，净利却下挫60.70%至12万3000令吉。
据2016年财报，方正的广告及媒体业务贡献94.32%营业额，剩余则来自再生能源和金融服务业务。
购ENOVAX获更多大数据
张嘉洲表示，方正收购新加坡科技公司ENOVAX的活动已经完成，相信在后者强劲科技团队的助力下，能够为方正带来更大的协同效益。
他说，方正能够从中获得更多的大数据，且透过ENOVAX能够带来更多的增值机会和为广告及媒体业务带来利益。
张嘉洲直言，奇迹并不会在一夜之间出现，因此，公司尚需更加努力，才能看到业绩表现。
Founder Pay与FMC备忘录失效
他也不排除，若有适合的机会出现，会进行与业务相关的并购。
至于再生能源业务，张嘉洲表示，一旦成功攫取任何合约，将作出公布。
另外，方正在盘后发文告指出，旗下独资子公司──Founder Pay私人有限公司与马来西亚泛马汽车银业联合总会（FMC）在去年6月28日签署的备忘录（MOU）已经逾期，双方将不会继续该项协议。
根据该项协议，Founder Pay将探讨向符合资格的独立汽车零售商、小型汽车超市及经销商提供融资方案，而FMC则可以透过合作，推销汽车贷款业务。

方正集团易名展示新企业形象

（吉隆坡29日讯）获得股东点头放行后，综合媒体服务供应商方正集团（PUC Founder (MSC) Bhd）在今日的常年股东大会后也宣布易名为PUC Bhd，展示公司的新企业形象。
该集团今日发布一则文告指，易名是因为其创始中国公司—中国方正集团（PUC Founder Group）已不再是大股东。
“我们对于新品牌感到非常振奋，因为它巩固了我们为大马市场服务的承诺。公司多年来不断扩大经营，为核心业务建立了坚稳的根基。”
该集团董事经理兼总执行长张嘉洲表示：“我们将继续努力通过创新的量身打造产品，发挥公司的优势与潜力。这也符合我们欲成为领先数字生活科技服务供应商的愿景，也致力为我国发展成为数字经济作出最大贡献。”
该集团也指出，最后一批的私配股5520万股（每股配售价0.14令吉）已于昨日上市。
PUC股东也批准采纳根据2016年公司法的新宪法，以及回购集团已发行股权总数最高10%股权的议案。

PUC次季净利跌16%

（吉隆坡28日讯）PUC（PUC，0007，创业板）截至6月30日次季，录得41万7000令吉净利，按年下跌16.1%，上财年同期为49万7000令吉。
该公司向马交所报备，净利下跌可归咎于销售组合中较低赚幅产品的营业额贡献占较多，以及人力资源成本的上升。
不过，次季营业额则是暴增近1倍，由去年同期的508万8000令吉，按年涨至1012万7000令吉，归功于广告与媒体，以及可再生能源业务的推动。
将推电商和支付服务
另一方面，累计上半年，公司净赚54万令吉，按年减33.3%；营业额则取得1876万1000令吉，年增43.2%。
