公共信托售产托和管理公司
日企Kenedix 9113万接手

(吉隆坡19日讯)公共信托有限公司(ARB)以总值9112万7979令吉,脱售公共产业信托(ARREIT,5127,主板产业信托股)和产托管理公司的股权,给日本房地产资产管理公司Kenedix机构。

公共产业信托向马交所报备,ARB与Kenedix间接持有独资子公司KDA资本签署协议。

根据协议,ARB将分别以514万5000令吉,脱售公共信托产托管理私人有限公司(ARRM)的73万5000股或49%股权,以及通过场外交易以8598万2979令吉,脱售公共产业信托的8598万2979个单位或15%股权给KDA资本。

一旦完成脱售活动后,ARRM的股权架构将出现变动,ARB和KDA资本的持股率将分别达51%和49%。

同时,KDA资本将会成为公共产业信托的大股东。

此外,KDA资本会委任两名代表进入ARRM董事部。

基金规模目标20亿

随着股权架构有变,ARRM将会换名为“公共信托-Kenedix产托管理私人有限公司”,符合ARRM新的品牌策划,以及反映策略投资者KDA资本的崛起。

ARB董事经理阿德南在出席该项签署协议仪式后向媒体指,与Kenedix合作,将可借助互相在资产管理和产业发展方面的知识和专才。

“这打造一个新平台,建立一项策略及拥有协同效应的联盟,以及促进与国际投资者、银行和发展商的人际网络。”

Kenedix是日本其中一家最大型的独立房地产资产管理公司。
另一方面,阿德南表示,公司计划在未来3至5年,把公共产业信托的基金规模扩大一倍,达20亿令吉。

他表示,公司将会持续放眼收购资产,以达到该项目标。

“我们希望能够为该产托提供更好的回酬,无论是股息或是资本回酬。”【e南洋】

On behalf of the Board of Directors of AmanahRaya-REIT Managers Sdn Bhd ("ARRM"), the management company of AmanahRaya REIT, MIDF Amanah Investment Bank Berhad wishes to announce that the existing shareholder of ARRM, namely Amanah Raya Berhad ("ARB") had on 19 December 2016 entered into the following agreements with KDA Capital Malaysia Sdn Bhd ("KDA Capital"):

(a) Share Sale Agreement between ARB and KDA Capital in respect of the proposed disposal by ARB of 735,000 ordinary shares of RM1.00 each in ARRM equivalent to 49% shareholdings in ARRM to KDA Capital for a cash consideration of RM5,145,000 only;

(b) Shareholders Agreement between ARB and KDA Capital to regulate the relationship between ARB and KDA Capital as shareholders of ARRM; and

(c) REIT Unit Sale Agreement between ARB and KDA Capital in respect of the proposed purchase of 85,982,979 REIT units representing 15% of AmanahRaya REIT's units from ARB by KDA Capital at RM1.00 per REIT unit equivalent to RM85,982,979 by way of Direct Business Transaction subject to the approval of Bursa Malaysia Securities Berhad.

或借贷融资.公共产托拟3.7亿购办公楼

(吉隆坡18日讯)公共产业信托(ARREIT,5127,主板产业投资信托组)计划收购价值介于3亿5000万至3亿7000万令吉的办公楼,预期今年杪完成。

公共产业信托董事经理阿德南尤索夫在股东大会后指出,上述收购计划为一座吉隆坡办公楼,目前处于谈判阶段,不排除也通过借贷融资,因该公司30%的负债率仍算低,估计还有约15%的空间。

他补充,该公司预计可在今年或明年内收购炫耀性资产(trophy asset),可通过介于1亿至5亿令吉的较大型资产收购,维持去年报6%的平均租金收益率,目前未偏离在接下来3至5年内将该公司总资产价值由10亿令吉扩大至20亿令吉的目标。

探讨小型工业产业

“我们同时也正在探讨较小型的工业产业,不计地点,最重要的该产业的潜在成长率,并且需符合我们资产投资组合的回酬率,如回酬较低的住宅产业不会是我们的首选。”

“巴生河流域一带的产业在去年开始普遍处于低价位,并预测今年将再跌10至15%,甚至是20%,或将在明年内触底反弹,因此选择在这时候收购,对该公司非常有利。”

至于现有产业,该公司新上任首席执行员奴柏祖拉表示,因去年大部份租户已更新租赁,因此2017财政年将会有少于20%的租户更新租赁,其中包括世纪大学(SEGi),下财政年则为10%,而目前该公司也有意将士拉央商场转为长期性租户。

她补充,该公司计划在今年及明年内,将租金上调3至7%。

另一方面,该公司早前引进日本大型产业管理公司Kenedix机构,以设立过渡基金,估计该项基金将在明年开跑,届时将更积极寻觅适合产业,阿德南尤索夫强调将注重国内办公楼、零售商场及工业产业,不排除有来自外国的投资者。

根据该公司2016财政年年报,公共产业信托旗下共有15项产业,概括办公高楼、零售、工业、旅店及教育中心,总值10亿4000万令吉,平均入住率为80%。

公共产托4.6亿买Vista大厦
发票据筹资

(吉隆坡7日讯)公共产业信托(ARREIT,5127,主板产业信托股)以总值4亿5500万令吉收购位于吉隆坡敦拉萨路的Vista大厦。

公共产业信托向交易所报备,今天与The Intermark私人有限公司签署一项有条件买卖协议,收购一座63层办公大厦与2层大厅及3层底层。

该座办公楼拥有来自不同领域的租户,分别是油气、金融服务、建筑产品、工程与建筑,以及其他租客。

主要租户包括大华银行集团、国油提炼与石化机构(PRPC)和法国巴黎银行(BNP Paribas),每年总租金为3020万令吉。

为了收购办公楼,公共产业信托将通过一项中期票据活动,筹集4亿5000万令吉,而剩余的500万令吉则由内部融资。

在签署上述买卖协议之前,公共产业信托大股东Kenedix亚洲私人有限公司在昨日签署一项股票买卖协议,以总值4亿5620万令吉,收购MAL II(BVI)有限公司的全数股权及股东贷款。

公共产业信托指出,这项收购符合投资目标,即投资在可增进收益、增值,以及可持续赚取稳定收入的产业。

收购后,总资产价值将从截至6月30日的10亿3690万令吉,提高至15亿6100万令吉。

这将把公共产业信托挤进大马10大上市产托排名,进而加强在投资群的整体形象。该排名不包括城中城产托(KLCC,5235SS,主板产业信托股)。

此外,也可进一步多元化及扩大资产总规模组合,长期对该产托有利。

另一方面,收购价相比Vista大厦市价的5亿2300万令吉,出现13%折价。因此,将即可录得6710万令吉未兑现净利。【e南洋】

On behalf of the board of directors of AmanahRaya-Kenedix REIT Manager Sdn Bhd (the management company of ARREIT), RHB Investment Bank Berhad wishes to announce that CIMB Islamic Trustee Berhad, acting solely in its capacity as the trustee for and on behalf of ARREIT, had on 7 September 2017 entered into a conditional sale and purchase agreement with The Intermark Sdn Bhd for the proposed acquisition of Vista Tower for a total purchase consideration of RM455 million to be entirely satisfied in cash ("Proposed Acquisition").

4.55亿购办公楼.公共产托收入料增49%

(吉隆坡8日讯)

公共产业信托(ARREIT,5127,主板产业投资信托组)以4亿5500万令吉向The Intermark有限公司收购吉隆坡VistaTower办公大楼。

Vista Tower共有63层楼,为A级办公大楼,位于敦拉萨路Intermark。上述收购可在今年第四季完成。

●分析

MIDF研究表示,这是公共产业信托至今最大手笔的收购计划。该大楼的出租率共74.4%,相等于6.5%收益率。

该行相信未来出租率仍有增长空间,因知名及策略性地点的A级办公楼,需求应可保持稳定。

该行对此收购持正面看法,因收购价低于5亿2300万令吉的独立估值师的估值。再者,其总资产价值(TAV)将增加33.5%,至15亿6000万令吉,在大马产托股排名从第12位上升至第10位。

该行预期该产业在2018年可带来3020万令吉收入,令公共产业信托的营收将增加48.9%,至9190万令吉;核心盈利则攀升20.5%,至4650万令吉。

该公司计划以4500万令吉中票债券和500万令吉内部资金融资,假设借贷成本4.65%,利息开销将增加2090万令吉,负债比比0.3倍增至0.49倍。

MIDF维持买进评级,目标价1令吉15仙,周息率为具吸引力的5.8%。

Amanah Raya拟售1.093亿资产

(吉隆坡14日讯)财政部旗下公司──公共信托管理公司(Amanah Raya)预计脱售位于吉隆坡和槟城,价值达1亿零930万令吉的非策略性及陈旧资产。

公共信托管理公司董事经理阿德南向《Th eEdge》表示,预计脱售的资产为办公室,皆属于陈旧及剩余资产,而且必须进行重建计划。

“我们的策略是在未来,透过公共产业信托(ARREIT,5127,主板产业投资信托组),投资在产业项目上。”

阿德南也指出,基于并不符合信托要求,因此,并没有将上述资产售予公共产业信托。

“我们希望的是A级办公室。”

公共信托管理公司所脱售的资产当中,最具价值的是位于八打灵的Kelana Centre Point,而位于槟城甲抛峇底(Kepala Batas)的办公室则属于永久地契,剩余待脱售的还包括位于吉隆坡及雪兰莪的办公室。
