WCT联营公司遭追讨1.3亿

(吉隆坡11日讯)WCT控股(WCT,9679,主板建筑股)的联营公司遭分包商Triumpher钢铁建筑集团(简称TSC),追讨1亿773万2999阿联酋迪拉姆(约1亿3056万1623令吉)。
WCT控股昨日向马交所报备,旗下的多哈中东区域办公室,接获杜拜国际仲裁中心通知,指TSC提出仲裁申请,将Arabtec建筑(简称ATC)列为第一答辩人,WCT控股则是第二答辩人。
早前,ATC与WCT有限公司(杜拜分行)成立了一家联营公司,持股率分别是50比50。
而TSC是该联营公司的分包商,负责一项钢铁相关项目;至于联营公司则是主要承包商。但是,TSC的分包合约在2009年时就已经被终止。
根据合约,TSC向联营公司追讨款项达1亿773万2999阿联酋迪拉姆(约1亿3056万1623令吉),当中包括法律、仲裁费用和利息。
WCT控股指出,将会采取必要法律行动,以捍卫本身立场,且反对上述索赔。【e南洋】

TSC is claiming from the JV a total quantified sum of AED107,732,999.96 (equivalent to RM130,561,623.00) being alleged sums due pursuant to and under the Subcontract and further unquantified sums for legal costs, arbitration costs, and interest (collectively referred to as “the Claims”).
The Company will take the necessary legal actions to defend and to oppose the Claims.
None of the directors or major shareholders of WCT or persons connected with them has any interest, direct or indirect in the aforesaid legal suit.

(吉隆坡13日讯)WCT控股(WCT,9679,主板建筑组)仍未摆脱迪拜赛马场梦魇,遭供应商入禀仲裁庭索取巨额赔偿,分析员忧心集团败诉将大砍2017财政年净利目标45%,但预见诉讼期旷日持久及去年追回的巨额欠债将足以应付赔偿,维持财测不变。
WCT控股上周五宣布,其与Arabtec建筑合组的联营公司遭Triumpher钢铁建设集团(TSC)入禀迪拜国际仲裁中心求偿1亿零773万3000迪拉姆(约1亿3056万1623令吉),而公司将采取必要的法律行动来进行抗辩。
联昌研究认为上述消息对WCT控股将是一大利空,可能对股价带来压力,假设仲裁庭判起诉方胜诉,这将削弱集团2017财政年净利目标45%。
“不过,这对重估净资产估值(RNAV)影响不足2%,同时我们相信此诉讼可能需要长期抗战,未必会在财测期浮现。”
达证券认为,此消息虽对WCT控股不利,但相信下行风险有限,主要是相关合约将属背靠背性质,即TSC的付款需等候联营公司取得主合约款项后才进行支付。
“就算TSC胜诉,我们相信WCT控股与Meydan仲裁胜诉款项将足以覆盖相关赔偿。”
丰隆研究也持相同看法,相信这纯属非经常性事项,因此维持WCT控股财测不变,但集团有必要展现更好的盈利可持续性及削减负债比。

(吉隆坡5日讯)WCT控股(WCT,9679,主板建筑股)获得轻快铁第3路线(LRT3)TD1工程配套,总值1亿8590万令吉。
WCT控股向交易所报备,独资子公司WCT有限公司,昨天获得来自国家基建公司(Prasarana)颁发的TD1配套合约。
该配套为佐汉瑟迪亚(Johan Setia)维修车站的首期建设工作,以及万达镇(Bandar Utama)至佐汉瑟迪亚路线的相关工程;两项工程料18个月内完成。
据合约,相关工程包括现场勘查工作、交通安排、安全措施、卫生和环境管理、场地清理、拆除和土木工程、结构工程、道路工程、电子与机械工程。
由万达镇至巴生佐汉瑟迪亚的第3轻快铁计划,全程长达36公里,拥有25个轻快铁站,预期在2020年开跑。
另外,该公司日前宣布把第一批配售1亿45万6000股的发售价,定在每股1.77令吉,并预计能从第一配售股中筹得约1亿7800万令吉。

新山佰乐泰贡献WCT10%盈利

(吉隆坡19日讯)柔佛新山佰乐泰广场(Paradigm Mall Johor Bharu)將於今年11月开业,预计未来为WCT控股(WCT,9679,主板建筑股)作出的盈利贡献不超过10%。
WCT控股董事经理拿督李德福解释道,「对我们来说,重要的是旗下的每项资產都能助我们成长。由於公司还有其他业务,包括房地產发展,因此该商场的盈利贡献对我们来说固然重要,但却將只佔一小部份。」
新山佰乐泰广场是该公司在新山的综合发展项目的一部份。
整个项目预计將耗资15亿令吉,包含商场、酒店以及服务式公寓。其中,酒店的发展总值(GDV)大约为1亿,而服务式公寓的发展总值料將介於1亿5000万令吉及2亿令吉之间。
酒店以及服务式公寓工程尚在进行中,该公司拒绝透露开张日期。
不过,李德福表示,「有关酒店极有可能將是一家4星级酒店,有296间客房;而服务式公寓將在广场开张后完成,预计將有24个楼层。」
商场方面,新山佰乐泰广场共有6层楼,总建筑面积为200万平方英呎,可出租面积达130万平方英呎,包括500个商店店面。
谨慎选择租户
WCT首席执行员(零售)蔡巧莲表示,「目前新山佰乐泰广场出租率已达75%,我们希望在2018年能將所有店面租出。」
她也补充,「我们將谨慎选择租户,確保他们都是能够满足本地需求的商家。我们预计本地商家將占商场租户的大多数,尤其是本地餐饮业者,將成为吸引新加坡消费者的一大卖点。」
该商场將由吉隆坡柏威年私人有限公司管理。吉隆坡柏威年首席执行员(零售)拿督叶素卿认为,顾客体验及口碑对零售业来说至关重要。
她称,「目前来说,新山没有如此大规模的百货商场,但为了抢夺更大的市场份额,我们不止要成为最大,也希望提供顾客最好的体验。」

收购KKSB 99.98%股权
WCT拟满家乐建公寓

(吉隆坡28日讯)WCT控股(WCT,9679,主板建筑股)建议收购Kekal Kirana私人有限公司(KKSB)股权,以在满家乐发展公寓计划
该公司昨日向交易所报备,独资子公司WCT Land私人有限公司以999.80令吉,购买KKSB的99.98%股权。
目前KKSB是家冬眠公司,但有意进行产业发展。
KKSB去年11月7日,建议以8000万令吉,收购一块位于满家乐的1万2702平方米地皮,买卖合约料在今年5月完成。因此,WCT控股收购该公司股权后,将有助于完成购地协议。
发展总值6亿
根据文告,KKSB已取得吉隆坡市政局批准,发展336单位服务式公寓、俱乐部和4座别墅。
但该公司有意修改计划,将公寓数量提高至408单位,发展总值预计达6亿令吉。
不过,达证券分析员给予该项收购计划负评。他认为,尽管购地价格合理,占发展总值13.3%,仍负面看待该收购。
负债率高
“我们对该收购感到惊讶,因为WCT控股目前的重心,就是降低负债率。”
截至去年杪,WCT控股的净负债率为0.91倍。
除了负债高,分析员不看好的因素包括,目前房市面临挑战,尤其是高端产业、高端房产展望依然疲软、WCT控股地库相当大,超过900英亩,未发展总值高于250亿令吉。
在WCT控股完成收购及透露更多消息之前,该分析员维持盈利预测和“卖出”评级,但微降目标价至1.49令吉。
不过,丰隆投行分析员认为,这对WCT控股负债率影响甚小,预计从91%提高至94%。
分析员点出,WCT控股首次进军满家乐产业市场,显示新管理层想提供一个较高端的产品。 过去该公司的产业发展计划皆位于巴生地区。

WCT 马顿若合併 壮大规模提升竞爭力

(吉隆坡3日讯)分析员指出,倘若WCT控股(WCT,9679,主板建筑股)和马顿(MALTON,6181,主板產业股)合併,可收窄它与重量级建筑和產业股--金务大(GAMUDA,5398,主板建筑股)与怡保工程(IJM,3336,主板建筑股)的市值及估值之间的差距。
艾芬黄氏资本分析员表示,2家公司若合併,將创造市值高达35亿令吉的公司。
金务大和怡保工程的市值,分別为129亿令吉和126亿令吉。
早在去年11月2日,该分析员在报告中已不排除WCT控股和马顿合併的可能性,因为共同大股东丹斯里林晓春可借此整合所持有的2家上市公司相似的业务。
產生协同效应
林晓春分別持有WCT控股和马顿的18%及35%股权。由于2家公司都有较高的负债,假设要合併可能会通过换股的方式进行,而合併將会產生协同效应。
换股活动也將允许林晓春整合在2家公司的股权。根据2家公司的价格或账面价值为1倍计算,1股WCT控股相等于1.3股马顿股票,料將使林晓春在WCT控股的股权,从18%,提高至24%。
「我们相信,合併可结合2家公司的人才、在各地区建立更广泛的產业產品、並利用当前的產业整合趋势,提升竞爭力。」
分析员称,马顿是一家涉及综合发展项目的利基產业发展商和建筑承包商。它主要是透过大股东林晓春旗下Pavillion品牌,发展35亿令吉的武吉加里尔城(Bukit Jalil City)。
马顿在吉隆坡、雪州、柔佛边佳兰拥有381英亩的地库,毛发展总值为83亿令吉,可维持未来10至15年的產业发展活动。马顿建筑和管理项目业务尚有10亿令吉的订单。
「武吉加里尔城是马顿的旗舰项目,包括一个区域性购物商场称为Pavilion Bukit Jalil以及高楼住宅產业。」
其首次于2015年推出发展总值17亿令吉的商店和服务式公寓,大部份已出售。目前10亿令吉的未入账销售主要来自该项目。潜在脱售该商场的股权给策略投资者,可释放该商场的价值,並可降低高企于63%的净负债。
分析员没有给予马顿任何投资评级,但认为其合理价为1.48令吉。而WCT控股,分析员则將其2017至2019財政年的每股盈利预测,分別下修2%至13%,以反映较低的建筑和產业盈利。

建筑业务贡献大
WCT首季净利翻2.7倍
2017年5月30日
(吉隆坡29日讯)WCT控股(WCT,9679,主板建筑股)在截至3月杪的首季,净利按年猛涨2.7倍。
该控股向交易所报备,净利从去年同期的882万6000令吉,增加至3308万令吉,或每股净利2.64仙。
营业额也从去年的4亿8496万4000令吉,按年微减2.4%,录得4亿7339万3000令吉。
WCT控股在业绩报告中指出,该季营收上涨,归功于工程和建筑业务的贡献增加。
该业务营业额年增1.4%,至3亿8337万令吉;税前营运盈利则增加7倍,录得3008万2000令吉。
“控股旗下的国内建筑业务表现良好,带来强劲的盈利赚幅。”
在去年获得约20亿令吉的订单总额后,WCT控股认为,随着政府持续重视发展基建项目,预计今年的表现将提升。
WCT控股董事经理拿督李德福(译音)在文告指,该控股也通过获得较高赚幅项目,来提高赚幅,刺激今年的整体表现。
目前该控股持有订单为48亿令吉。
于此同时,该控股认知,产业市场现况充满挑战,因此在推出新项目上更谨慎,同时加强影响活动销售旗下产业。【e南洋】

注入11亿资产‧WCT产托年杪上市集资4亿
(雪兰莪‧巴生1日讯)WCT控股(WCT,9679,主板建筑组)将在今年内让产托上市以筹集4亿令吉,初步将注入3项总值11亿令吉的资产。
除了透过产托(REIT)筹资,丹斯里林晓春控制下的WCT控股,也同步透过私下配售、脱售资产等一系列活动,以将目前0.8倍的负债比调低至0.6倍。
取代陈锦华出任WCT控股董事经理的拿督李德福,副董事经理吴进隆、董事兼财务与账户总监张健华,今日在股东大会的新闻汇报会披露上述消息。
李德福说:“这项产托上市计划将向投行咨询与获相关当局放行,会在今年内完成。”
注入产托的资产包括佰乐泰商场、巴生武吉丁宜永旺购物商场、巴生Premiere酒店等。
李德福说,未来可能注入第三方资产。
该公司最近以3亿4700万令吉脱售办公楼予公积金局,也将私下配售1亿零50万新股以筹集1亿7800万令吉,另也以3亿令吉脱售万挠附近土地。
他说,在让产托上市前,公司将致力“清理资产”,预计年杪才迈向产托上市之路。
WCT控股首季净利飙涨,主要受基建工程更高赚益与外汇亏损减少烘托,今后是否保持上述赚益与亮丽表现,李德福谨慎乐观看待这个财政年前景。
吴进隆也说,公司在执行工程或任务时,将更专注而显现效益和管控成本。
李德福强调,公司不会为了赢取工程,而调低竞标价,而将以纪律与准则处理相关工程。
与中国国企合标“特别建筑”工程
WCT目前有48亿令吉工程未进账订单在握,将竞标逾100亿令吉国内外工程。
谈到会否与马顿(MALTON,6181,主板产业组)合并,李德福说,迄今未接获任何合并献议。
吴进隆说,该公司也与中国国企合伙竞标“特别建筑”工程,惟不愿公布竞标值、两家公司身份,并未说明特别建筑是否为“大马城”,只表明适当时公布详情。
他说,WCT控股与两中国国企联合竞标特别建筑,主要是汲取中国的一些专精、资源,以开发“特别建筑”之契机,不是在基建联手竞标。
他不便透露有关国企身份,因目前仍在磋商阶段,或在年杪会有进一步透露。
在所竞标工程中,50%为基建工程,包括轻快铁三(总值90亿令吉)、捷运二车站(15亿令吉)、巴生吉隆坡BRT等;国内竞标办公楼、酒店、购物中心建筑工程,海外则在卡塔尔竞标18亿令吉工程。

WCT遭多哈分包商
索偿2.14亿
2017年7月10日
(吉隆坡10日讯)WCT控股(WCT,9679,主板建筑股)在多哈的一项政府项目,遭3家分包商索偿1亿8157万3741卡塔尔里亚尔(约2亿1411万9018令吉)。
WCT控股今日向交易所报备,中东区域办公室在上周六(8日)接到国际商会仲裁法庭的通知,Trans Gulf 国际机电、Powermech工程,以及这两家公司的联营公司,向WCT有限公司提出索偿。
这三家公司,是多哈内政部总部建筑项目的机械、电气以及水管相关工程分包商。
索偿数额包括分包合约中的应付款项、法律、仲裁费用和利息。
WCT控股表示,将会采取必要的法律行动进行抗辩。【e南洋】

The Claimant was the WCTB’s subcontractor under a subcontract in respect of certain mechanical, electrical and plumbing related works for the Ministry of Interior Head Quarters Project in Doha, Qatar (“Subcontract”), where WCTB was the Main Contractor.
The Claimant is claiming from WCTB a total estimate sum of QAR 181,573,741.00 (equivalent to RM214,119,018.00) being alleged sums due pursuant to and under the Subcontract and further unquantified sums for legal costs, arbitration costs, and charges (collectively referred to as “the Claims”).
The Company will take the necessary legal actions to defend and to oppose the Claims.
None of the directors or major shareholders of WCT or persons connected with them has any interest, direct or indirect in the aforesaid legal suit.
