（雪蘭莪‧沙亞南27日訊）美全（MTRONIC,0043,主板貿服組）目前手握1億令吉智能建築、安全防範等工程，預料下半年仍有數千萬令吉工程契機，公司正策劃尋找新的活水源頭，而發展可負擔得起房屋發展計劃是其中一選項。

該公司董事經理拿督陳耀星博士說，公司正在研究由工程轉化到可負擔得起房屋發展商，這也符合企業的相關性，惟仍需洽商和有待落實。

他在股東大會後表示，公司目前仍在積極接洽爭取樓宇、酒店、廠房、捷運、購物中心的智能與控制系統，預料下半年可攫取數千萬令吉這類工程。

他預計，上個財政年由虧轉盈500多萬令吉後，這個財政年前景只有愈來愈好。

他說，公司主要從各大發展商、主要承包商、諮詢工程師或冷氣、電工承包商等獲工程，其市佔率達50%，為國內經營此領域的上市公司。

他指出，基於國內仍有很多業務契機，暫時將聚售國內業務。

他說，這個財政年開闢了物理治療儀（理療儀）與肥料買賣業務，這在沒有增加資本開銷下為公司貢獻利潤。

他披露，目前的其中一個重點，是管控人力成本和重組一些部門，使結構更精簡化和提高市場競爭力。

他說，在上述工程上，除了掌控好勞力、原本成本與時間成本外，公司也會考量節能的需求與給予適當的設計，為客戶提供更加值或優質服務。（星洲日報／財經）

980万丹州购地 美全多元化至产业发展

（吉隆坡30日讯）美全（MTRONIC，0043，主板贸服股）以总值980万令吉，收购位于吉兰丹瓜拉吉赖（Kuala Krai）的地皮，发展综合房屋项目，借此多元化业务至产业发展。

今日，美全建议，独资子公司M One国家发展私人有限公司，收购占地3万1943平方米的地皮，将兴建137个住宅单位和42个店屋单位，预计发展总值达5573万6000令吉。

公司预计从明年次季开始动工，并在48个月内完成。

根据文告，美全将通过3种方式进行收购，分别发出价值600万令吉的新股给卖方、支付188万令吉的现金，以及交付3间总值182万令吉完成后的店屋单位给卖方。

通过该项发展计划，公司建议多元化业务至产业发展。

目前，公司主要业务涉及智能大厦管理系统及整合安全管理系统、机电服务电子项目管理，但因行业竞争升温，所以决定多元化业务。

私配筹1396万

在这之前，公司也在去年11月15日，与Northern Paradise私人有限公司签署产业发展联营，在吉隆坡发展综合住宅和商业计划。

另外，公司也建议私下配售1亿3967万9500股新股，或占缴足资本接近20%，集资收购上述地皮、偿还银行贷款和公司营运资本用途。

假设每股配售价为10仙，预计可筹集高达1396万7950令吉。

在土地收购和私下配售活动完成后，卖方将持有美全6.68%股权，成为新大股东。

闭市时，美全报8.5仙，跌0.5仙或5.56%，成交量有525往哪5000股。【南洋网财经】

He obtained his Bachelor’s degree in Quantity Surveying from the University of Greenwich, United Kingdom in 1998 after completing his Diploma in Building Technology from Tunku Abdul Rahman College in 1997. After a short working period in Malaysia, he further his post graduate studies in Business Administration and subsequently obtained his Masters Degree in 2010 from Open University Malaysia. Mr Ong Chin Keong has worked in property development management and construction project management for the last eighteen (18) years and has handled numerous projects in Malaysia and Indonesia. The Net Assets and Net Losses of NETX based on its latest audited financial statements for the financial year ended 30 June 2014 were RM30.5 million and RM5.8 million respectively. 2.      RATIONALE FOR THE DISPOSAL The Disposal of NETX shares was aimed at improving the Company’s cashflow requirements. 3.      BASIS OF DETERMINING OF THE CONSIDERATION The shares were disposed in the open market at the prevailing prices as quoted on the Bursa Malaysia Securities Berhad. 4.      FINANCIAL EFFECT OF THE DISPOSAL 4.1    Earnings          The Disposal has no material effect on the earnings of MGB for the financial year ending 31 December 2015. 4.2    Net Assets          The Disposal has no material effect on the Net Assets of MGB for the financial year ending 31 December 2015. 4.3    Gearing, Share Capital and Substantial Shareholder’s shareholdings          The Disposal would has no material effect on the gearing nor any effect on the share capital and the substantial shareholdings of the Company. 5.         DIRECTORS AND MAJOR SHAREHOLDERS INTEREST None of the Directors, or major shareholders of the Company and/or persons connected with them have any direct or indirect interest in the Disposal. 6.         THE HIGHEST PERCENTAGE RATIO The Highest Percentage ratio applicable for the Disposal is 5.08%. 7.         APPROVALS REQUIRED The Disposal is not subject to the approvals of the shareholders or any relevant authorities. 8.         DIRECTORS’ STATEMENT The Board of Directors is of the opinion that the Disposal is in the best interest of the Company.
