Query Letter Contents	We refer to your Company’s announcement dated 5 January 2021, in respect of the aforesaid matter. In this connection, kindly furnish Bursa Securities with the following additional information for public release:- 1) To elaborate on the reason(s) for the termination of the MOA between the Company and MVC to obtain exclusive distribution rights for MVC’s COVID-19 vaccine. 2) It was stated in the Company’s press release dated 20 November 2020 that within a month after the signing of the MOA, Metronic Medicare Sdn Bhd shall deposit US$1.5 million with MVC and apply the refundable deposit to the purchase price of orders for the Finished Product. To state whether such amount has been deposited with MVC. If so, to state on whether such amount is refundable directly to the Company in view of the termination of the MOA.
We refer to METRONIC’s announcement dated 5 January 2021 (“Announcement”) in relation to the Termination of Memorandum of Agreement between Medigen Vaccine Biologics Corporation and Metronic Global Berhad, and query from Bursa Malaysia Securities Berhad ("Bursa Securities") vide its letter dated 5 January 2021 in relation to the same (“Bursa Queries”). The Company wishes to announce the following as required by Bursa Securities:- 1. To elaborate on the reason(s) for the termination of the MOA between the Company and MVC to obtain exclusive distribution rights for MVC’s COVID-19 vaccine. The MOA was terminated because the deposit of US$1.5 million was not paid to MVC within the agreed timeframe. 2. Query Letter Contents	We refer to your Company’s announcement dated 2 February 2021, in respect of the aforesaid matter. In this connection, kindly furnish Bursa Securities with the following additional information for public release:- To state the identity of the major shareholders of Joysbio. To elaborate on the rationale and expected outcome of the Project. To state the relevant authorities’ approvals required to produce and distribute the SARS-Cov-2 Neutralising Antibody Test Kit. It is noted that Joysbio shall provide MMSB a written program reports periodically and a final report not later than two (2) months from the end of the Contract Period. To elaborate on the details of the said written program reports and how will MMSB benefit from this arrangement. It is noted that the first initial payment shall be USD 1,000,000 (equivalent to RM4,042,500). To state whether such amount has been paid. To state the basis to arrive at MMSB’s maximum liability for the Project of USD 2,000,000 and the nature of expenses to be incurred by Joysbio under the Project. To provide examples of events of that could constitute to early termination of the Project by both Parties pursuant to the Agreement. It is noted that MMSB shall pay all costs incurred in connection with the research, development and production cost for the first 800,000 units. To provide the estimated amount for such costs and the source of funds, and whether the initial payment of USD1 million constitutes part of this cost. To further elaborate on the statement in Section 3(vi) of the announcement which reads  “Joysbio shall be responsible for, and liable to able employee-inventor regarding, its employee inventor’s reward relating to the benefits of any Joint Intellectual Property. Joysbio shall indemnify MMSB for any such claim by any of the Joysbio’s employees.”
