马银行脱颖而出 赢标印尼国际银行

(吉隆坡26日讯)马来西亚最大金融服务集团马来亚银行有限公司(MAYBANK,1155,主板金融组)已赢得一项竞标,向新加坡淡马锡控股(私人)有限公司收购印尼国际银行的55.7%股权。

这批股权是由Sorak金融控股私人有限公司持有,而后者的75%股东为Fullerton金融控股,及另25%为韩国国民银行所有。

今日在此间的一项声明中,马来亚银行说,它已签署一份有条件买卖协议,以48亿令吉现金代价收购Sorak金融的100%股份。
马来亚银行称,它将标购由其他股东持有的印尼国际银行其余44.3%股份。

“上述标购献议涉及数额约为38亿令吉,使得潜在收购的总价值达到约86亿令吉。”

它说:“建议中收购预料将在6个月内完成,将透过内部基金和借贷融资。”
马来亚银行表示,它已获得国家银行批准这项建议中收购,而其现须符合的条件是寻求印尼银行和马来亚银行股东们的放行。
马来亚银行是数个参与竞标收购淡马锡控股于印尼国际银行股份的环球金融机构之一。

根据报导,最后名单的另外2个竞标者为中国银行和汇丰控股。

印尼国际银行在雅加达股票交易所上市,是以资产计在印尼排名第6大银行,经营所有主要银行业务。

它也拥有超过230间分行和700个自动提款机的多管道分销网络,并有互联网银行和客户服务中心经营。

马来亚银行代首席执行员阿米奴汀透露:“这项收购将转变马来亚银行在印尼的成长潜质,同时也朝重组其经营的策略迈进一大步。”
“我们非常高兴,因印尼银行领域渗透率依然偏低,并且拥有卓越的长期成长潜质。”
他说:“印尼国际银行拥有强劲的市场地位、广泛多管道分销网络及高素质客户基础,让它处于优势实现上述成长潜质。”
阿米奴汀称,这项收购将让马来亚银行可进军印尼银行市场,马上拥有一个庞大、已建立和吸引平台配合未来成长。

马来亚银行预测这项收购将从2009财政年开始,对集团的收益和盈利产生正面贡献。
配合这项宣布,马来亚银行母股与相关股项都于今日暂停交易一天,并将于明日上午9时正恢复交易。

The acquisition will transform Maybank's growth prospects in Indonesia and significantly enhance its regional presence, says acting chief executive officer

MALAYSIA'S biggest bank, Malayan Banking Bhd (Maybank), has won a bid to take control of Bank Internasional Indonesia (BII) for US$1.5 billion (about RM4.8 billion), a major step for the lender to expand in the region.

BII is Indonesia's sixth largest bank in terms of assets, with over 230 branches.

"This acquisition will transform our growth prospects in Indonesia and significantly enhance our regional presence," Maybank acting chief executive officer Datuk Aminuddin Md Desa told reporters at a briefing yesterday in Kuala Lumpur.

To comply with takeover rules, Maybank will also offer to buy the remaining 44 per cent of BII, which could push its total bill to US$2.7 billion (RM8.6 billion). It plans to fund this internally.


The deal comes just days after it agreed to buy a 15 per cent stake in Vietnam's An Binh Bank for RM430 million.

Maybank's bid for BII, at 4.6 times book value, appears steep, an indication of the stiff fight from bigger rivals and limited opportu-nities in the region. Analysts said that it was probably the most expensive bank purchase ever in Indonesia.

Research firms like Citigroup had expected it to pay US$1.8 billion (RM5.7 billion) for all of BII.

Aminuddin, however, believes it is worth paying the hefty premium to get a controlling stake in a crucial market like Indonesia. The country has no foreign shareholding limits and offers one of the highest growth potential in the region.

"It's an opportunity we couldn't afford to miss," he said.

A Reuters report said Maybank had beaten Bank of China for BII, after Europe's biggest lender, HSBC, dropped out in the last leg of the race.

According to Aminuddin, BII will start contributing profits in the third year after the deal is completed. Maybank's strategy is to tap the remittance business and, later, trade finance.

With BII, revenue contribution from Maybank's international operations will jump to 30 per cent in the next one or two years from about 19 per cent currently, he said.

In the first stage of the BII deal, which could take three months to complete, Maybank will pay RM4.8 billion to buy all of Sorak Financial Holdings Pte Ltd, which holds 56 per cent of BII.

Sorak is owned by Singapore investment arm Temasek (75 per cent) and South Korea's Kookmin Bank (25 per cent).

Maybank will then make a RM3.8 billion offer to buy out BII's minority shareholders.

On whether Maybank intends to take BII private, Aminuddin said it was still too early to say as it would depend on how minority shareholders respond to the offer.

He pointed out, however, that Indonesian law states that as long as there are at least 3,000 public shareholders, a company can be kept listed no matter what the public shareholding spread is.

Maybank, whose shares traded at RM8.95 yesterday before being suspended for the announcement, expects to complete the entire deal in six months.

Temasek is selling its stake in BII to comply with Indonesian laws that forbid a foreign investor from owning more than one bank.

MALAYAN Banking Bhd (Maybank) is in discussions with several parties to buy banks in South Asia and Thailand, an official said.

"We are in deep talks," Lim Hong Tat, executive vice-president and head of international business, told Business Times.

He declined to divulge more information, but analysts said that the South Asian market in question was likely to be Pakistan, given the strong potential for doing Islamic banking there.

Maybank acting chief executive officer Datuk Aminuddin Md Desa told reporters yesterday that while Bank Internasional Indonesia (BII) would be its most significant foreign acquisition, the bank remained interested in further banking takeovers.

KUALA LUMPUR: Shares in Malaysia's biggest lender, Malayan Banking Bhd (Maybank), tumbled to a 3-1/2-year low on Thursday after it offered to buy Bank Internasional Indonesia (BII) for US$2.7 billion (RM8.64 billion).

Maybank surprised investors on Wednesday by saying it would pay US$1.5 billion for 56% of Indonesia's sixth-largest lender -- a 23% premium to Tuesday's share price -- and would offer to buy out the bank's minority shareholders for US$1.2 billion.

"The price tag... was more than 50% higher than we assumed for a mediocre franchise," Citigroup said in a note, downgrading Maybank to a sell from a buy. It slashed Maybank's target price to RM8.38 a share from RM10.63.

Maybank shares fell as much as 11% to RM8 a share in the first few minutes of trade, its lowest level since August 2004. At 0126 GMT, the stock fetched RM8.35.

The offer price represented 4.6 times book value, expensive even when compared with Chinese banks that trade at between 3.3 and 5.4 times book value, according to Reuters data. -- Reuters

IS BANK Internasional Indonesia (BII) an expensive deal for Malayan Banking Bhd (Maybank)?

On the surface, yes it is. The offer prices BII at 4.6 times book value, while the top five Indonesian banks now trade at around 3.8 to 3.9 times book.

However, there are compelling reasons why it is a price worth paying.

The main one is that there are not that many banks that are up for sale in the Southeast Asian region. The first window opened in early 2000 when Indonesia opened its doors to foreign investors to buy its financial assets.
Maybank tried in 2004 but its group lost out to the UK's Standard Chartered.

This time around, a smaller window opened. Indonesia introduced a rule that prevented a foreign investor from owning more than one bank.

Only Khazanah Nasional Bhd and Temasek, Singapore's investment arm, are affected by this rule. Khazanah owns Lippo Bank directly and Bank Niaga through Bumiputra-Commerce Holdings Bhd (BCHB).

Khazanah wants to merge Lippo and Niaga. This leaves Temasek, which owns Bank Danamon and BII.

As such, the price tag, apart from a premium for control, also reflects a scarcity premium.

"I think it's an acquisition of wanting to be in the market, against price. Otherwise, you might not get an opportunity," said Mushthaq Ahmad Ibrahim, chief investment officer of MIDF Amanah Asset Management Bhd.

It can also be argued that Maybank is paying more for Indonesia's potential.

The world's fourth-most populous country has an economy that chugs along at an annual growth rate of about six per cent.

Maybank officials revealed yesterday that Indonesia's loan-to-gross domestic product ratio is 24 per cent, compared with 75 per cent in Thailand and 90 per cent in South Korea.

This means that there is plenty of room for BII to grow.

Indonesia is also a profitable market. Net interest margin - a difference between interest charged on loans and deposits - is the highest in Southeast Asia at 5.8 per cent, more than double what lenders earn in Malaysia.

The BII deal is also significant for another reason: the fact that local banks can hold their own when faced with much bigger rivals.

Maybank beat Bank of China, China's third biggest lender, while HSBC withdrew in the last lap. There were concerns that it might not make it after BCHB lost out to China's biggest lender, ICBC, in a bid for Thailand's ACL Bank last year.
