买spsetia 的屋子, 是2005年陪老妈买东西, 结果走错路,。。。。。

走到spsetia 的某个project 的show room  , 看到很多人。。。

然后我妈妈说:“你还没有买屋子, 这个看起来不错”
结果, 我就当场给deposit  , 2000

哈哈哈哈,2006住进去, 发觉不错。。。
一时冲动,也是不错的, 哈哈哈哈

DEVELOPMENT AGREEMENT
S P SETIA BERHAD ("S P SETIA" or "THE COMPANY")

DEVELOPMENT AGREEMENT ENTERED INTO BY AEROPOD SDN BHD AND THE STATE GOVERNMENT
OF SABAH FOR THE PROPOSED DEVELOPMENT OF A PIECE OF LAND MEASURING
APPROXIMATELY 59.21 ACRES IN TANJUNG ARU, KOTA KINABALU, SABAH
1.         INTRODUCTION

The Board of Directors of S P Setia ("Board") wishes to announce that on 29
January 2008, a subsidiary of S P Setia, Aeropod Sdn Bhd (“Aeropod” or
“Developer”) has entered into a Development Agreement with the State Government

of Sabah (“State Government”) for the proposed development of a piece of land
measuring approximately 59.21 acres in Tanjung Aru, Kota Kinabalu, Sabah
(“Land”).

(Aeropod and the State Government shall be individually referred to as a
“Party” and collectively as the “Parties”).


2.         INFORMATION ON THE LAND

The Land is situated approximately 5km southwest of Kota Kinabalu City Centre,
about 2km northeast of Tanjung Aru Township and is easily accessible from the
Kota Kinabalu International Airport (“KKIA”) and the Low Cost Carrier Terminal
2 (“LCCT2”).

The Land comprises of the following lands:-

a)         Survey Lot No. 01200688 measuring approximately 10.00 acres of land
being Government Reserve for the Sabah State Railway (Jabatan Keretapi Negeri
Sabah (“JKNS”) under Gazette Notification No. 152 of 1982);

b)         Survey Lot No. 01200944 measuring approximately 40.00 acres of land
belonging to the State Government; and

c)         a portion of Survey Lot No. 01200705 measuring approximately 9.21
acres of land being State Government Land Reserve under Gazette Notification
No. 74 of 1986.

The headquarters of JKNS, the main railway station, other buildings belonging
and/or presently used by JKNS in connection of the railway station
(collectively, “Existing JKNS Buildings”) and railway tracks are currently
situated on part of the Land. Aeropod will be constructing the new railway
station and other ancillary buildings related thereto (collectively “New JKNS
Buildings”) on a portion of the Land which in this announcement shall be
referred to as the “Retained Land”.

Aeropod proposes to develop a mixed commercial and residential development on
the remaining part of the Land measuring approximately 41.81 acres (“Project
Land”).

The market value of the Project Land has been estimated by Jabatan Tanah &
Ukur, Kota Kinabalu, Sabah to be RM110,000,000 (“Agreed Value”).


3.         INFORMATION ON THE PARTIES

3.1        Information on Aeropod

Aeropod was incorporated in Malaysia under the Companies Act, 1965 on 30 March
2007 as a private limited company. The present authorised share capital is
RM100,000 comprising 100,000 ordinary shares of RM1.00 each of which 100 shares

have been issued and fully paid up. Presently Aeropod is dormant.

3.2        Information on the State Government

The State Government is represented by the Ministry of Infrastructure
Development of Sabah (“Ministry of Infrastructure Development”).


4.         SALIENT TERMS OF THE DEVELOPMENT AGREEMENT

In consideration of the State Government procuring the alienation of the
Project Land to Aeropod and allowing Aeropod to develop the Project Land,
Aeropod agrees to construct the New JKNS Buildings on the Retained Land at its
own cost (“Developer’s Costs”).

It is agreed that the Developer’s Costs must not exceed the Agreed Value.

For the purpose of the construction of the New JKNS Buildings, the Parties
agree to enter into a separate agreement (“Construction Agreement”) setting out

the terms and conditions relating to the construction of the New JKNS Buildings

within nine (9) months from the date of the Development Agreement.

The construction of the New JKNS Buildings has to be completed within 3 years
from the date on which the last of the conditions precedent is fulfilled or 3
years from the date of the executed Construction Agreement, whichever is the
later.


5.         CONDITIONS PRECEDENT AND ESTIMATED TIME FRAME FOR COMPLETION

The Development Agreement is conditional upon the fulfillment of, inter-alia,
the following conditions precedent within a period of nine (9) months  from the

date of the Development Agreement or such later date as the Parties may agree
in writing:-

a)         the revocation (where applicable) of the Project Land as reserve
land and the alienation of the Project Land to the Developer;

b)        if required, the Foreign Investment Committee approval for the
alienation of the Project Land by the State Government to the Developer;

c)         the approval of the Ministry of Infrastructure Development for the
re-location of the Existing JKNS Buildings and the relevant railway tracks; and

d)        the approvals for the building plans for the New JKNS Buildings from
the appropriate authorities.

6.         SOURCES OF FUNDING

The Developer’s Costs shall be funded by S P Setia’s internally generated funds

and/or borrowings. The eventual mix of internally generated funds and bank
borrowings will be decided later after taking into consideration the total
development cost, its interest cost, appropriate gearing level and future
cashflow requirements.

7.         RATIONALE FOR THE DEVELOPMENT AGREEMENT

The S P Setia Group (“Group”) has consistently reaffirmed its position as a
premier residential developer with both The Edge Malaysia and Euromoney rating
S P Setia as Malaysia’s No.1 real estate developer, for 3 consecutive years
from 2005 to 2007.

S P Setia’s recognised expertise in landed residential development in Malaysia
has provided the Group with a core and stable earnings platform and reputation
to expand into new property sectors and markets both locally and abroad. The
Group has already extended its horizons beyond the residential sphere with the
2007 launch of Setia Walk, Pusat Bandar Puchong – the Group’s first fully
integrated mixed commercial development. This increases the scope of S P Setia’
s product offerings to add on to the stable of multiple award-winning landed
residential property brands (‘Setia’, ‘Eco’ and ‘Duta’). The Company will
continue on its expansion phase this year with the introduction of a new luxury

high-rise residential or ‘Sky Residences’ brand. Apart from increasing the
scope of its product offerings across property sectors the Group is also keen
to venture into other key geographical growth markets within Malaysia.

The proposed development is therefore part of the Group’s wider strategy to
expand its breadth and depth across sectors and markets, and is well-placed to
benefit from the Sabah Development Corridor (“SDC”)- just launched by the Prime

Minister Datuk Seri Abdullah Ahmad Badawi today. This initiative by the Federal

and State Governments is set to further enhance the exciting growth potential
of Sabah’s property market.

To complement the Government’s efforts and desire to transform the site into a
transport hub which will provide connectivity to almost every part of Sabah
through various modes of transportation, Aeropod proposes to undertake a mixed
commercial and residential development on the Project Land. The proposed
development will comprise a shopping mall, a 5-star hotel, a 3-star hotel,
residential condominiums and SOHO units (“Project”). To be named Aeropod @ Tg
Aru, the Project is expected to generate a Gross Development Value of
approximately RM1 billion.

In view of the above, the proposed development augurs well for the Group and is

expected to contribute positively to the future earnings and cash flow of S P
Setia.


8.         PROSPECTS

With a population of approximately 2.5 million in 2000, Sabah was the third
most populous state in Malaysia behind Selangor and Johor. In 2007 its
estimated population is 3.3 million which places it just behind Selangor. This
rapid increase is due to Sabah enjoying one of the highest population growth
rates in Malaysia.

Once the transient population is taken into account this number is likely to be

even higher. Sabah’s breathtaking landscape, rich natural resources and diverse

cultures has made the state a popular choice for tourists and
business-travelers alike. As the main gateway into Sabah and Borneo, the KKIA,
which handled more than 4 million passengers in 2006, is the second busiest
airport in Malaysia after the Kuala Lumpur International Airport. Major
renovation and extension work on the KKIA is currently underway, and when
completed can accommodate 9 million passengers, while the LCCT2 will have the
capacity to handle an additional 3 million passengers annually. To cope with
the expected large increase in the number of visitors, an estimated additional
6,000 hotel rooms is needed.

Given the expected influx of tourists and business-travelers following the
completion of the KKIA renovation works and its existing large population base,

Sabah offers exciting prospects for a developer. This will no doubt be further
enhanced by today’s launch of the SDC. Spanning a period of 18 years from 2008
to 2025, the SDC will focus primarily on three sectors – agriculture,
manufacturing and services – with potential spin-off benefits for subsidiary
industries.

The blueprint, prepared by the Institute for Development Studies, Sabah aims to

triple the state’s gross domestic product (“GDP”) per capita to RM14,800, and
increase its overall GDP by about 4 times over the 18-year period to RM63
billion. It also seeks to generate more than 900,000 jobs over that time span,
and to lower the rate of unemployment to 3.5% from 5.8% in 2006.

Sabah’s strategic proximity to Hong Kong, Seoul, Tokyo and Manila will also be
capitalised upon through the SDC, with its transformation into a key gateway
for regional trade in the East Asean Growth Area, especially for transshipment
and value-added cargo services between Kalimantan and southern Philippines, and

the lucrative sea route to China, South Korea and Japan.

The SDC is also designed to reinforce Sabah’s position as one of the world’s
premier eco-adventure destinations by attracting international travel agencies
to develop sustainable eco-tourism travel products. In 2006, Sabah saw over two

million visitors who spent a total of RM1.89 billion.

In view of the above, the Board is of the view that the prospects for its
proposed property development activities in Sabah are positive and is not aware

of any risk factors arising from the Development Agreement other than the
normal property market and global economic risks.


9.         EFFECTS OF THE DEVELOPMENT AGREEMENT

9.1         Share Capital and Substantial Shareholders' Shareholding

The Development Agreement will not have any effect on the share capital and
substantial shareholders' shareholding of S P Setia as the construction cost
shall be satisfied in cash.

9.2         Earnings and Net Assets (“NA”)

The Development Agreement is not expected to have any material impact on the
earnings of S P Setia for the financial year ending 31 October 2008 but is
expected to contribute positively to the earnings and NA of S P Setia in the
future.

9.3         Gearing

As set out in Section 6 above, the Developer’s Costs of not more than RM110
million is expected to be funded by S P Setia’s internally generated funds
and/or borrowings. The eventual mix of internally generated funds and bank
borrowings will be decided later after taking into consideration the total
development cost, its interest cost, appropriate gearing level and future
cashflow requirements.

10.         DIRECTORS' AND SUBSTANTIAL SHAREHOLDERS' INTEREST

None of the Directors or Substantial Shareholders of S P Setia or persons
connected to them has any interest, direct or indirect, in the Development
Agreement.

11.         DIRECTORS STATEMENT

The Board, after having considered all aspects of the Development Agreement is
of the opinion that it is in the best interest of the Group.

12.         COMPLIANCE WITH THE SECURITIES COMMISSION'S POLICIES AND GUIDELINES
ON ISSUE/OFFER OF SECURITIES

The Development Agreement is not subject to the approval of the Securities
Commission ("SC") and does not fall under SC's Policies and Guidelines on
Issue/Offer of Securities.

13.         DOCUMENT FOR INSPECTION

A copy of the Development Agreement is available for inspection at the
registered office of S P Setia at Wisma Selangor Dredging, 6th Floor, South
Block, 142-A, Jalan Ampang, 50450 Kuala Lumpur during normal office hours on
Mondays to Fridays (except public holidays) for a period of three (3) months
from the date of this announcement.

This announcement is dated 29 January 2008.

他当然不担心资金, 肯定大把水 。。。问题是, 监管的来吗???
还有。。。多线开花的战术, control 要很强的哟。。。。

利息成本因该会很高一下。。。。。。

加上外围的环境- 美国的问题, 个人感觉, 扩张太快。。。

SP Setia gets over RM1bil jobs
PETALING JAYA: SP Setia Bhd is moving into Sabah where it will develop a RM1bil property project, known as Aeropod @ Tanjung Aru, and a transportation hub as part of the Sabah Development Corridor (SDC).  Prime Minister Datuk Seri Abdullah Ahmad Badawi launched the SDC yesterday and witnessed the signing of the development agreement between SP Setia subsidiary Aeropod Sdn Bhd and the Sabah government.  Under the agreement, Aeropod would build the transportation hub in return for the state government procuring the alienation of three parcels of land measuring 59.21 acres and valued at RM110mil. The hub will comprise a transport terminal, new headquarters for Jabatan Keretapi Negri Sabah and ancillary buildings.  The land is sited 5km southwest of the Kota Kinabalu town centre and 2km northeast of Tanjung Aru. It is is near the Kota Kinabalu International Airport and the Low Cost Carrier Terminal 2.  In a statement, SP Setia group managing director and chief executive officer Tan Sri Liew Kee Sin said the project was a crucial stepping stone for the company into the state and that it aimed to capitalise on Sabah's anticipated economic boom.  He said the expansion into Sabah was in line with the group's goal of diversifying into other high-growth states in Malaysia as well as overseas. It currently has projects in the west coast of Peninsular Malaysia and Vietnam.  A shopping mall, a 3-star and a 5-star hotel, condominiums and small office home office units have been planned as part of the Aeropod @ Tanjung Aru.  An SP Setia spokesman told StarBiz that the company would start construction of the transportation hub as soon as possible. She said the hub would not cost more than the agreed RM110mil.
