墨尔本房市中长期看俏.实达推16亿UNO计划

(澳洲.墨尔本17日讯)尽管澳洲政府祭出的税收和贷款限制可能打击外国买家对澳洲房产需求,但实达集团(SPSETIA,8664,主板产业组)相信在诱人租金回酬支撑下,墨尔本房市中长期前景依旧看俏,将在本周推介发展总值(GDV)达5亿1850万澳元(约16亿令吉)的墨尔本UNO发展计划。

诱人租金回酬支撑

实达墨尔本首席执行员钟续维在媒体汇报会上表示,墨尔本公寓市场确实在2016年出现供应过剩问题,但市场已在去年迅速消化多余供应,而贷款限制等措施已抑制供应,当前公寓市场供应并不充裕,看好2018和2019年公寓市场将缓步趋强。

“在借贷限制措施影响下,现在进场的都是荷包有足够深度的买家,将大大抑制投机性。墨尔本房产资本回酬仅为3至4%,市场投机性质也相对较低,投资群以中长期投资者为主,房市走势也不像香港、新加坡和伦敦等国际大都市般震荡。”

他说,墨尔本房市下行风险不大,主要是当地人口增幅为全国之最,市场对住宅产业需求依旧殷切,其中城内多数公寓均出租一空即为最佳证明。

维多利亚房地产协会REIV(Real Estate Institute of Victoria)数据显示,墨尔本城市地区2017年11月房产空置率(Vacancy Rate)仅为2.2%,每周房租中值为430澳元,远比维省的310澳元为高。

与此同时,澳洲统计局最新公布的住宅产业价格指数报告显示,在澳洲8大城市中,墨尔本过去12个月(2016年9月至2017年9月)房价增长13.2%,仅逊于荷伯特(Hobart)的13.8%增幅,更远高于悉尼的9.4%。

澳产业业务表现强劲

按季论,墨尔本房价增长1.1%,仅落后荷伯特的3.4%,相比之下,悉尼房价下挫1.4%,远高于8大城市加权平均的0.2%跌幅。

询及实达集团澳洲产业业务表现,钟续维说,总体业务表现强劲,其中去年6月推介的“Sapphire By The Gardens”高级公寓认购率已达到95%,而即将推介的UNO发展计划预售也获得热烈回响。

周末推介墨尔本UNO发展计划

实达集团将在本周六和周日在实达国际中心推介集合486个公寓单位,以及256间酒店的墨尔本UNO发展计划,公寓单位面积从51平方公尺至103平方公尺,售价介于49万9000至145万澳元。

墨尔本UNO发展计划位于墨尔本中央商业区(CBD),邻近维多利亚女皇市场和主要大学,住户也可轻易联接至电车、巴士站等公共交通。

同时,钟续维说,墨尔本酒店入住率高达88至90%,加上中央商业区在过去多年都没有建设新酒店,绝对是有利可图的环节。

“我们放眼为UNO引进4星级酒店业者,正与诸多酒店业者洽商。”

第2階段巴特西商業資產 國投公積金局擬投資

(吉隆坡18日訊)實達集團(SPSETIA,8664,主要板房產)與森那美房產(SIMEPROP,5288,主要板房產)持有的第2階段巴特西項目控股(Battersea Phase 2 Holdco),為第二階段發展簽署意向書。

實達集團透過持股40%股權的巴特西項目控股(Battersea Project Holding),持有第2階段巴特西項目控股;該公司與國民投資機構(PNB)和僱員公積金局簽署意向書,為第2階段巴特西項目現在發展中,總值約16億800萬英鎊(約88億令吉)商業資產,開拓潛在銷售條款。

目前,巴特西發電站的住宅單位預售超過90%,面積為47萬平方呎的辦公空間出租給蘋果,這顯示國民投資機構和僱員公積金局欲成為巴特西發電站長期資產持有人的意願正合時。

實達集團指出,一旦完成上述交易,將有利于公司的商業計劃,加強投資回酬,且有助實達集團把握作為房產發展商的機會。

該公司在巴特西發電站其余發展階段,會專注追求發展盈利和投資回酬。

同時,上述建議也展現機構投資者對這個項目強烈的直接承諾。

私下配售9.5% 實達集團籌近10億

2018年1月29日
(吉隆坡29日訊)實達集團(SPSETIA,8664,主要板房產)透過配售3億2500萬股或9.5%現有股本,每股介于3.07至3.11令吉,籌資近10億令吉。

這個價格較週一閉市3.25令吉來得低。

馬銀行、興業印行和法國巴黎銀行(BNP Paribas),都涉及這項企業活動。

《星報》報導,據銀行家指出,上述籌得資金將用在現行發展項目,及充作一般營運資金。

2週前,實達集團和其他倫敦巴特西發電站股東,才將第二階段發展項目,以88億令吉售予國民投資機構(PNB)和僱員公積金局(EPF);兩大機構最新分別持有實達集團280.35%和6.059%股權。

藉此,實達集團仍繼續擔任房地產發展商,但國投和公積金局則成為第二階段發展項目的持有者。該項目涉及商業房地產開發。【中国报财经】

今年专攻中档房产
实达放眼50亿销售

(吉隆坡27日讯)上财年产业销售达49.2亿令吉的实达集团(SPSETIA,8664 ,主板产业股),放眼本财年能创下50亿令吉销售额,并专注发展中价位产业。

集团总裁兼总执行长拿督许捷任,今天在2017年业绩汇报会上向媒体指出,50亿令吉销售中,预计会有大概80%来自国内项目。

“市场对位于策略地段的中价位产业和首购房屋的需求相当大,我们将会专注在这一方面。”

他认为,在巴生谷地带,售价介于50万至80万令吉的房屋仍非常具吸引力。

至于今年展望,他指出集团的未入账销售达77.2亿令吉,有44个进行中的项目和潜在发展总值可达1283亿7000万令吉的9606英亩地库,因此正面看待前景。

“今年在大选结束后,产业市场的行情预计会回温。”

今日其他出席者,包括副总裁兼营运总监拿督黄德威,以及执行副总裁兼财务总监蔡家耀。

净利跌四成派息15.5仙

另一方面,实达集团今天也宣布最新业绩,截至12月杪末季,净利跌40%至2亿7957万4000令吉或每股8.17仙。不过,仍宣布派息11.5仙。

该集团向马交所报备,上财年同季净赚4亿6607万8000令吉,或每股14.4仙。

营业额也按年减26.85%至14亿5485万5000令吉。

上财年同季营收是19亿8888万令吉。

实达集团在文告中称,净利和营收下跌,是因为去年为适应市场需求变化,集团为旗下许多进行了重新定位。

累计全年,净利跌2.4%至9亿3285万7000令吉。营业额则减20.86%,报45亿2011万2000令吉。

另外,派发终期股息每股11.5仙。全年下来,共派息15.5仙。

实达集团今日闭市时报3.29令吉,升1仙或0.3%,成交量达214万2900股。

数月内完成脱售巴特西项目次期

许捷任透露,脱售英国伦敦巴特西电站第二期一事,目前仍处于精密审核阶段,集团希望能在数月内完成。

上个月,国民投资机构和雇员公积金局宣布有意买下,由实达集团、森那美产业(SIMEPROP,5288,主板产业股)和公积金局联营发展的巴特西电站发展期第二阶段产业,当时,初步估计该资产价值16.08亿英镑(约88亿令吉)。

许捷任称,由于各方仍在洽谈中,因此,售价和对集团的净利贡献尚未能确认。

而黄德威指出,巴特西二期的主要办公楼租户,将会是科技巨头苹果公司,目前发展单位仍在满足对方的附加要求,但确信租赁协议可即将敲定。

至于未来集团是否也会如法炮制,将巴特西项目其他发展阶段,脱售给国民投资机构和公积金局?

对此,许捷任表示,巴特西二期情况特别,是商业资产,而其他发展阶段大多是住宅产业,因此,理论上他们可以将其脱售给任何人。【e南洋】

未入账销售77亿.实达盈利获支撑

(吉隆坡28日讯)实达集团(SPSETIA,8664,主板产业组)手握77亿令吉未入账销售,再加上半岛公司(I&P)地库发展总值提高,可支撑未来盈利表现。

丰隆研究表示,实达公司收购半岛公司后,并全盘接受地库及客户群,预期两者可达到协同效应。

半岛地库发展值提高

兴业研究说,半岛地库发展总值从390亿令吉提高至480亿令吉,主要是透过道路衔接工程,提升基建设备。按77亿令吉未入账销售来看,预期可支撑实达集团2018及2019财政年的盈利表现。

实达集团今年将推出71亿令吉的产业项目,销售目标为50亿令吉。

财测调低

肯纳格研究认为,实达集团盈利已反映调整,因此调低2018年的核心净利预测7%,预期2018年的核心净利为6亿零700万令吉。

联昌研究虽然看好实达集团可达到50亿令吉销售目标,并对盈利做出贡献,不过却看淡盈利前景,认为实达集团2018至2020财政年的盈利将相当动荡,因英国业务贡献减少,因此下调2018至2019财政年的每股净利2%至25%。

该公司管理层已经预期,英国巴特西产业的盈利并不会做出太多贡献。

丰隆认为,现阶段实达集团周息率介于4%至5%,是另一利好。

风险方面,肯纳格认为,产业销售放缓、赚幅波动、产业及贷款政策变动及账目认列,是实达集团需面对的风险。

实达4.3亿全购联营公司
掌控SFHSB孟沙地皮


2018年3月8日
(吉隆坡8日讯)实达集团(SPSETIA,8664 ,主板产业股)出价4亿3189万1000令吉,增持联营公司实达吉隆坡联邦山庄私人有限公司(SFHSB)的50%股权,归为独资子公司。

该集团今日向交易所报备,与Mekar Gemilang私人有限公司(MGSB)签署购股协议,购买50万股普通股。

SFHSB是吉隆坡孟沙2块租赁地契地皮的业主,面积达51.57英亩。

发展总值料202亿

实达集团计划在此发展综合项目,包括住宅、商业和商场,发展总值料达201亿9000万令吉,发展期15年。

该集团称,购股可全面拥有SFHSB,而建议发展的项目将在中长期内带来盈利。

4亿3189万1000令吉的价格,是SFHSB截至去年12月杪调整后净资产价值(7亿7864万令吉)的10.9%溢价。

该地皮靠近吉隆坡市中环,市价为23亿5900万令吉或每平方尺1050令吉。

双方必须在3个月内满足先决条件,包括取得MGSB股东与实达集团董事部批准、SFHSB债权人书面同意、取消MGSB发出的承诺书与从属书、公共私人领域合伙单位(UKAS)书面批准,以及吉隆坡市政厅发展令。

The Board of Directors of S P Setia wishes to announce that the Company had on 8 March 2018 entered into a Share Purchase Agreement (“SPA”) with Mekar to acquire 500,000 ordinary shares (“Sale Shares”), representing the remaining 50% equity interest of Setia Federal Hill for a total cash consideration of RM431,891,000.00 upon the terms and consideration contained in the SPA (“Proposed Acquisition”).

DIVIDEND REINVESTMENT PLAN ("DRP") THAT PROVIDES THE SHAREHOLDERS OF S P SETIA WITH AN OPTION TO ELECT TO REINVEST THEIR ENTIRE DIVIDEND OF 11.5 SEN PER S P SETIA SHARE ("DIVIDEND") FOR THE FINANCIAL YEAR ENDED 31 DECEMBER 2017 INTO NEW S P SETIA SHARES ("9TH DRP")
Reference is made to the Company's announcements dated 27 February 2018, 5 March 2018 and 8 March 2018.

On behalf of the Board of Directors of S P Setia ("Board"), MIDF Amanah Investment Bank Berhad ("MIDF Investment") wishes to announce that the issue price of the new S P Setia Shares to be issued pursuant to the 9th DRP ("New Shares") has been fixed today ("Price-Fixing Date") at RM2.80 per New Share.

The issue price of the New Share has been computed based on the 5-day volume weighted average market price ("VWAMP") of S P Setia Shares up to and including 8 March 2018, being the last trading date prior to the Price-Fixing Date, of RM3.22 after adjusting the following:
  • A dividend adjustment of 11.5 sen to the 5-day VWAMP ("Ex-Dividend VWAMP"); and
  • A discount of RM0.305 which is approximately 9.82% discount to the Ex-Dividend VWAMP of RM3.105.

On behalf of the Board, MIDF Investment also wishes to announce that the entitlement date pursuant to the Dividend and 9th DRP has been fixed for 23 March 2018 ("Entitlement Date"). The relevant documents and the dividend reinvestment form in relation to the 9th DRP will be dispatched to the entitled shareholders within two (2) market days after the Entitlement Date (i.e. by 27 March 2018). The expected date for the allotment and issuance of the New Shares as well as the payment for the cash dividend for the entitled shareholders is on 20 April 2018.

全购SFHSB持孟沙优质地
实达中长期前景看俏

(吉隆坡10日讯)分析员乐观看待,实达集团(SPSETIA,8664 ,主板产业股)收购联营公司实达吉隆坡联邦山庄私人有限公司(SFHSB)剩余50%股权,因将全面拥有孟沙2块面积达51.57英亩的优质土地。

肯纳格投行指出,实达集团出价4亿3189万1000令吉收购SFHSB剩余股权在他们的预料之外,因为最近才完成收购岛屿集团(I&P)的活动,没有料到这么快就再进行大型收购。

无论如何,该行分析员认为,收购活动合理,因为实达集团本来就拥有SFHSB的50%股权,且还有举债空间。

实达集团昨日指出,将利用去年发行的回教可转换优先股A(RCPS-i A)所筹资金,或银行贷款来完成该收购。

另外,分析员还说,整体来看,实达集团全购SFHSB后的中长期前景正面,因为能够以价格诱人的收购价格在孟沙买到一块稀有的土地。

收购价诱人

该土地之前的发展总值为143亿令吉,现在已经调高到202亿令吉。基于市值每平方尺为1050令吉,加上土地成本仅占发展总值4%,收购价可说非常诱人。



接近中环潜力佳

另外,达证券分析员也对于实达集团最新的消息感到乐观,因为完全拥有SFHSB,有助提升未来盈利。

该分析员也看好SFHSB土地的地点,因为非常靠近吉隆坡中环,且容易通往各处的设施。

他补充,实达集团的旗舰发展计划KL Eco City也已进入后期,全购SFHSB并开始发展孟沙地皮是好时机。

不过,肯纳格投行分析员预计,该土地短期内不会有盈利贡献,相关产业项目料在2020财年后才推介,所以维持盈利预测。

大众投行研究分析员也说,基于产业市场的需求疲弱,他们预计孟沙的土地要释放价值,可能会比预期更久。【e南洋】

NOTICES OF ADDITIONAL ASSESSMENT RAISED ON S P SETIA BERHAD
S P Setia Berhad (“S P Setia”) wishes to announce that it was served by Inland Revenue Board of Malaysia (“MIRB”) with Notices of Additional Assessment for the Years of Assessment (“YAs”) 2009 to 2015 all dated 27 March 2018 via MIRB’s letter dated 27 March 2018 for an additional income tax of RM22,444,559.50 and a penalty of RM10,100,051.79 totalling RM32,544,611.29.

The abovementioned Notices of Additional Assessment were raised by the MIRB pursuant to:
(a) The disallowance of the interest expenses deducted by S P Setia as a deductible expense in the YAs 2011 to 2015; and
(b) The disallowance of the common expenses deducted by S P Setia as a deductible expense in the YAs 2009 to 2015.

Upon consulting its tax solicitors, S P Setia is of the view that there are reasonable grounds to challenge the basis and validity of the disputed Notices of Additional Assessment raised by the MIRB and the penalty imposed.

S P Setia will challenge the said disputed Notices of Additional Assessment and take all necessary actions to protect the interest of S P Setia.

Any further material development of the above matter will be announced in due course.
