The Board of Directors of ECB wishes to announce that its 70% owned subsidiary namely Titian Sama Sdn Bhd (957887-P) (TSSB) (the “Purchaser”), had on 26 December 2012 accepted an Offer Letter (the “LO”) from Datuk Bandar Kuala Lumpur (DBKL) (the “Vendor”) to purchase a leasehold land held under individual title HS(D) No.102913, PT 15 Seksyen 90A, Bandar Kuala Lumpur, Wilayah Persekutuan comprising an area of approximately 2.9 acres (the said land is a leasehold 99 years lease property with restriction in interest which cannot be sold without the consent in writing from the relevant authorities having been first had and obtained) (the “Property”), vacant possession and free from encumbrances for a total cash consideration of RM35,073,706.58 (the “Acquisition”).

一个小公司可以一年赚那么多钱算是不错了。。。
蠢蠢欲动了。
希望下个礼拜突破0.80

起廉价屋的公司。。。起豪华屋也好像廉价屋的Quality 。。。。而且这公司和马华关系密切。。。吉打现在由民联管

SETTING UP OF A NEW COMPANY IN AUSTRALIA
The Board of Directors of ECB wishes to announce that Australasia Development Pty Ltd (Company Registration No. 147 112 276) (ADPL), a 70% owned subsidiary of ECB in Australia, has set up a 50% owned company in Australia under the name of The Surrey Sunbury Pty Ltd (Company Registration No. 164 107 368) (TSSPL).

Information on new company
TSSPL has a total issued and paid up share capital of AUD100 or approximately RM300 comprising of 100 ordinary shares of AUD1.00 each fully paid up. The registered office of TSSPL is situated at Level 9, 167 Queen Street, Melbourne, Victoria 3000, Australia. Currently, TSSPL is a dormant company and the intended nature of business of TSSPL is property development.

The directors nominated to sit on the board of TSSPL were as follows:-
1. Dato Beh Huck Lee
2. Yeong Chee Fun
3. Deniz Sivasli
4. Gamze Sivasli

The rationale for the setting up of TSSPL is to enable ECB to expand its operation in the property industry in Australia.

The setting up of TSSPL has no effect on the issued and paid up share capital of ECB Group.

The setting up of TSSPL also will not have any material impact on the net assets, earnings and gearings of ECB Group for the financial year ending 28 February 2014. However, it will be expected to contribute positively to the future earnings prospects of ECB.

Dato Beh Huck Lee, who is the Managing Director and major shareholder of ECB, is also the director in ADPL.

Save as disclosed above, none of the directors and /or major shareholders of ECB and or person connected with them has any direct or indirect interest in TSSPL.

(吉隆坡12日讯)优宾机构(EUPE,6815,主板產业股)公布,其持有70%股股权的Titian Sam私人有限公司,通过Eupe Kemajuan私人有限公司,接受来自隆市政局(Datuk Bandar Kuala Lumpur)的献议,將以4541万令吉收购吉隆坡3.2英亩地皮。       

此项收购活动,將进一步扩展该公司的產业领域发展,而此地皮將作为住宅发展用途。

优宾终止购地 获退373万订金

(吉隆坡25日讯)优宾(EUPE,6815,主板产业股)终止购地协议,将获退回373.5万令吉的订金。

该公司向大马证交易所报备此事,优宾独资子公司Eupe Kemajuan私人有限公司,是在20011年4月间,与Desaminium Jaya有限公司达至售地协议,不过,双方已同意终止此协议。

报备文件指出,双方早前签署的买卖协议指出,Desaminium Jaya有限公司将有6个月的时间,履行合约注明的条件,若该公司未能在期限内符合相关条件,Eupe Kemajuan可选择终止买卖协议。

协议也注明,终止购地协议不会对双方造成成本或债务损失。[南洋网财经]

PROPOSED ACQUISITION OF DEVELOPMENT LAND BY EUPE KEMAJUAN SDN. BHD. (COMPANY NO. 895473-M) (A WHOLLY OWNED SUBSIDIARY OF THE COMPANY) FROM DESAMINIUM JAYA SDN. BHD. (COMPANY NO. 481153-D)
Reference is made to the announcement dated 27 April 2011 and 29 April 2011 in relation to the above matter.
The Board of Directors of ECB wishes to announce that Eupe Kemajuan Sdn. Bhd. (EKSB) (Company No.895473-M), a wholly-owned subsidiary of the Company and Desaminium Jaya Sdn. Bhd. (the Vendor) (Company No. 481153-D) had mutually agreed to terminate the Sale and Purchase Agreement (SPA) dated 26 April 2011 and the deposit earlier paid for the said acquisition of land amounting to RM3,735,270.00 is refunded to EKSB.

In accordance to the said SPA, the Vendor was given six months to fulfill the conditions precedent. The period of time for the Vendor to fulfill the conditions precedent was mutually extended with option that EKSB could terminate the SPA at any time. In view of the long delay to fulfil the conditions precedent, EKSB has exercised its right to terminate the aforesaid SPA. Upon the termination of the SPA, there shall be no cost and liabilities to each other.

The above termination will not have any material impact on the earnings per share and net asset per share of the Company.
