(吉隆坡)高級手套製造商Hartalega控股配合在大馬股票交易所主要交易板上市計劃,將發售2421萬股票,並預料可在今年上半年上市。
該公司配合上市計劃,今日(週一,3日)與金融顧問、管理包銷商、包銷商及配售代理興業投資銀行和包銷商僑豐投資銀行簽署股票包銷合約。
在首度公開售股計劃下,Hartalega共發售2421萬普通股,其中1211萬6000股將公開給公眾人士申請;400萬股保留給符合資格的董事、職員和商業伙伴;其餘的809萬4000股則通過私下配售方式供特定投資者申請。
Hartalega在過去約20年擁有良好的過往記錄和經驗,其在產品開發和製造過程中,主動提高水準和設定高水平,因而在手套製造領域聞名。
Hartalega集團董事經理關錦安說︰“我們很高興能夠簽署股票包銷合約,這將讓我們進一步完成首度公開售股計劃。上市非常符合我們要鞏固定位的計劃。目前,手套製造業備受看好,加上大馬在全球手套市場中舉足輕重,因此持續擁有龐大潛能。”
Hartalega目前出口產品到5大洲,即美洲、亞洲、歐洲、澳洲和非洲。
他說:“我個人非常看好這領域,尤其我們的產品在海外市場的需求不斷增加。同時,市場增加對人造乳膠手套的需求增加對集團有利。目前我們的產量已經超越人造乳膠手套領域的平均數量,以應付市場需求。我們計劃提升這手套系列的產能。”
Hartalega是一家投資控股公司。在上市計劃下,Hartalega於2007年5月7 日收購了Hartalega私人有限公司、Sentinel工程(馬)、Pharmatex(美國)和Pharmatex(澳洲)。Hartalega集團自1988年進行高級乳膠手套制造,目前已擁有製造廠房,共設有23條生產線,每年可生產32億隻手套。 |

28-03-2008: Hartalega to spend RM200m on new plants

KUALA LUMPUR: Main board-bound Hartalega Holdings Bhd plans to fork out at least RM200 million to almost triple its annual capacity to 9.3 billion pieces of rubber gloves in two years as it develops new products and expands its market reach globally.
Managing director Kuan Kam Hon said the group planned to build two new factories, its fourth and fifth units, which would cost about RM100 million each. Both plants, with a collective capacity of around six billion pieces of gloves, will sit near its three existing facilities within Batang Berjuntai, Selangor, where the group currently makes some 3.3 billion pieces of gloves a year.
The fourth plant, due for completion this September, will provide additional capacity of 2.9 billion pieces while the fifth entity, anticipated to start operations by end-2009, is capable of 3.1 billion pieces.
A bulk of its capital commitments for the new plants will be funded via bank loans, and the group's internal funds.
"Because we are a growing company, capacity is running ahead of production," Kuan told reporters at the launch of Hartalega's listing prospectus on March 28. The company is slated for a debut on Bursa Malaysia on April 17.
Mainly export-based Hartalega which conducts its foreign transactions in US dollars, intends to tap new foreign buyers in high-growth China and India, besides South American and Middle Eastern countries and Russia.
Hartalega hopes to capitalise on the growing demand for synthetic rubber gloves due to claims that natural rubber gloves induce protein allergies on users.
"The nitrile raw material used is traded in dollars which offers a natural hedge against the weak dollar sales proceeds," Kuan said. Hartalega's list of new offerings include industrial and surgical synthetic rubber gloves.
Strong demand and higher selling prices of synthetic rubber gloves, besides the manufacturer's extra capacity will drive earnings for financial years 2008 and 2009.
For FY08, Hartalega has forecast a post acquisition consolidated profit of RM69.64 million on a revenue of RM283.2 million. FY09 profit after tax and minority interest is estimated at RM55.46 million on a RM396.39 million revenue.
It had paid dividends of five sen a share in FY08 and plans to declare a 10 sen a share payout in FY09.
Hartalega's flotation only involves an offer for sale, with no new issues. Some 24.21 million shares are being offered at RM1.80 a piece, which would raise RM46.23 million for the offerers, who would bear the listing cost at an estimated RM1.8 million.
Of the total offer shares, 12.12 million units have been earmarked for public subscription.
RHB Investment Bank Bhd and OSK Investment Bank Bhd are the underwriters and placement agents for the exercise. RHB is the financial adviser.

Hartalega没出新股,只是大股东卖股,奇怪。。。为何不要出新股从股市筹资呢? |

全球手套需求龐大‧Hartalega斥2.4億擴廠
(吉隆坡)預計在上半年於主板上市的Hartalega控股希望在增建2家工廠後,2010財政年手套產量將可提高3倍至90億隻手套,並可望崛起成為全球數一數二的丁晴手套生產商。
同時,該公司不畏目前市場低迷,也不擔心美元走貶影響其賺幅,並相信在市場銷售量提高下,2009財政年可望派息10仙。
該公司董事經理關錦安表示,由於手套需求吃緊,因此計劃拓展工廠從目前3至5家,生產線也從23條增至43條,才能滿足海外龐大消費量。
“除了傳統保健與食品加工外,目前電子高科技領域的手套需求也不斷提高,加上有許多潛在未開發領域,在看好商機無限下,公司希望透過上市來融資,並進一步拓展公司名望與銷售網絡。”
他解釋,該公司2家新工廠料各斥資1億2000萬令吉左右,其中1家建築工程於今年7月完成,另一家則在明年杪。該公司將透過上市與內部資金融資。
同時,他也強調公司將專注在丁晴手套生產,因為目前許多人對以橡膠為原料的手套敏感,促使這類非乳較的人造手套使用量每年呈直線上升。
“目前公司設有研發領域來專門開發這些手套,而每條生產線每小時可生產3萬隻手套,是目前所有手套領域中最快的。”
目前該公司65%手套銷售來自丁晴手套,其餘則來自天然膠手套。
關錦安在今日(週五,28日)推介招股書後指出,目前市佔率約為3%左右,一旦工廠拓展成功,未來將放眼擴大至30%左右。目前該公司約98%產品出口至海外5大洲,即美洲、亞洲、歐洲、澳洲和非洲的23個國家。
詢及該公司是否擔心美元下滑衝擊賺幅與盈利,他解釋儘管幾乎所有產品皆以美元交易,不過購買原料也以美元交貨,加上有採取自然護盤策略,因此外幣市場動盪對該公司影響不大。
“同時,雖然目前股市走勢不明朗,不過我相信在公司高成長展望與派息豐厚下,首發股認購率應該不受影響。”
目前該公司繳足資本為1億2115萬6000令吉,截至去年3月止財政年,營業額為2億4091萬令吉,稅後盈利為3704萬8000令吉。

另一方面,Hartalega控股配合在大馬股票交易所主要交易板上市計劃,將發售2421萬股票,每股售價1令吉80仙。

例如市场占有率,销量,生产量,生产技术,产品专利权,盈利,债务,名誉,。。。。等等 |

Hartalega to stretch glove output

RUBBER glovemaker Hartalega Holdings Bhd is investing RM230 million to put up another 20 production lines to expand its capacity to nine billion pieces in a year by 2009.
Currently, Hartalega's 23 double-mounted and highly automated production lines can churn out 3.2 billion pieces of rubber gloves in a year. Of this total, 70 per cent are nitrile gloves while the remaining 30 per cent are latex gloves.
Clustered on a 9.2ha site in Batang Berjuntai, Selangor, the factories are staffed by 1,300 workers.
"We're expanding our production to meet forward orders placed by clients. The demand for nitrile gloves by hospitals in the US and Europe is increasing by the day," said group managing director Kuan Kam Hon.
"We started constructing Plant 4 late last year, and it should be up and running by year-end. It is taking up about RM120 million. As for Plant 5, we'll start building it in the second half of the year. It will cost around RM110 million and we target this factory to start operating by end-2009," he said.
At the start of 2010, Hartalega is expected to own 43 production lines with total annual capacity of nine billion pieces, Kuan said after the launch of its prospectus in Kuala Lumpur yesterday.
Also present were Hartalega director Abdul Hamid Sh Mohamed and Hartalega sales and marketing director James Liew.
Established in 1988, Harta-lega makes natural rubber examination gloves, nitrile examination gloves, nitrile clean room gloves and natural rubber surgical gloves.
RHB Investment Bank Bhd and OSK Investment Bank Bhd are the underwriters and placement agents for Hartalega's initial public offering. Balloting of the share application is scheduled for April 9 and listing is expected on April 17.
Currently, Top Glove is the biggest rubber glovemaker in the world as it is able to make 29 billion pieces annually. Although Top Glove is nine times bigger than Hartalega, Hartalega can be considered the world's most efficient rubber glovemaker as it is able to churn out 30,000 pieces of rubber gloves per hour.
The industry's performance averages at only 9,000 pieces of rubber gloves per hour. Hartalega's production is three times faster than other rubber glovemakers because of its investment in highly automated factories.

Hartalega to profit from stretchy nitrile gloves

RUBBER glovemaker Hartalega Holdings Bhd, which is en-route to a main board listing this year, is expected to report a sharp rise in profit this year, driven by strong demand for its patented nitrile gloves.
Its net profit for the year ended March 31 2007 almost tripled to RM37 million from RM13.5 million in 2005, thanks to higher production and sales of nitrile gloves than latex ones.
"When natural rubber prices became very volatile in 2004, we decided to focus more on nitrile, whose prices were more stable. Together with our US customer Microflex, we developed nitrile gloves that are highly elastic," group managing director Kuan Kam Hon told Business Times.
Gloves can be made from natural rubber or vinyl.
While natural rubber is more elastic than petroleum-based vinyl or nitrile, it can sometime trigger allergy in consumers who are highly sensitive to the protein in natural latex.
There is no risk of allergy-trigger in nitrile gloves. However, if pulled and stretched too much, they don't snap back to fit on the consumer's hands.
Established in 1988, Hartalega makes natural rubber examination gloves, nitrile examination gloves, nitrile clean room gloves and natural rubber surgical gloves.
It contract manufactures under the names "Sensicare", "Evolution One", "Diamond Grip", "Dermatril", "Synetron", "Verte" and "Freeform". Hartalega also sells under its own brandname like ";Pharmatex", "Innova", "CRAFT" and "Elastik".
The group's gloves are sold to consumers in the dental, laboratory, food service, healthcare and automotive industries.
"Since the launch (of nitrile gloves) in 2004, we have received overwhelming demand from the US, Germany and Japan. Clients are happy with the stretchability, tactile feel and dexterity our nitrile gloves offer," Kuan said.
Today, Hartalega's output ratio is 70 per cent nitrile and 30 per cent natural rubber.
"As demand for nitrile gloves continues to increase, we plan to double our plant capacity," Kuan said.
Hartalega was supposed to debut on Bursa Malaysia last year but Kuan said he decided to delay the listing when news of Tillotson's patent infringement claim against other nitrile glovemakers made headlines.
"While our patented stretchy nitrile gloves is outside that claimed by Tillotson, we did not want to risk confusion among prospective investors then.
"We decided to wait until things are clearer. Now that the Malaysian Rubber Glove Manufacturers' Association is spearheading a group initiative to invalidate Tillotson's claims, we feel that it is timely to go ahead with Hartalega's listing," Kuan said.
Touted to be one of the world's most efficient rubber glovemakers, Hartalega only employs 1,300 workers to operate 23 highly automated production lines that are capable of producing 3.2 billion pieces a year.
"Ten years ago, we were employing around 1,300 workers to produce 800 million pieces of gloves.
"As time goes by, we improvise on the machinery to automated production lines. Today, we can produce four times more gloves while retaining the same number of workers," Kuan said.
"We will continue to mechanise as many of the processes possible to save on labour and fuel costs," he added.
