辦公樓市場供過於求‧桂嘉資管保留租戶和探討收購

桂嘉資產管理(QCAPITA,5123,主板產業投資信托組)主席拿督莫哈末胡先指出,今年的辦公樓市場依然存在挑戰,且將持續一段日子,因供應繼續超越目前的需求,不過,政府努力吸引大型跨國公司,在大馬設立業務辦事處,將可緩衝不利影響。

除此之外,捷運計劃、輕快鐵延伸工程的完工,預料將改善市中心與市郊之間的聯接性,進而惠及週邊地區商業大廈的市值與出租率。

莫哈末深信,桂嘉資產管理的展望保持穩健,公司負債水平偏低、資本管理嚴謹,同時將採取激進的資產管理策略。

放眼現財政年,他說,桂嘉資產管理繼續專注保留租戶、嚴謹看待資產管理與成本效益措施,以及探討適合的資產收購機會,這些措施將有助於改善桂嘉資產管理的資產質量,為單位持有人謀求穩定的收入來源。

他補充,大馬經濟成長今年料保持在5.0%至5.5%的成長率,由私人界推動的國內需求,加上對外市場改善,預料先進經濟體將持續復甦。

雖然大市基本面保持嚴謹,加上2013首半年大馬產業投資信託單位價格上漲,紅利的分發緊縮,不過,對投資者而言,該領域仍是具有吸引力的選擇。

他說,截至2013第三季,雖然辦公空間供應量增加,巴生河流域辦公樓市場整體出租率,保持在79%的穩定水平,與第二季的水平一致。

另外,市場預測,在2013年第四季至2015年之間,巴生河流域將有890萬平方尺的辦公空間加入供應市場,隨著新增辦公空間的加入,辦公樓領域料偏向租戶市場,租金方面將面對一些壓力,主因是租戶將擁有更多選擇。

目前,桂嘉資產管理擁有10項商業資產,分別位於大馬半島的賽城、吉隆坡、沙亞南、八打靈再也及檳城。莫哈末說,儘管辦公樓市場的市況嚴峻,集團積極的資產管理策略,已確保於2013年到期的多數租約獲得更新。

確保出租率保持偏高

他補充,集團將積極努力、展開促銷活動,以確保組合資產出租率保持偏高,截至2013年12月,桂嘉資產管理的組合資產平均出租率為92%。

在這些組合資產中,集團努力改善一些資產的質量,例如桂嘉大廈2-HSBC、桂嘉大廈3-BMW、桂嘉大廈5-IBM、桂嘉大廈8-DHL XPJ以及Technip大廈。

其中Technip大廈的資產改善工程預期2015年完成,這些工程已進一步提昇大廈的質量與實體設施,以確保資產的競爭力,進而更有條件保留現有租戶,同時,也可吸引新的租戶。

2013財政年結束之前的資產組合年度評估,總價值為8億2千556萬令吉,比2012財政年的8億2千零50萬令吉稍高。

此外,桂嘉資產管理在2013財政年取得的總收入為3千454萬令吉,比2012財政年的3千446萬令吉增加0.2%,集團業績理想反映其在金融成本,行政開銷的控制保持嚴謹。

莫哈末續稱,2014年1月29日,桂嘉資產管理宣佈,與馬資源中環產業私人有限公司簽署暫定協議書,針對建議以7億5千萬令吉代價,收購Platinum Sentral大廈,該大廈是一棟永久地契商業發展計劃,位於吉隆坡中環,可出租面積為52萬零449平方尺。

一旦收購計劃完成,桂嘉資產管理的資產組合價值將提高至16億令吉,這項收購計劃已獲得馬資源中環私人有限公司及其控股公司、桂嘉資產管理董事局、單位持有人、證券監督委員會,以及大馬交易所證券有限公司的批准。

上述收購計劃主要配合桂嘉資產管理集團的投資目標,就是在大馬收購與投資商業產業,以期集團業務持續成長,同時為單位持有人謀求長期福利。(星洲日報/投資致富‧企業故事‧文:鄭碧娥)

News release : Quill Capita Trust's 1Q 2014 Realised Earnings Per Unit increased by 0.7% year-on-year
Kuala Lumpur, 30 April 2014: Quill Capita Management Sdn Bhd (“QCM”), the manager of Quill Capita Trust (“QCT”), a listed real estate investment trust (“REIT”), is pleased to announce that QCT has achieved a realised net income of RM8.2 million for the first quarter of 2014 (“1Q 2014”). This is a 0.7% increase from the realised net income of RM8.1 million recorded for the first quarter of 2013 (“1Q 2013”). As a result, the realised earnings per unit (“EPU”) for 1Q 2014 was 2.09 sen, up from 2.08 sen in 1Q 2013. Despite lower revenue, the improved realised net income for the quarter was attributable to higher rental income contribution from some of its properties, savings in finance cost, valuation fee and tax agent fee.

QCT’s unaudited Consolidated Financial Statements for 1Q 2014 are available on its website (www.qct.com.my) and on Bursa Malaysia’s website (www.bursamalaysia.com).

(吉隆坡11日讯)桂嘉信托(QCAPITA,5123,产业信托)将向马交所申请,豁免让包括马资源(MRCB,1651,主板建筑股)在内的一致行动人强制全面收购(MGO)公司。

今年4月,桂嘉信托以现金和新产托单位方式,向马资源购买Platinum Sentral,后者因此持有31%股权。

同时,马资源以588万2836令吉,收购Quill Capita管理的41%股权;后者大股东Quill Resource控股也以129万1354.20令吉,向Coast Capital有限公司购得9%股权。

完成交易后,马资源、马资源中环产业和桂嘉集团的持股权,超过33%,触动MGO条例。

桂嘉信托已在6月18日,向证券监督委员会申请,称上述人士并非为一致行动人,但遭否决,因此将会继而向证监会申请豁免MGO。

On behalf of the Board, HLIB wishes to announce that QCM had on 11 July 2014 been notified by QRHSB that QRHSB, together with QLSB, QPSB and QESB (collectively, the “Quill Group”), had on 18 June 2014 sought a ruling from the SC that MRCB, MSP and the Quill Group (collectively, the “PAC Group”) are not regarded as persons acting in concert in relation to QCT pursuant to the Proposals (“Proposed Ruling”). The SC has, via its letter dated 10 July 2014, declined the Proposed Ruling.

As the PAC Group is expected to hold more than 33% of the enlarged unitholders’ capital of QCT upon completion of the Proposed Acquisition, a mandatory offer obligation under the Malaysian Code on Take-Overs and Mergers 2010 (“Code”) would be triggered.

In light of the above, an exemption will be sought under the Code from the obligation to carry out the mandatory offer.

This announcement is dated 11 July 2014.

桂嘉派4.1仙股息

(吉隆坡22日讯)桂嘉资本(QCAPITA,5123,主板房產信託股)2014年財政年第2季(截至6月30日止)净利达856万2000令吉,与去年同期890万8000令吉,按年下跌3.88%。

营业额则由去年同期1727万4000令吉,按年微升0.4%,至1734万9000令吉。

过去2季度,该房產信託的净利为1672万4000令吉,与去年同期1701万7000令吉减少1.72%。而今年3个季度纍计的营业额,按年微增3万3000令吉,至3453万4000令吉。

桂嘉资本建议,上半年派发每单位4.1仙的股息,其中4仙为需扣税股息,及0.1仙为免税股息。【东方网财经】

双方都向马交所报备,评估后,PlatinumSentral的产业市值从7亿5000万令吉,下调至7亿4000万令吉,因此交易总值也随着降低。

根据文告,1000万令吉差价等于双方原本答应交易时,产业市值的1.33%折价。

1000万令吉将从现金付款的部分中扣除。

今年1月,桂嘉信托宣布向马资源收购Platinum Sentral地段。

桂嘉信托将以4亿8600万令吉现金支付马资源,余款2亿6400万令吉,则以每单位1.32令吉,发行桂嘉信托新单位给马资源。【南洋网财经】

This announcement should be read in conjunction with the earlier announcement made on 10 April 2014. Unless otherwise defined, the terms used in this announcement shall have the same meaning as those defined in the announcement dated 10 April 2014.

We refer to the announcements dated 10 April 2014, 8 July 2014 and 11 July 2014 in respect of the Proposals.

On behalf of the Board, HLIB wishes to announce that the Valuer had via its letter dated 9 September 2014 informed QCM that it has revised the market value of the Property from RM750,000,000 to RM740,000,000 pursuant to comments by the SC. The downward adjustment of the market value represents approximately 1.33% of the initial market value. Arising from the aforesaid revision, the purchase consideration for the Property shall be adjusted to RM740,000,000 in accordance with the terms of the SPA, and shall be satisfied by the Trustee on behalf of QCT as follows:
(i) RM476,000,000 (instead of RM486,000,000) in cash; and
(ii)  RM264,000,000 by the issuance of 206,250,000 Consideration Units at an issue price of RM1.28 per Consideration Unit.

As previously announced, the cash portion of the purchase consideration, together with the expenses for the Proposals and asset enhancement initiatives, is proposed to be funded through a combination of proceeds from the Proposed Placement and borrowings. In view of the revision in the purchase consideration, the amount of borrowings to be utilised for the above purposes shall be reduced accordingly.

In addition to the above, HLIB, on behalf of the Board, also wishes to clarify that the Proposed Authority, in which QCM proposes to allot and issue up to 3% of the total Units in circulation for the purpose of the payment of Management Fee, shall entail the allotment and issuance of up to 20,387,000 new Units representing up to 3% of the total Units in circulation after the Proposed Acquisition and Proposed Placement.

qcapita無端端省RM10mil, 奇怪的事, 有什麽原因會導致證券監督委員會要求qcapita降低購買價??難道qcapita真的買貴了??

之前對於qcapita(5123)收购platinum sentral一直抱持質疑的態度,這次看了管理層的回复或多或少有減少了我的質疑,对qcapita日后的發展展望正面,近来看看qcapita管理层告知購入platinum sentral的原因

This announcement should be read in conjunction with the earlier announcement made on 10 April 2014. Unless otherwise defined, the terms used in this announcement shall have the same meaning as those defined in the announcement dated 10 April 2014.

We refer to the announcements dated 10 April 2014, 8 July 2014, 11 July 2014, 9 September 2014 and 22 September 2014 in relation to the Proposals.

On behalf of the Board, HLIB wishes to announce that the Trustee, acting solely in the capacity as trustee for and on behalf of QCT, and MSP had, via a supplemental letter dated 8 October 2014, mutually agreed to extend the Conditional Period by a period of 3 months, thereby amending the last day of the Conditional Period from 9 October 2014 to 9 January 2015 (“Extended Conditional Period”), to fulfil all the Conditions Precedent in the SPA.

For the purpose of clarification, the period for fulfilment of the condition precedent in clause 4.1(h) of the SPA, which is set out in Section 2.3(v)(h) of the announcement dated 10 April 2014 (ie. the Trustee having received the proceeds from the Proposed Placement or from the underwriting of the Units in relation to the Proposed Placement), shall not be automatically extended by a further period of 3 months after the expiry of the Extended Conditional Period.

桂嘉本季收購白金仙特拉

(吉隆坡17日訊)桂嘉資產管理(QCAPITA,5123,主板產業投資信托組)預計在今年第四季內完成收購白金仙特拉(Platinum Sentral)辦公大樓,豐隆研究繼續對該公司併購潛能和超過8%預期週期率深感興趣,重申“買進”評級不變。

豐隆研究和桂嘉資產管理層會面後指出,耗資7億5千萬令吉向馬資源(MRCB,1651,主板產業組)收購白金仙特拉計劃進度稍微落後預期,因桂嘉資產在上呈完整申請書前,曾耗些時間向證券監督委員會(SC)要求豁免特定項目,導致程序進度稍微延遲。

桂嘉資產原本預計這項交易將在今年第三季完成。

豐隆表示,桂嘉資產已在今年7月呈交完成申請書給證監會,雖然尚待批准,但預計整項交易將在第四季完成。

另外,雖然市場普遍預期掌握桂嘉資產管理公司41%股權的馬資源,可能在董事部中獲得與持股相符的董事席位,但桂嘉資產管理層並未透露任何相關消息。

豐隆研究也繼續對桂嘉資產的併購潛能表示看好,主要因掌握馬資源賦予的優先購買權,馬資源早前也曾透露,每年將把至少價值10億令吉的資產注入桂嘉資產內。

“馬資源目前共擁有價值約200億令吉的資產可被注入桂嘉資產。雖然巴生谷流域地區辦公樓市場供應過剩,但桂嘉資產組合的平均租用率企於91%,高於市場平均81%。”

在調整每單位派息預測後,豐隆決定把桂嘉資產目標價調低至1令吉30仙,相等於7.5%目標週息率;就截至本週三的1令吉17仙股價而言,豐隆預測桂嘉資產的2015和2016年週息率分別是8.3%和8.6%。(星洲日報/財經‧報道:李三宇)

(吉隆坡23日訊)桂嘉資本信托(QCAPITA,5123,主要板產托)獲准發行4.5億令吉中期票據(CP/MTN)計劃。

桂嘉資本信托向馬證交所報備,旗下特殊公司Murud資本私人有限公司是于20日接獲證券監督委員會(SC)的信函通知,批准發行中期票據計劃,以為母公司籌資。

根據報備文件,上述中期票據具有擔保,其中包括一塊位于吉隆坡的永久地契土地,土地上已建有5棟4層至7層高的商業高樓,及2層停車場。

通過上述中期票據計劃所籌集的資金,將用作桂嘉資本信托的融資投資活動、及其他企業用途,如償還現有和未來銀行貸款。【中国报财经】

1.         Introduction
On behalf of the Board of Directors of Quill Capita Management Sdn Bhd (the management company of QCT), Hong Leong Investment Bank Berhad (“HLIB”) is pleased to announce that the Securities Commission Malaysia had vide its letter dated 20 October 2014 authorised the CP/MTN Programmes with a combined aggregate nominal value of up to RM450.0 million.
HLIB has been appointed as the Principal Adviser, Lead Arranger and Lead Manager for the CP/MTN Programmes.

2.         Details of the CP/MTN Programmes
MCSB as the issuer, is a special purpose company wholly owned and established by QCT to raise financing on behalf of QCT.

The CP/MTN Programmes shall be secured by a list of securities, inter-alia, a third party first ranking legal charge over a freehold land held under GRN 46222, Lot 73 Section 0070, Town and District of Kuala Lumpur, Federal Territory of Kuala Lumpur together with five (5) blocks of four (4) to seven (7) storey commercial building consisting of office-cum retail space, a multi-purpose hall together with two (2) levels of car park erected thereon (“Property”).

The proceeds raised from the issuance of the Senior CP/MTN and the Junior CP/MTN shall be utilised by MCSB, amongst others, to advance to QCT to part finance the acquisition of the Property, to finance its investment activities, and to refinance its existing/future borrowings.
