Reference is made to the announcements dated 24 February 2016, 15 April 2016, 27 April 2016, 5 May 2016 and 23 May 2016 in relation to the Dividend Reinvestment Plan (collectively referred to as “Earlier Announcements”). Unless otherwise stated, defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcements.

On behalf of the Board of Directors of MBSB (“Board”), AmInvestment Bank Berhad wishes to announce that MBSB will be issuing 50,168,876 new MBSB Shares pursuant to the Dividend Reinvestment Plan (“DRP Shares”) applied to the Final Dividend, based on the valid dividend reinvestment forms (“DRF”) received by Tricor Investor & Issuing House Services Sdn Bhd, the Share Registrar for the Dividend Reinvestment Plan, as at 6 June 2016, being the last date and time to submit the DRF.

The DRP Shares represent approximately 67.66% of the total number of 74,146,309 new MBSB Shares that would have been issued pursuant to the Dividend Reinvestment Plan, had all the entitled MBSB shareholders elected to reinvest their respective option to reinvest into new MBSB Shares.

This announcement is dated 8 June 2016.

MALAYSIA BUILDING SOCIETY BERHAD ("MBSB" OR "COMPANY")RENOUNCEABLE TWO-CALL RIGHTS ISSUE OF NEW ORDINARY SHARES OF RM1.00 EACH IN MBSB ("MBSB SHARES" OR "SHARES") TO RAISE GROSS PROCEEDS OF UP TO RM2.00 BILLION ("RIGHTS ISSUE")
Reference is made to the announcements dated 10 March 2016, 14 March 2016, 15 April 2016 and 5 May 2016 (“Earlier Announcements”) and the circular dated 20 April 2016 (“Circular”) in relation to the Rights Issue. Unless otherwise stated, defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcements and Circular.

On behalf of the Board, the Joint Advisers wish to announce that the Board had resolved to fix the following:-
  • the Issue Price for the Rights Shares at RM1.00 each, of which the First Call of RM0.59 for each Rights Share will be payable in cash on application and the Second Call of RM0.41 for each Rights Share will be capitalised from MBSB's share premium account; and
  • the entitlement basis of one (1) Rights Share for every one (1) existing MBSB Share held by the Entitled Shareholders.

The First Call of RM0.59 represents a discount of RM0.29 or approximately 33.0% to the TERP of MBSB Shares of RM0.88 based on the five (5)- market day VWAP of MBSB Shares up to and including 8 June 2016, being the last trading date prior to the date of this announcement of RM1.1739.

In addition, the Joint Advisers also wish to announce that MBSB had on 9 June 2016, entered into a managing and underwriting agreement with the joint managing underwriters, namely, AmInvestment Bank and RHB Investment Bank as well as the joint underwriters, namely, AmInvestment Bank, RHB Investment Bank, Affin Hwang Investment Bank Berhad, Maybank Investment Bank Berhad and MIDF Amanah Investment Bank Berhad, to underwrite the remaining portion of 1,051,491,355 Rights Shares, representing approximately 36.3% of the total issue size of the Rights Issue, based on the First Call of RM0.59 per Rights Share, that is not covered by the Employees Provident Fund Board’s (“EPF”) undertaking.

MBSB had obtained an irrevocable written undertaking dated 10 March 2016 from its major shareholder, EPF, to subscribe in full for its entitlement under the Rights Issue based on its shareholdings of 1,847,895,724 MBSB Shares as at 4 March 2016.

发29亿附加股 马建屋每股盈利下调

(吉隆坡10日讯)隨著马建屋(MBSB,1171,主板金融股)在昨天公佈该公司1配1比例的附加股发售价,分析员皆认为,该附加股计划將稀释2016和2017財政年的每股盈利,因此纷纷下调其每股盈利预测。

马建屋週四宣布將1配1附加股的发售价定在每股1令吉,但该附加股是以两阶梯(Two-callrights)进行,所以股东只需支付59仙,另外的41仙则从股票溢价户头扣除。

该附加股的除权日是6月24日(週五),傍晚5时。

按该公司5天加权平均价(VWAP)1.17令吉计算,马建屋的理论除权价(TERP)为88仙,这表示股东支付59仙的认购价,仍有约33%的折价。

肯纳格研究分析员指出,马建屋计划发行28亿9000万附加股,是现有股本28亿4830万股的102%,集资额约17亿令吉。

一旦完成附加股活动,马建屋的股票数额將扩大至57亿4770万股。

「儘管此项附加股企业活动並不会衝击马建屋的盈利预测,但其每股盈利和股本回酬率预测將受到影响。」

他补充说,马建屋2016和2017財政年的每股盈利预测,分別將从2.9仙和3.8仙,被稀释至2.6仙和3.5仙。

此外,由于附加股计划动用股票溢价户头,2016和2017財政年的股东基金料分別减少4.6%和4.4%,而该两个財政年的股本回酬预测將温和提高至2.65%及2.98%,之前的预测为2.58%和2.85%。

集资20亿

与此同时,MIDF研究分析员也指出,马建屋通过上述附加股计划,预计可筹集20亿令吉的资金。

他维持马建屋2016和2017財政年的净利预测,不过,下调该財政年的每股盈利预测,以反映附加股计划后股本將扩大。

该分析员將2016財政年每股盈利预测下调10.7%,从原本的2.8仙,调低至2.5仙;同时,他將2017財政年每股盈利预测,从原本的3仙,调低9.3%,至2.7仙。

隨著將附加股计划的影响纳入每股盈利预测,肯纳格研究分析员也將马建屋的投资评级调降至「跑输大市」,目標价则从1.34令吉,下修至1.11令吉。

不过,MIDF研究分析员则维持该股「中和」投资评级,目標价也保持在1.23令吉。【东方网财经】

频发附加股筹钱‧马屋业仍值得持有?

烦恼者问:

我是马屋业(MBSB,1171,主板金融组)小股东,自从首次公开售股(IPO)申请到其股票后,一直持有这只股。这些年这家公司一直向小股东伸手要钱,我手上的股票已经由1000股变到3000股,最近又有附加股计划。

但是股票价格一直跌,除了当年曾因大合并消息涨过一阵子,现在只剩75仙,请问它的前景到底如何?是不是还值得持有?每次都筹钱是为了什么?

答:关于马屋业的前景,若以其估值为准,马屋业在宣布附加股详情包括发售价之后,肯纳格研究在6月10日的报告指出,马屋业的盈利没有受到影响,不过,该行调整其每股盈利及股本回酬率。

针对马屋业的最近附加股计划,该行对其净利预测保持不变,不过,其2016及2017年的每股盈利则分别冲淡2.6仙及3.5仙,惟股本回酬率料稍为提升2.65%及2.98%,主要是其股票溢价户头重新资本化后,使其股东股份分别减少4.6%及4.4%所致。

当时,该行将其目标价降低至1令吉11仙(之前为1令吉34仙),给予“落后大市”评级,或等于2017年股价/账面值比的1.6倍及预测本益比的8.9倍水平(5年平均股价/账面/本益比为准)。

另一方面,该公司在宣布截至2016年财政年首季业绩后,MIDF研究在5月12日的报告指出,该公司首季净利3480万令吉,落后市场预测,主要是偏高的拨备金所致。当时,该行给的目标价为1令吉23仙,或等于股价账面值比的0.96倍。并给予“中和”评级。

过去5年共发售3次附加股

马屋业在发附加股筹资用途方面,根据所获资料显示,马屋业在过去5年总共发售3次附加股;2011年是7配5附加股(每股售价1令吉)送1凭单,当时筹措5亿令吉,主要充当业务发展用途。

接着在2013年,该公司以2配1比例发售附加股(每股发售价为1令吉65仙),再次向股东要钱,当年是筹措14亿7000万令吉,主要也是作为业务扩充用途。

今年则是最近一次,以1配1比例(每股发售价1令吉)两梯级方式发售附加股,从而筹措17亿令吉。这次附加股计划的目的,主要是在最近拨备行动中拉近该公司与银行业差距之后,发附加股扩大股本强化其资本率,进一步组织资本架构。
